RESIDENTIAL STREETS PAVEMENT REHABILITATION FY19-20, CAPITAL
IMPROVEMENT PROJECT (CIP) NO. 20-03
That the City Council:
1. Approve a professional services agreement with Kreuzer Consulting Group (KCG) in
the amount of $169,150 for engineering design services for the Residential Streets
Pavement Rehabilitation FY19-20, CIP No. 20-03;
2. Authorize Mayor to execute agreement in a form acceptable by the City Attorney; and
3. Authorize City Manager to execute any and all amendments to the agreement as
deemed necessary for this project.
The residential streets identified as priorities for improvements are either in a state of minor
deterioration and can be repaired with routine maintenance methods such as resurfacing, slurry
seal or cape seal while other residential streets identified are deteriorated to a state of disrepair
beyond what ordinarily can be handled through routine street maintenance practices and must
be overlaid or reconstructed. Ultimately, pavement rehabilitation of residential streets will raise
the condition of the pavement to an acceptable standard and will extend the life of the
infrastructure by 20 years.

Included in this year's approved CIP Budget is the design and construction of the Residential
Streets Pavement Rehabilitation FY19-20. This project will rehabilitate 41 residential street
segments in the north half of the City. This project will also replace damaged sidewalks, curb
and gutter, cross -gutters and driveway approaches and construct Americans with Disabilities
Act (ADA) compliant curb access ramps. The total length of the project is approximately 6.6
miles. The locations and list of the various residential street segments are included as
Attachments A and B.
On July 12, 2019, a Request for Proposals (RFP) for this project was posted on Planet Bids.
On August 9, 2019, Public Works staff received proposals from seven consulting firms, namely:
Ardurra dba Anderson Penna, Civil Works Engineers, Engineering Resources of Southern
California (ERSC), Kabbara Engineering, KCG, NV5, Inc. and RKA Consulting Group.
A panel consisting of four Public Works representatives reviewed and evaluated the proposals
based on the following criteria:
Understanding of the work to be done
Experience with similar projects
Qualifications of project team members
Capability of developing innovative techniques
Technical ability and approach
Quality of proposal
Cost-effectiveness
The results of the evaluations were as follows:

In order to determine the most qualified consultant, the top three firms were invited to oral
interviews. On November 12, 2019, a panel consisting of the same four Public Works

representatives interviewed Ardurra, Kabbara Engineering and KCG. The results of the
interviews and final scores (average of evaluation and interview scores) were as follows:

KCG was ranked Number 1. This firm submitted the most comprehensive scope of services,
demonstrated a good understanding of the project goals and objectives, proposed an effective
scope of work and design approach and submitted the most cost-effective proposal. KCG has
assembled the most qualified project team with demonstrated extensive experience with similar
projects. KCG has completed similar projects for the Cities of Alhambra, Anaheim, Arcadia,
Brea, La Habra, Norwalk, Tustin and West Covina. In addition, staff has confirmed that KCG
possesses the necessary licenses and has met all other requirements for this project. Staff is
recommending that the City Council approve a professional services agreement with KCG in the
amount of $169,150 for the design of the Residential Streets Pavement Rehabilitation FY19-20
Project.
The scope of services includes the following tasks:
• Project management
• Field survey, utility research and coordination
• Preliminary concept plans
• Preparation of plans, specifications and construction cost estimates
• Preparation of Water Quality Management Plan
• Quality assurance/quality control
• Preparation of final plans and bid documents
The approval and execution of the attached professional services agreement (Attachment C)
will allow KCG to proceed with the aforementioned engineering design services. Upon approval
and execution of the agreement, the City will issue KCG a Notice to Proceed. The overall
estimated duration of design is about five months, with completion of plans and specifications by
the end of May 2020.

FOR PROFESSIONAL ENGINEERING SERVICES
This Agreement is made and entered into this 10 day of December, 2019 by and
between the City of Downey, a California municipal corporation and charter city with its
principal place of business at 11111 Brookshire Avenue, Downey California 90241
and Kreuzer Consulting Group, Incorporated, a California corporation, with its principal
place of business at 320 Main Street, Unit D, Seal Beach, California 90740 ("Consultant").
City and Consultant are sometimes individually referred to as "Party" and collectively as
"Parties."
2. RECITALS.
2.1 Consultant.
Consultant desires to perform and assume responsibility for the provision of certain
professional engineering services required by City on the terms and conditions set forth in
this Agreement. Consultant represents that it has demonstrated competence and experience
in providing professional engineering services to public clients, is licensed in the State of
California, and is familiar with the plans of City.

3.1 Scope of Services and Term.
General Scope of Services. Consultant promises and agrees to furnish
to City all labor, materials, tools, equipment, services, and incidental and customary work
necessary to fully and adequately supply the professional engineering services necessary for
the Project ("Services"). The Services are more particularly described in Exhibit "A" attached
hereto and incorporated herein by reference. All Services shall be subject to, and performed
in accordance with, this Agreement, the exhibits attached hereto and incorporated herein by
reference, and all applicable local, state and federal laws, rules and regulations.

3.2.8 ' Standard of Care-,' Performance of Emplovees. Consultant shall perform
all Services under this Agreement in a skillful and competent manner, consistent with the
standards generally recognized as being employed by professionals in the same discipline in
the State of California. Consultant represents and maintains that it is skilled in the
professional calling necessary to perform the Services. Consultant warrants that all
employees and subcontractors shall have sufficient skill and experience to perform the
Services assigned to them. Finally, Consultant represents that it, its employees and
subcontractors have all licenses, permits, qualifications and approvals of whatever nature
that are legally required to perform the Services, including a City Business License, and that
such licenses and approvals shall •• maintained throughout the term of this Agreement. As
provided for in the indemnification provisions • this Agreement, Consultant shall perform, at
its own cost and expense and without reimbursement from the City, any services necessary
to correct errors or omissions which are caused by the Consultant's failure to comply with the
standard of care provided for herein. Any employee of the Consultant or its sub -consultants
who is determined by the City to be uncooperative, incompetent, a threat to the adequate or

respects the City, its directors, officials, officers, employees, agents and volunteers, or if
excess, shall stand in an unbroken chain of coverage excess of the Consultant's scheduled
underlying coverage. • General Liability insurance coverage may be provided in
the form of an •i to the • insurance (at lease as broad as ISO •

policy endorsements to the City before the commencement of work under this Agreement.
However, failure to obtain the required documents prior to the commencement of work under
this Agreement shall not waive the Consultant's obligation to provide them to the City. The
City reserves the right to require complete, certified copies of all required insurance policies,
including endorsements, at any time.
3.2.10.10 Claims -Made Policies. If any of the policies provide
coverage on a claims -made basis:
(A) The retroactive date must be shown and must b� before I
the date of this Agreement or the date work commences under this Agreement, whichever
earliest, i
(B) Insurance must be maintained and evidence of insurance
must be provided for at least five (5) years after completion of the Services provided under
this Agreement-,
(C) If coverage is canceled, non -renewed, and not replaced
with another claims -made policy form with a retroactive date prior to the effective date of this
Agreement or the date work commences under this Agreement, whichever is earliest, the
Consultant must purchase extended reporting coverage for a minimum of five (5) years after
completion of the Services under this Agreement.
3.2.11 Safetv. Consultant shall execute and maintain its work so as to avoid
injury or damage to any person or property. In carrying out its Services, the Consultant shall
at all times be in compliance with all applicable local, state and federal laws, rules and
regulations, and shall exercise all necessary precautions for the safety of employees
appropriate to the nature of the work and the conditions under which the work is to be
performed. Safety precautions as applicable shall include, but shall not be limited to- (A)
adequate life protection and life-saving equipment and procedures-, (B) instructions in
accident prevention for all employees and subcontractors, such as safe walkways, scaffolds,
fall protection ladders, bridges, gang planks, confined space procedures, trenching and
shoring, equipment and other safety devices, equipment and wearing apparel as are
necessary or lawfully required to prevent accidents or injuries; and (C) adequate facilities for
the proper inspection and maintenance of all safety measures.
Compensation. Consultant shall receive compensation, including
authorized reimbursements, for all Services rendered under this Agreement at the rates set
forth in Exhibit "A" attached hereto and incorporated herein by reference. The total
compensation shall not exceed One Hundred Sixty -Nine Thousand One Hundred Fifty
Dollars and 00/100 ($169,150.00) without written approval of the City. ExtraWorkmaybe
authorized, as described below, and if authorized, said Extra Work will be compensated at
the rates and manner set forth in this 1greement.
kVIIIIIIIIIIIECTMITT-TIM I
Grounds for Termination. City may, by written notice to
Consultant, terminate the whole or any part of this Agreement at any time either for cause
for the City's convenience and without cause by giving written notice to Consultant of such
termination, and specifying the effective date thereof, at least seven (7) days before the
effective date of such termination. Consultant may only terminate this Agreement for caus
upon giving the City not less than seven (7) calendar days'written notice. I
Upon termination, Consultant shall be compensated only for those services which
have been adequately rendered to City, and Consultant shall be entitled to no further
compensation. The City shall within fifteen (15) calendar days following termination pay the
Consultant for all services adequately rendered and all reimbursable costs incurred by
Consultant up to the date of termination, in accordance with the payment provisions of this
Agreement.
The following reasons shall constitute "cause" for which either party may terminate this
Agreement as provided herein:
Substantial failure by the other party to perform in accordance with the terms of
this Agreement and through no fault of the terminating party,
Assignment of this Agreement or transfer of the Project by either party to any
other entity without the prior written consent of the other party-,
Suspension of the Project or the Consultant's Services by the City for more thar
ninety (9 0) calendar days, consecutive or in the aggregate, without good cause;
Material changes in the conditions under which this Agreement was entered
into, the Scope of Services or the nature of the Project, and the failure of the
parties to reach agreement on the compensation and schedule adjustments
necessitated by such changes.
3.5.1.2 Effect of Termination. If this Agreement is terminated as
provided herein, City may require Consultant to provide all finished or unfinished Documents
and Data and other information of any kind prepared by Consultant in connection with the
performance of Services under this Agreement. Consultant shall be required to provide su&
Documents and Data and other information within fifteen (15) days of the City's request.
3.5.1.3 Additional Services. In the event this Agreement is
ierminated in whole or in part as provided herein, City may procure, upon such terms and in
such manner as it may determine appropriate, services similar to those terminated.

Such notice shall be deemed made when personally delivered or when mailed, forty-
eight (48) hours after deposit in the U.S. Mail, first class postage prepaid and addressed to
the party at its applicable address. Actual notice shall be deemed adequate notice on the
date actual notice occurred, regardless of the method of service.
3, .3 Ownership of Materials and Confidentiality.
3.5.3.1 Documents & Data. Licensinci of Intellech,sal Propet-tv. This
Agreement creates a non-exclusive and perpetual license for City to copy, use, modify,
reuse, or sublicense any and all copyrights, designs, and other intellectual property embodied
in plans, specifications, studies, drawings, estimates, and other documents or works of
authorship fixed in any tangible medium of expression, including but not limited to, physical
drawings or data magnetically or otherwise recorded on computer diskettes, which are
prepared or caused to be prepared by Consultant under this Agreement ("Documents &
Consultant shall require all subcontractors to agree in writing that City is granted a
non-exclusive and perpetual license for any Documents & Data the subcontractor prepares
under this Agreement. Consultant represents and warrants that Consultant has the legal
right to license any and all Documents & Data. Consultant makes no such representation

and warranty in regard to Documents & Data which were prepared by design professionals
other than Consultant or provided to Consultant by the City. City shall not be limited in any
way in its use of the Documents and Data at any time, provided that any such use not within
the purposes intended by this Agreement shall be at City's sole risk.
Confidentiality. All ideas, memoranda, specifications,
plans, procedures, drawings, descriptions, computer program data, input record data, written
information, and other Documents and Data either created by or provided to Consultant in
connection with the performance of this Agreement shall be held confidential by Consultant.
any purposes other than the performance of the Services. Nor shall such materials be
disclosed to any person or entity not connected with the performance of the Services or the
Project. Nothing furnished to Consultant which is otherwise known to Consultant or is
generally known, or has become known, to the related industry shall be deemed confidential.
Consultant shall not use City's name or insignia, photographs of the Project, or any publicity
pertaining to the Services or the Project in any magazine, trade paper, newspaper, television
or radio production or other similar medium without the prior written consent of City.
C000eration: Further Acts. The Parties shall fully cooperate with one
another, and shall take any additional acts or sign any additional documents as may be
necessary, appropriate or convenient to attain the purposes of this Agreement.
Attornev's Fees. In the event of any litigation, whether in a court of law,
administrative hearing, arbitration, or otherwise, arising from or related to this Agreement of
the services provided under this Agreement, the prevailing party shall be entitled to recover
from the non -prevailing party all reasonable costs incurred, including staff time, court costs,
attorneys' fees and all other related expenses in such litigation.
3.5.6.1 General Indemnification. Except as provided in subdivision
3.5.6.2 below which is applicable to "design professionals" only, Consultant shall defend (with
counsel acceptable to City), indemnify and hold the City, its officials, officers, employees,
volunteers and agents free and harmless from any and all claims, demands, causes of action,
costs, expenses, liability, loss, damage or injury, in law or equity, to property or persons,
including wrongful death, in any manner arising out of or incident to any alleged negligent
acts, errors, omissions or willful misconduct of Consultant, its officials, officers, employees,
agents, consultants and contractors arising out of or in connection with the performance of
the Services, the Project or this Agreement, including without limitation the payment of all
consequential damages and attorneys' fees and other related costs and expenses.
Consultant shall defend, at Consultant's own cost, expense and risk, any and all such
aforesaid suits, actions or other legal proceedings of every kind that may be brought or
instituted against City, its directors, officials, officers, employees, agents or volunteers.
Consultant shall pay and satisfy any judgment, award or decree that may be rendered
against City or its directors, officials, officers, employees, agents or volunteers, in any such
suit, action or other legal proceeding. Consultant shall reimburse City and its directors,
officials, officers, employees, agents and/or volunteers, for any and all legal expenses and
costs incurred by each of them in connection therewith or in enforcing the indemnity herein
provided. Consultant's obligation to indemnify shall not be restricted to insurance proceeds, if
,zno, received b the Cit*,-[ts directors officials offi m lo s and agen:Lc- or volunteers.
Consultant sha not be obligated to defend, indemnify or hold the City harmless in any
manner whatsoever for any claims or liability arising solely out of the City's own negligent
errors or omissions or willful misconduct.
3.5.7 Entire Aqreement. This Agreement contains the entire Agreement of the
parties with respect to the subject matter hereof, and supersedes all prior negotiations,
understandings or agreements.
3.5.8 Governing Law. This Agreement shall be governed by the laws of the
State of California. Venue shall be the courts in Los Angeles County.
3.5.9 Time o-f-Ts.se-oce'. Time is of the essence for each and every provision of
this Agreement.

SECTION 1.0 -PERCEPTION AND APPROACH
The City of Downey desires to complete residential street rehabilitation/reconstruction improvements in
Districts 3 and A within the City. In all, the project will consist of 41 street segments totaling 34,572 lineal
feet, or approximately 6.5 miles. The project improvements will include street improvements along with
necessary curb, gutter, sidewalk, driveway and access ramp improvements required to correct any
deficiencies (i.e. broken, sunken, lifting, etc.) and to bring the project street segments in full compliance
with ADA standards.
In preparation of this proposal, the ICG Project Manager has:

Exhibit A on the following page provides a summary of the 41 street segments and the current pavement
conditions observed in the field. We have estimated a percentage of pavement removals required based
upon these observed conditions for each segment along with a cost estimate to rehabilitate,/reconstruct
each road segment using traditional remediation approaches consisting of R&R and grind and overlay.

Conceived Conceptual Alternatives
The most critical technical issue on this project will be the development of a well conceived Conceptual
Alternative(s) for the street improvements. These plans will evaluate all viable street rehabilitation
remedies. These plans, along with corresponding estimates, will be presented to City staff for approval

to insure that these requirements are met, KCG will provide custom details for all driveways and access

Utility coordination isanelement that, ifnot properly addressed and managed, can significantly affect a
project schedule and budget. This work task is much more than gathering record drawings and plotting
then on the plans. The success of this task is proactively managing the relationship with all utility agencies
involved. It certainly requires the establishment of the existing location of utilities as a first step but the
real key is identifying the impacts tothese facilities early on in the design process and coordinating
proactively with the affected agency staff/service planners to mitigate those impacts and facilitate needed
relocations. Overlooking oraddressing

A well thought out staging scheme and traff ic control plans are vital to the success of every street project.
Minimizing the disruption to residents to the greatest extent possible will be a primary focus of our team.
This will be accomplished via tight specifications which will not leave any major decisions to the
contractor's discretion. We will also prepare detour graphics/layouts, as required, to include in the project
specifications. Our Project Manager comes from aconstruction background and understands the balance
between efficient construction operations and community impacts.

Water quality requirements have become a critical component of public projects over the last 10 years.
Successful delivery of project requires a firm that understands this reality and can deliver the permits
required. KCG's stmrmvxaterspeda|ist Chris Becker, will achieve a balance ofthe City's plans for long-
term pavement maintenance and rehabilitation, while maintaining strict compliance with today's
stringent water quality regulatory environment. He is a seasoned stmrmvvatercomp|iance expert that
specializes |nthe municipal sector. Heisa California Certified/Qualified SVVPPPPractitioner (QSP)and
Qualified IVVPPP Developer (QSD). K[G can turn -key all storm water compliance needs from site
assessment, to report preparation, to site inspections and monitoring. We have working knowledge of
the complex California General St*rmvvaterPermit for New Construction and are currently performing
work for many agencies, including Caltrans and Los Angeles County. The anticipated amount of ground
disturbance onthis project will trigger the need for both aVVC}MPand SVVPPP.

SECTION 2.0 - METHODOLOGY
The following outlines our overall project approach to the project. We will complete individual
tasks/subtasks to successfully deliver the project. Each task orsubtask below begins with a brief overview
or understanding including the general approach KCG will be taking to insure successful completion of
that particulartask. This narrative will serve to point out key elements and challenges of the work involved
with a particular task and how we propose to address those challenges. Our understanding/approach is
delineated in the blue shaded boxes under each task. Immediately below these boxes is the detailed
scope of work which provides clear definition of the work which will be completed under that specific task
or subtask.

Overview_lApprofl ): Comprehensive and detailed field survey is critical on a project of this nature
which requires significant street reconstruction, We are proposing a very comprehensive scope for this
task to insure we have the detail needed to complete a first rate, quality set of final plans.
The KCG survey crew will utilize a combination of Trimble 118-4 GPS and Trimble S6 Robotic Total Station
equipment will be used to collect cross sections within the project right-of-way. The topographic survey

where utility relocation iswarranted.
• Coordinate with affected utility companies regarding conflicts, relocations and improvements. This
coordination effort will require providing updated plans to the utility agencies for the proposed
improvements and also meeting with the various utility service planners onthe project site, as
necessary, todiscuss conflict its and/or relocations. Two (I)full sets ofplans will besubmitted for
comment to each utility agency concurrent with all K[G submittals on the project. All
correspondence toutility companies will becopied tothe City ofDowney.

The approach to this task involves the blending of all project data into a detailed �

Overview / Ap h: The objective of this subtask is to take all of the work compiled to date and
develop Concept Plans for all viable pavement remediation strategies. These plans will depict all viable
options along with corresponding cost estimates. Once completed, these plans will form the basis for
discussions with City staff in order to obtain a consensus on a Preferred Alternative to carry forward
Under this task K[G will prepare large scale maps (l"=IDO ) to depict all viable street remediation
strategies, The limits of remediation will be shaded on each street. Typical roadway sections for each
strategy will be shown on the plan along with the limits of curb and gutter, sidewalk, driveway and access
ramp removal and/or construction required. For each option/plan, KCG will prepare a cost analysis, similar
to Exhibit A herein, to establish a budget for each option. These plans will he presented to City staff for
review and discussion with the objective ofachieving consensus on an preferred pavement remediation
strategy. KCG will not proceed with final design until a Preferred Alternative is approved by the City.

Mr. Kreuzer is a "hands-on" project manager who gets involved in the actual day to day design activities
on all of his projects. This allows him to be a very effective single point of contact for all project issues.
Most importantly, he knows what cities want frorn their consultants ... ...to take ownership of the project
and proactively lead it and do not expect the City staff to babysit the consultant team or drive the project
