FINANCIAL SERVICES, INC. TO PROVIDE ASSESSMENT ENGINEERING
SERVICES FOR THE CITYWIDE LIGHTING AND LANDSCAPING
ASSESSMENT DISTRICT
1, Approve professional services agreement with Willclan Financial Services, Inc. in the
amount of $139,330 to provide assessment engineering services for the Citywide
Lighting and Landscaping Assessment District;
2. Approve additional appropriation of $59,330 from the Citywide Lighting and
Landscaping Assessment District as detailed in the Fiscal Impact to fund the total
project cost;
3. Authorize Mayor to execute the agreement in a form acceptable by City Attorney; a
4. Authorize City Manager to execute any and all amendments to the agreement as
deemed necessary for this project.
The City of Downey annually levies and collects assessments 'in order to provide and maintain
facilities, improvements, and services within the Citywide Lighting and Landscaping Assessment
District 121 (AD 121) established pursuant to the Landscaping and Lighting Act of 1972 and
Proposition 218.
There are 6,514 street lights which provide illumination for vehicular traffic and pedestrian safety
in the City. Of said total, 2,015 street lights are owned by the City, 4,409 are owned by Southern
California Edison (SCE), 57 are owned by Caltrans, and 33 are shared with other municipalities.
The City has a total of 114 traffic signals, including 11 that are operated and maintained by
Caltrans and 12 that are shared with adjoining agencies. The City also has a total of 12 flashing
beacons and 24 solar -powered vehicle speed feedback signs. Lastly, the City owns and
maintains approximately 18,000 trees.

The costs for maintaining and servicing street lights, traffic signals, flashing beacons, vehicle
speed feedback signs and on -street landscaping are paid from a combination of assessments
on individual parcels under AD 121 as well as revenues from general property taxes. These
assessments appear on the County property tax bills.
Due to increasing traffic signal, flashing beacon, vehicle speed feedback sign and tr
maintenance costs, three of the seven zones have negative fund balances. Furthermor
thousands of new trees planted or to be planted as part of street widening� median an
streetscape projects will significantly increase operating and tree maintenance costs over th
next few years. Consequently, City staff is proposing to conduct assessment rate analyses o
each of the seven zones and, with City Council approval, administer the Proposition 218 ballo
process, as necessary in order to increase maximum assessment rates for AD121.
On july 25, 2019, a Request for Proposals (RFP) for professional assessment engineering
services for AD121 was sent to three firms, namely: DTA; Webb Municipal Finance, LLC; and
Willclan Financial Services, Inc. On August 29, 2019, proposals were received from the three
firms. A panel consisting of Public Works staff and City Attorney representative reviewed and

evaluated the proposals, as well as interviewed each consultant and scored them based on the
following criteria:

Willdan Financial Services, Inc. was ranked Number 1. This firm submitted the most
comprehensive proposal, demonstrated a good understanding of the project goals and
objectives, proposed an effective scope of services and approach, and proposed the most
qualified project team with demonstrated extensive experience on similar projects. Willdan
Financial Services, Inc. has satisfactorily completed similar projects for the Cities of Guadalupe,
Irvine, Lemoore, Paso Robles, Poway, Santa Clarita, Tehachapi, Tracy, West Covina, Yorba
Linda and the County of Los Angeles. Willdan Financial Services, Inc.'s references have been
checked and were satisfactory.
The scope of services includes the following tasks:
• Complete assessment rate analyses for each of the seven zones
• Annual administration of AD 121
• Prepare and administer Proposition 218 mail ballot process as necessary
The approval and execution of professional services agreement (Attachment A) will allow
Willdan Financial Services, Inc. to proceed with the assessment engineering services related to
AD121. Upon approval and execution of the agreement, the City will issue Willdan Financial
Services, Inc. a purchase order followed by a Notice to Proceed with the work. The estimated
overall duration of the project is twelve months, with completion anticipated in November 2020.

The total estimated cost for this project is $139,330. The total approved budget in the Fiscal
Year 2019-2020 Public Works operating budget is $80,000 with funding coming from the
Citywide Lighting and Landscaping Assessment District. The following table shows the total
approved budget, additional appropriations requested and total funding for this project.

1. PARTIES ANb DATE.
This Agreement is made and entered into this 20th day of November, 2019 by and
between the City of Downey, a California municipal corporation and charter city with its
principal place of business at 11111 Brookshire Avenue, Downey California 90241 ("City")
and Willdan Financial Services, a California corporation, with its principal place of businesi
at 27368 Via Industria, Suite 200, Temecula, CA 92590 ("Consultant"). City and Consultant
are sometimes individually referred to as "Party" and collectively as "Parties�"
2. RECITALS.
Consultant desires to perform an assume responsi i ty or t e provision o
assessment engineering services for the City of Downey's special assessment district as
required by City on the terms and conditions set forth in this Agreement. Consultant
represents that it has demonstrated competence and experience in providing professional
assessment engineering services to public clients, is licensed in the State of California, and
familiar with the plans of City. I

the Special Assessment District ("Project") as set forth in this Agreement.
3. TERMS.

to City all labor, materials, tools equipment, services, and incidental and customary work
necessary to fully and adequat-ly supply the assessment engineering services necessary for
the Project ("Services"). The Services are more particularly described in Exhibit "A" attached
hereto and incorporated herein by reference. All Services shall be subject to, and performed
in accordance with, this Agreement, the exhibits attached hereto and incorporated herein by
reference, and all applicable local, state and federal laws, rules and regulations.
3.1.2 Term. The term of this Agreement shall be from November 20, 2019 to
November 20, 2020, unless earlier terminated as provided herein, Consultant shall complet
the Services within the term of this Agreement, and shall meet any other established -1

the City; and (B) any failure to comply with reporting or other provisions of the policies,
including breaches of warranties, shall not affect coverage provided to the City, its director
officials, officers, employees, agents and volunteers. I
3.2.10.5 Ptithary CbVb�tggg� For any claims related to this
Agreement, the Consultant's insurance coverage shall be primary insurance and primary
coverage at least as broad as ISO CG 20 01 04 13 with respect to the City, its directors,
officials, officers, employees, agents and volunteers. Any insurance or self-insurance
maintained by the City, its directors, officials, officers, employees, agents and volunteers shall
be excess of the Consultant's insurance and shall not be called upon to contribute with it in

3.2.10.10 Claims-Mad6 Policies. If any of the policies provide
coverage on a claims -made basis:
(A) The retroactive date must be shown and must be before the date of this
Agreement or the date work commences under this Agreement, whichever is earliest;
(B) Insurance must be maintained and evidence of insurance must be
provided for at least five (5) years after completion of the Services provided under this
(C) If coverage is canceled, non -renewed, and not replaced with another
claims -made policy form with a retroactive date prior to the effective date of this Agreement
or the date work commences under this Agreement, whichever is earliest, the Consultant
of the Services under this Agreement.
3.2.11 Safety. Consultant shall execute and maintain its work so as to avoid
injury or damage to any person or property. In carrying out its Services, the Consultant shall
at all times be in compliance with all applicable local, state and federal laws, rules and
regulations, and shall exercise all necessary precautions for the safety of employees
appropriate to the nature of the work and the conditions under which the work is to be
performed. Safety precautions as applicable shall include, but shall not be limited to: (A)
adequate life protection and life-saving equipment and procedures; (B) instructions in
accid
fall protection ladders, bridges, gang planks, confined space procedures, trenching and
shoring, equipment and other safety devices equipment and wearing apparel as are
necessary or lawfully required to prevent ac�idents or injuries; and (C) adequate facilities for
the proper inspection and maintenance of all safety measures.
3.3 Fees and Payment&
3.3.1 Compensation. Consultant shall receive compensation, including
authorized reimbursements, for all Services rendered under this Agreement at the rates set
forth in Exhibit "A" attached hereto and incorporated herein by reference. The total
compensation shall not exceed One Hundred and Thirty Nine Thousand Three Hundred
and Thirty Dollars and 00/100 ($139,330.00) without written approval of the City. Extra
Work may be authorized, as described below, and if authorized, said Extra Work will be
compensated at the rates and manner set forth in this Agreement.
3.3.2 PaMerit of CqMpgLhtation. Consultant shall submit to City a monthly
itemized statement which indicates work completed and hours of Services rendered by
Consultant. The statement shall describe the amount of Services and supplies provided
since the initial commencement date, or since the start of the subsequent billing periods, as
appropriate, through the date of the statement. City shall, within thirty (30) days of receiving
such statement, review the statement and pay all approved charges thereon.
33.3 !Lutk�61foor ��nses. Consultant shall not be reimbursed for
any expenses unless authorized in writing by City.

3 � 3.4 tk� . At any time during the term of this Agreement, City may
request that Consultant perform Extra Work. As used herein, "Extra Work" means any work
which is determined by City to be necessary for the proper completion of the Project, but
which the parties did not reasonably anticipate would be necessary at the execution of this
Agreement, Consultant shall not perform, nor be compensated for, Extra Work without
written authorization from the City Manager.

3.4.1 Maintenance and lhsp��d . Consultant shall maintain complete an
accurate records with respect to all costs and expenses incurred under this Agreement. All
such records shall be clearly identifiable, Consultant shall allow a representative of City
during normal business hours to examine, audit, and make transcripts or copies of such
records and any other documents created pursuant to this Agreement. Consultant shall allow
inspection of all work, data, documents, proceedings, and activities related to the Agreement
for a period of three (3) years from the date of final payment under this Agreement.
3.5.1.1 Grounds fo� Termination. City may� by written notice to
Consultant, terminate the whole or any part of this Agreement at any time either for cause or
for the City's convenience and without cause by giving written notice to Consultant of such
termination, and specifying the effective date thereof, at least seven (7) days before the
effective date of such termination. Consultant may only terminate this Agreement for cause
upon giving the City not less than seven (7) calendar days'written notice.
Upon termination, Consultant shall be compensated only for those services Which
have been adequately rendered to City, and Consultant shall be entitled to no further
compensation. The City shall within fifteen (15) calendar days following termination pay the
Consultant for all services adequately rendered and all reimbursable costs incurred by
Consultant up to the date of termination, in accordance with the payment provisions of this
Agreement.
The following reasons shall constitute "cause" for which either party may terminate this
Agreement as provided herein:

3.5.1.2 Effect of Tk��idh. If this Agreement is terminated as
provided herein, City may require Consultant to provide all finished or unfinished Documents
and Data and other information of any kind prepared by Consultant in connection with the
performance of Services under this Agreement. Consultant shall be required to provide such
Documents and Data and other information within fifteen (15) days of the City's request.
Additional Services. In the event this Agreement is
terminated in whole or in part as provided herein, City may procure, upon such terms and in
such manner as it may determine appropriate, services similar to those terminated.

Willclan Financial Services ("Willclan") is pleased to present the following to the City of Downey ("City ) to prov e
Assessment Engineering Services for the Citywide Lighting and Landscaping Assessment District 121 (AD 121). To
ensure the future financial stability, it is the desire of the City to potentially re-engineer the district in its entirety. The
goal is to identify and quantify the facilities, improvements, and services to be funded and to make appropriate or
necessary modifications to the Engineer's Report. This will allow the City to establish new or increased assessments
consistent with current case law and legislative authority. The clarity and documentation of benefit findings in the
Engineer's Report is a critical factor for supporting annual special benefit assessments.

engineering services to the City.
Districts (ADs), Community Facilities Districts (CFDs), and special taxes for agencies throughout California. We have
prepared Engineer's Reports for over 800 separate ADs for local governments in California, including Business
Improvement Districts (BIDs), Landscaping and Lighting Districts (LLDs), and ADs formed to finance infrastructure
improvements. Our recent assessment engineering, re-engineering, andlor formation clients include the Cities
of Tracy, Guadalupe, Irvine, Lemoore, Paso Robles, Poway, Santa Clarita, Tehachapi and Yorba Linda and the
County of Los Angeles. For each of these clients, Willdan has gathered research- developed budgets; evaluated
improvements; assisted in the notice, ballot and tabulation process; prepared ihe property database, benefit
assessment methodology and Engineer's Report; and provided plans and reports to appropriate third parties including
legal counsel. Furthermore, through our administration of special districts over the past 30 years, we have gained
anticipate and be prepared for administrative considerations.

together for more than 10 years, and collectively have more than 70 years of experience supporting special district
administration, formation and re-engineering projects throughout California. For this engagement, the project team's
