SCHINDLER,DIRECTOR OF • DEVELOPME DATE: •12,2019 SUBJECT: ANNUAL DOWNTOWN PARKING ASSESSMENT - AMENi • I TO THE PROFESSIONAL AGREEMENTDIXON RESOURCES UNLIMITED That the City Council approve and authorize the Mayor to execute Amendment No. 1 to the Professional Services Agreement with Dixon Resources Unlimited to provide an annual Downtown Parking Assessment for an amount not to exceed $22,761. Dixon Resources Unlimited (DIXON) was retained by the City of Downey to develop a long-term parking strategy that identified the feasibility of different parking strategies, technologies and tools that will maximize the utilization and effectiveness of both on- and off-street parking throughout the Downtown area. This strategy was presented to the City Council in May 2017. As part of the implementation of the long-term parking strategy, it was recommended that the City undertake an annual parking assessment to monitor vehicle space capacity and to determine if an additional action is required to guide the growth of downtown. With the new development that has, and is projected to occur in Downtown Downey, it is important to monitor the available parking. On August 28, 2018, the City Council authorized the Mayor to enter into an agreement for the first year parking assessment that included counting the number of vehicles parked on the street and within the public parking lots. Dixon conducted two days of parking occupancy. The first year data collection commenced in September 2018 and data was presented to the Planning Commission on February 20, 2019 and to City Council on March 26, 2019. To conduct a second year parking assessment, City Council must authorize the Mayor to execute Amendment No. 1 to the Professional Services Agreement with DIXON. The second year parking assessment will include the annual parking occupancy count, using the existing methodology for data collection to monitor the average vehicle space occupancy throughout the Downtown. The data collection shall include the Downtown on -street study area, City -owned off-street surface lots and the parking structure. Dixon will conduct two days of parking occupancy counts to ensure the most accurate counts through peak capacity (i.e., school is in session, no holidays, and people typically are not on vacation), with an extra Saturday evening ZXIW�� •,' 12,2019 PAGE 2 Qweep between 8:30 pm and 9:00 pm. This data will be analyzed and Dixon will provide a c,ummary report of the data collection and analysis. Additionally, Dixon will present the findinga rif the data collection and analysis to the Planning Commission and City Council. It is 2nticipated that the project will take five months to complete, including the presentations to the %'.'ity. The not to exceed cost for the parking assessment is $22,761. Efficiency & Adaptability Economic Vibrancy FISCAL IMPACT pill ATTACHMENTS THIS AMENDMENT No. 1 ("Amendment") is entered into this day of November, 2019, by and between the City of Downey, a California municipal corporation and charter city ("City") with its principal place of business at 11111 Brookshire Avenue, Downey, CA 90241 and DIXON Resources Unlimited, a California Corporation, ("Consultant') with its principal place of business at 3639 Midway Drive, Suite B345, San Diego, CA 92110-5254. City and Consultant are sometimes individually referred to as the "Party" and collectively as the "Parties". WHEREAS, City and Consultant entered into a Professional Services Agreement ("Agreement') on August 28, 2018 for professional parking assessment services as more specifically described in the Agreement; WHEREAS, the parties desire to make certain amendments to the Agreement as set forth herein; and WHEREAS, the Parties intend to be bound by the terms and provisions of the Agreement as it is amended herein. NOW, THEREFORE, for and in consideration of the mutual covenants and conditions herein contained, the Parties agree as follows: Section 1. AMENDIMENT(S). A. City and Consultant hereby amend Section 3.1.2 Term of the Agreement to read as follows: The term of this Agreement shall be from September 1, 2018 to June 30, 2020, unless earlier terminated as provided herein. Consultant shall complete the Services within the term of this Agreement, and shall meet any other established schedules and deadlines. The term of this Agreement may be extended by written amendment to this Agreement signed by the City Manager and Consultant. B. City and Consultant hereby amend Section 3.3.1 Compensation of the Agreement to read as follows: Consultant shall receive compensation, including authorized reimbursements, for all Services rendered under this Agreement at the rates set forth in Exhibit "C" attached hereto and incorporated herein by reference. The total compensation shall not exceed Forty -Three Thousand Four Hundred and Thirty -One Dollars and 00/100 ($43,431.00) without written approval of the City. Extra work may be authorized, as described below, and if authorized, said Extra Work will be compensated at the rates and manner set forth in this Agreement. C. City and Consultant hereby amend the Agreement by replacing Exhibit A ("Scope of Services"), and with a new "Exhibit A" which is attached hereto as Attachment 1 and incorporated by reference herein. D. City and Consultant hereby amend the Agreement by replacing Exhibit B ("Schedule of Services"), and with a new "Exhibit B" which is attached hereto as Attachment 2 and incorporated by reference herein. E. City and Consultant hereby amend the Agreement by replacing Exhibit C ("Compensation"), and with a new "Exhibit C' which is attached hereto as Attachment 3 and incorporated by reference herein. Section 2. The rights, obligations and fees of the Parties under the Agreement shall not otherwise be amended, altered or revised except as expressly provided for herein and all other terms of the Agreement shall remain in full force and effect. Section 3. This Amendment may be executed in counterparts, each of which shall be deemed an original, but all of which, together, shall constitute one and the same instrument. TO EFFECTUATE THIS AMENDMENT, the Parties have caused their duly authorized representatives to execute this Amendment to the Agreement on the dates set forth below.
