That the City Council:
1. Approve professional services agreement with Kreuzer Consulting Group (KCG) for
environmental, design, and right-of-way engineering services for the Paramount
Boulevard and Imperial Highway Intersection Improvements, Capital Improvement
Project No. 19-06;
2. Authorize Mayor to execute the agreement in a form acceptable by City Attorney; and
3. Authorize City Manager to execute any and all amendments to the agreement as
deemed necessary for this project.
In July 2018, the City of Downey received approval from the Los Angeles County Metropolitan
Transportation Agency (Metro) Board of Directors for a Measure R grant through the 1-710
Freeway Corridor Environmental Impact Report/Statement Early Action Program in the amount
of $3,185,000 to fund the environmental, design engineering, right -of way acquisition,
construction and construction engineering phases for the Paramount Boulevard at Imperial
Highway Intersection Improvements. Attachment A is a project location map of the subject
intersection.
This project will construct capacity enhancements and infrastructure improvements at the
subject intersection in order to sustain an acceptable Level -of -Service for this intersection and
provide more durable pavement and infrastructure to withstand heavy traffic loads to
accommodate a projected 18 percent increase in traffic volumes by year 2035.

On May 31, 2019, a Request for Proposals (RFP) for environmental, design, and right-of-way

The approval and execution of the professional services agreement (Attachment B) will allow
KCG to proceed with the aforementioned environmental, design and right-of-way engineering
consultant services. Upon approval and execution of the agreement, the City will issue KCG a
purchase order followed by a Notice to Proceed with the work. The estimated overall duration
of the project is ten months, with completion anticipated in July 2020.
Quality of Life, Infrastructure & Parks
The total approved budget for this project consisting of environmental, design, right-of-way
engineering, construction and construction engineering phases is $3,185,000 with funding
coming from the 1-710 Freeway Corridor Environmental Impact Report/Statement Early Action
Measure R grant funds (account no. 26-1-6745). The total estimated cost for environmental,
design and right-of-way engineering phases, including contingencies and contract
administration is $325,000. There are sufficient funds available in the Fiscal Year 2019-2020
Capital Improvement Program budget to cover these costs.

engineering services for this project was posted on Planet Bids. On June 27, 2019, Public
Works staff received proposals from five consulting firms, namely: KCG, KOA Corporation,
PacRim Engineering, Stantec Consulting Services, and Willdan.
A panel consisting of Public Works staff reviewed and evaluated the proposals based on the

KCG was ranked Number 1. This firm submitted the most comprehensive and cost-effective
proposal, demonstrated a good understanding of the project goals and objectives, proposed an
effective scope of services and approach, and assembled the most qualified project team with
demonstrated extensive experience with similar projects. KCG has successfully completed
similar projects for the Cities of Anaheim, Brea, Norwalk, Tustin and West Covina. Their original
fee proposal was $287,500; however, staff was able to negotiate the fee down to $272,305 for
the same scope of services. In addition, staff has confirmed that KCG possesses the necessary
licenses and has met all other requirements for this project.
The scope of services for this project includes the following tasks:

1. PARTIES AND DATE.
This Agreement is made and entered into this 27th day of August, 2019 by and
between the City of Downey, a California municipal corporation and charter city with its
principal place of business at 11111 Brookshire Avenue, Downey California 90241 ("City")
and RAK Development Inc., a California corporation dba Kreuzer Consulting Group, with
its principal place of business at 320 Main Street, Unit D, Seal Beach, CA 90740
("Consultant"). City and Consultant are sometimes individually referred to as "Party" and
collectively as "Parties."
2. RECITALS.
Consultant desires to perform and assume responsibility for the provision of certain
professional environmental, design and right of way engineering services for the Paramount
Boulevard and Imperial Highway Intersection project required by City on the terms and
conditions set forth in this Agreement. Consultant represents that it has demonstrated
competence and experience in providing professional environmental and engineering design
services to public clients, is licensed in the State of California, and is familiar with the plans of
City.
City desires to engage Consultant to render such services for the Paramount
Boulevard and Imperial Highway Intersection project ("Project") as set forth in this
Agreement.
3.1.1 General Scope of ,Services. Consultant promises and agrees to furnish
to City all labor, materials, tools, equipment, services, and incidental and customary work
necessary to fully and adequately supply the professional environmental and engineering
design services necessary for the Project ("Services"). The Services are more particularly
described in Exhibit °A° attached hereto and incorporated herein by reference. All Services
shall be subject to, and performed in accordance with, this Agreement, the exhibits attached
hereto and incorporated herein by reference, and all applicable local, state and federal laws,
rules and regulations.
3.1.2 Term. The term of this Agreement shall be from August 27, 2019 to
August 27, 2021, unless earlier terminated as provided herein. Consultant shall complete the
Services within the term of this Agreement, and shall meet any other established schedules
and deadlines. The term of this Agreement may be extended by written amendment to this
Agreement signed by the City Manager and the Consultant.
3.2.1 Control and Payment of Subordinates: Independent Contractor. The
Services shall be performed by Consultant or under its supervision. Consultant will
determine the means, methods and details of performing the Services subject to the
requirements of this Agreement. City retains Consultant on an independent contractor basis
and not as an employee. Consultant retains the right to perform similar or different services
for others during the term of this Agreement. Any additional personnel performing the
Services under this Agreement on behalf of Consultant shall also not be employees of City
and shall at all times be under Consultant's exclusive direction and control. Consultant shall
pay all wages, salaries, and other amounts due such personnel in connection with their
performance of Services under this Agreement and as required by law. Consultant shall be
responsible for all reports and obligations respecting such additional personnel, including, but
not limited to: social security taxes, income tax withholding, unemployment insurance,
disability insurance, and workers' compensation insurance.
In the event that Consultant or any employee, agent, or subcontractor of Consultant
providing services under this Agreement claims or is determined by a court of competent
jurisdiction or the California Public Employees Retirement System (CaIPERS) to be eligible
for enrollment in CaIPERS as an employee of City, Consultant shall indemnify, defend, and
hold harmless CITY for the payment of any employee and/or employer contributions for
CaIPERS benefits on behalf of Consultant or its employees, agents, or subcontractors, as
well as for the payment of any penalties and interest on such contributions, which would
otherwise be the responsibility of City.
3.2.2 Schedule of Services. Consultant shall perform the Services
expeditiously, within the term of this Agreement, and in accordance with the Schedule of
Services set forth in Exhibit "A" attached hereto and incorporated herein by reference.
Consultant represents that it has the professional and technical personnel required to perform
the Services in conformance with such conditions. In order to facilitate Consultant's
conformance with the Schedule, City shall respond to Consultant's submittals in a timely
manner. Upon request of City, Consultant shall provide a more detailed schedule of
anticipated performance to meet the Schedule of Services. The parties acknowledge that the
Schedule of Services may be amended by mutual agreement due to changes in
circumstances, including changes in the performance schedules of other third parties
performing work for the City on the Project, which affect the timing of Consultant's
performance of the Services.
3.2.3 Conformance to Applicable Requirements. All work prepared by
Consultant shall be subject to the approval of City.
3.2.4 Substitution of Key Personnel. Consultant has represented to City that
certain key personnel will perform and coordinate the Services under this Agreement. Should
one or more of such personnel become unavailable, Consultant may substitute other
personnel of at least equal competence upon written approval of City. In the event that City
and Consultant cannot agree as to the substitution of key personnel, City shall be entitled to
terminate this Agreement for cause. As discussed below, any personnel who fail or refuse to
perform the Services in a manner acceptable to the City, or who are determined by the City to
be uncooperative, incompetent, a threat to the adequate or timely completion of the Project or
a threat to the safety of persons or property, shall be promptly removed from the Project by
the Consultant at the request of the City.
3.2.5 ity`s Representative.. The City hereby designates Delfino R. Consunji,
P.E., Director of Public Works/City Engineer, or his or her designee, to act as its
representative for the performance of this Agreement ("City's Representative"). City's
Representative shall have the power to act on behalf of the City for all purposes under this
Contract. Consultant shall not accept direction or orders from any person other than the
City's Representative or his or her designee.
3.2.6 Consultant's Representative.. Consultant hereby designates Marco
Canta, P.E., Project Manager or his or her designee, to act as its representative for the
performance of this Agreement ("Consultant's Representative"). Consultant's Representative
shall have full authority to represent and act on behalf of the Consultant for all purposes
under this Agreement. The Consultant's Representative shall supervise and direct the
Services, using his best skill and attention, and shall be responsible for all means, methods,
techniques, sequences and procedures and for the satisfactory coordination of all portions of
the Services under this Agreement.
3.2.7 Coordination of Services. Consultant agrees to work closely with City
staff in the performance of Services and shall be available to City's staff, consultants and
other staff at all reasonable times.
3.2.8 Standard of Care: Performance of Emplovees. Consultant shall perform
all Services under this Agreement in a skillful and competent manner, consistent with the
standards generally recognized as being employed by professionals in the same discipline in
the State of California. Consultant represents and maintains that it is skilled in the
professional calling necessary to perform the Services. Consultant warrants that all
employees and subcontractors shall have sufficient skill and experience to perform the
Services assigned to them. Finally, Consultant represents that it, its employees and
subcontractors have all licenses, permits, qualifications and approvals of whatever nature
that are legally required to perform the Services, including a City Business License, and that
such licenses and approvals shall be maintained throughout the term of this Agreement. As
provided for in the indemnification provisions of this Agreement, Consultant shall perform, at
its own cost and expense and without reimbursement from the City, any services necessary
to correct errors or omissions which are caused by the Consultant's failure to comply with the
standard of care provided for herein. Any employee of the Consultant or its sub -consultants
who is determined by the City to be uncooperative, incompetent, a threat to the adequate or
timely completion of the Project, a threat to the safety of persons or property, or any
employee who fails or refuses to perform the Services in a manner consistent with the
standard of care set forth herein, shall be promptly removed from the Project by the
Consultant and shall not be re-employed to perform any of the Services or to work on the
Project.
3.2.9 Laws and Reaulations. Consultant shall keep itself fully informed of and
in compliance with all applicable local, state and federal laws, rules and regulations in force at
the time the Services are performed by Consultant and in any manner affecting the
performance of the Project or the Services, including all applicable Cal/OSHA requirements,
and shall give all notices required by law. Consultant shall be liable for all violations of such
laws and regulations in connection with Services. If the Consultant performs any work
knowing it to be contrary to such laws, rules and regulations and without giving written notice
to the City, Consultant shall be solely responsible for all costs arising therefrom. Consultant
shall defend, indemnify and hold City, its officials, directors, officers, employees and agents
free and harmless, pursuant to the applicable indemnification provisions of this Agreement,
from any claim or liability arising out of any failure or alleged failure to comply with such laws,
rules or regulations. Consultant's violation of such laws, rules and regulations shall also
constitute a material breach of this Agreement.
3.2.10 Insurance.
3.2.10.1 Time for Compliance. Consultant shall not commence the
Services or the Project under this Agreement until it has provided evidence satisfactory to the
City that it has secured all insurance required under this section. In addition, Consultant shall
not allow any subcontractor to commence work on any subcontract until it has provided
evidence satisfactory to the City that the subcontractor has secured all insurance required
under this section. The City reserves the right to modify these requirements, including limits,
based on the nature of the risk, prior experience with insurer, coverage or other special
circumstances.
3.2.10.2 Minimum Requirements. Consultant shall, at its expense,
procure and maintain for the duration of the Agreement insurance against claims for injuries
to persons or damages to property which may arise from or in connection with the
performance of the Agreement, the Services or the Project by the Consultant, its agents,
representatives, employees or subcontractors. Consultant shall also require all of its
subcontractors to procure and maintain the same insurance for the duration of the
Agreement. Such insurance shall meet at least the following minimum levels of coverage:
(A) Minimum Scope of Insurance. (1) Commercial General
Liability (CGL): Insurance Services Office Form CG 00 01 covering CGL on an "occurrence"

basis including products and completed operations, property damage, bodily injury and
personal and advertising injury; (2) Automobile Liability: Insurance Services Office Form
Number CA 0001 covering Code 1 (any auto) or if Consultant owns no autos, Code 8 (hired)
and 9 (non -owned); and (3) Workers' Compensation : Workers' Compensation insurance as
required by the State of California with Statutory Limits; and (4) Employer's Liability
Insurance.
(B) Minimum Limits of Insurance. Consultant shall maintain
limits no less than: (1) Commercial General Liability (CGL): No less than $2,000,000 per
occurrence for products and completed operations, bodily injury, property damage and
personal and advertising injury. If Commercial General Liability Insurance or other form with
general aggregate limit applies, either the general aggregate limit shall apply separately to
this Agreement/location (ISO CG 25 03 or 25 04) or the general aggregate limit shall be
twice the required occurrence limit; (2) Automobile Liability: No less than $2,000,000 per
accident for bodily injury and property damage; and (3) Workers' Compensation: Workers'
Compensation limits as required by the Labor Code of the State of California with Statutory
Limits; (4) Employer's Liability: Employer's Liability limits of no less than $2,000,000 per
accident for bodily injury or disease. Employer's Liability coverage may be waived by the City
if City receives written verification that Consultant has no employees.
If the Consultant maintains broader coverage and/or higher limits than the minimum shown in
this subdivision 3.2.10.2, the City requires and shall be entitled to the broader coverage
and/or the higher limits maintained by the Consultant. Any available insurance proceeds in
excess of the specified minimum limits of insurance and coverage shall be available to the
City.
3.2.10.3 Professional Liabilitv (Errors & Omissions). Consultant
shall procure and maintain, and require its sub -consultants to procure and maintain, for a
period of five (5) years following completion of the Services or the Project, errors and
omissions liability insurance appropriate to its profession. Such insurance shall be in an
amount not less than $2,000,000 per occurrence or claim and $2,000,000 in the aggregate,
and shall be endorsed to include contractual liability. If the Consultant maintains broader
coverage and/or higher limits than the minimum shown in this subdivision 3.2.10.3, the City
requires and shall be entitled to the broader coverage and/or higher limits maintained by the
Consultant. Any available insurance proceeds in excess of the specified minimum limits of
insurance and coverage shall be available to the City.
3.2.10.4 Insurance Endorsements. The insurance policies shall
contain the following provisions, or Consultant shall provide endorsements on forms
approved by the City to add the following provisions to the insurance policies:
(A) Additional Insured Status. The Commercial General
Liability policy shall be endorsed to state that: (1) the City, its directors, officials, officers,
employees, agents and volunteers shall be covered as additional insureds with respect to
liability arising from the work, Services, Project or operations performed by or on behalf of the
Consultant, including materials, parts or equipment furnished in connection with such work,
Services, Project or operations; and (2) the insurance coverage shall be primary insurance as
respects the City, its directors, officials, officers, employees, agents and volunteers, or if
excess, shall stand in an unbroken chain of coverage excess of the Consultant's scheduled
underlying coverage. Commercial General Liability insurance coverage may be provided in
the form of an endorsement to the Consultant's insurance (at lease as broad as ISO Form
CG 20 10 11 85 or both CG 20 10, CG 20 26, CG 20 33 or CG 20 38; and CG 20 37 forms if
later revisions are used).
(B) Waiver of Subrogation. Consultant hereby grants to City a
waiver of any right to subrogation which any insurer of said Consultant may acquire against
the City by virtue of the payment of any loss under said insurance policies set forth herein.
Consultant agrees to obtain any endorsement that may be necessary to affect this waiver of
subrogation, but this provision applies regardless of whether or not the City has received a
waiver of subrogation endorsement from the insurer.
(C) All Coverages. Each insurance policy required by this
Agreement shall be endorsed to state that: (A) coverage shall not be suspended, voided,
reduced or canceled except with written notice by certified mail, return receipt requested to
the City; and (B) any failure to comply with reporting or other provisions of the policies,
including breaches of warranties, shall not affect coverage provided to the City, its directors,
officials, officers, employees, agents and volunteers.
3.2.10.5 Primary Coverage. For any claims related to this
Agreement, the Consultant's insurance coverage shall be primary insurance and primary
coverage at least as broad as ISO CG 20 01 04 13 with respect to the City, its directors,
officials, officers, employees, agents and volunteers. Any insurance or self-insurance
maintained by the City, its directors, officials, officers, employees, agents and volunteers shall
be excess of the Consultant's insurance and shall not be called upon to contribute with it in
any way.
3.2.10.6 Separation of Insureds: No Special Limitations. All

insurance required by this Section shall contain standard separation of insureds provisions.
In addition, such insurance shall not contain any special limitations on the scope of protection
afforded to the City, its directors officials, officers, employees, agents and volunteers.
3.2.10.7 Deductibles and Self -Insurance Retentions. Any
deductibles or self-insured retentions must be declared to and approved by the City. City may
require Consultant to provide proof of ability to pay losses and related investigations, claim
administration and defense expenses and costs within the retention. The policy language
shall provide or be endorsed to provide that the self-insured retention may be satisfied by
either the named insured or City.
3.2.10.8 Acceptability of Insurers. Insurance is to be placed with
insurers with a current A.M. Best's rating no less than A:VII, authorized to do business in
California, and satisfactory to the City.
3.2.10.9 Verification of Coveraqe. Consultant shall furnish City with
original certificates of insurance, including all required amendatory endorsements (or copies
of the applicable policy language effective coverage required by this provision) and a copy of
the Declarations and Endorsement Page of the Commercial General Liability policy listing all
policy endorsements to the City before the commencement of work under this Agreement.
However, failure to obtain the required documents prior to the commencement of work under
this Agreement shall not waive the Consultant's obligation to provide them to the City. The
City reserves the right to require complete, certified copies of all required insurance policies,
including endorsements, at any time.
3.2.10.10 Claims -Made Policies. If any of the policies provide
coverage on a claims -made basis:
(A) The retroactive date must be shown and must be before the date of this
Agreement or the date work commences under this Agreement, whichever is earliest;
(B) Insurance must be maintained and evidence of insurance must be
provided for at least five (5) years after completion of the Services provided under this
Agreement;
(C) If coverage is canceled, non -renewed, and not replaced with another
claims -made policy form with a retroactive date prior to the effective date of this Agreement
or the date work commences under this Agreement, whichever is earliest, the Consultant
must purchase extended reporting coverage for a minimum of five (5) years after completion
of the Services under this Agreement.
3.2.11 Safety. Consultant shall execute and maintain its work so as to avoid
injury or damage to any person or property. In carrying out its Services, the Consultant shall
at all times be in compliance with all applicable local, state and federal laws, rules and
regulations, and shall exercise all necessary precautions for the safety of employees
appropriate to the nature of the work and the conditions under which the work is to be
performed. Safety precautions as applicable shall include, but shall not be limited to: (A)
adequate life protection and life-saving equipment and procedures; (B) instructions in
accident prevention for all employees and subcontractors, such as safe walkways, scaffolds,
fall protection ladders, bridges, gang planks, confined space procedures, trenching and
shoring, equipment and other safety devices, equipment and wearing apparel as are
necessary or lawfully required to prevent accidents or injuries; and (C) adequate facilities for
the proper inspection and maintenance of all safety measures.
3.3.1 Compensation. Consultant shall receive compensation, including
authorized reimbursements, for all Services rendered under this Agreement at the rates set
forth in Exhibit °A" attached hereto and incorporated herein by reference. The total
compensation shall not exceed Two Hundred and Seventy Two Thousand Three Hundred
and Five Dollars and 00/100 ($272,305.00) without written approval of the City. Extra Work
may be authorized, as described below, and if authorized, said Extra Work will be
compensated at the rates and manner set forth in this Agreement.
3.3.2 Pavment of Compensation. Consultant shall submit to City a monthly
itemized statement which indicates work completed and hours of Services rendered by
Consultant. The statement shall describe the amount of Services and supplies provided
since the initial commencement date, or since the start of the subsequent billing periods, as
appropriate, through the date of the statement. City shall, within thirty (30) days of receiving
such statement, review the statement and pay all approved charges thereon.
3.3.3 Reimbursement for Expenses. Consultant shall not be reimbursed for
any expenses unless authorized in writing by City.
3.3.4 Extra Work. At any time during the term of this Agreement, City may
request that Consultant perform Extra Work. As used herein, "Extra Work" means any work
which is determined by City to be necessary for the proper completion of the Project, but
which the parties did not reasonably anticipate would be necessary at the execution of this
Agreement. Consultant shall not perform, nor be compensated for, Extra Work without
written authorization from the City Manager.
3.4.1 Maintenance and Inspection. Consultant shall maintain complete and
accurate records with respect to all costs and expenses incurred under this Agreement. All
such records shall be clearly identifiable. Consultant shall allow a representative of City
during normal business hours to examine, audit, and make transcripts or copies of such
records and any other documents created pursuant to this Agreement. Consultant shall allow
inspection of all work, data, documents, proceedings, and activities related to the Agreement
for a period of three (3) years from the date of final payment under this Agreement.
3.5.1 Termination of Agreement.
3.5.1.1 Grounds for Termination. City may, by written notice to
Consultant, terminate the whole or any part of this Agreement at any time either for cause or
for the City's convenience and without cause by giving written notice to Consultant of such
termination, and specifying the effective date thereof, at least seven (7) days before the
effective date of such termination. Consultant may only terminate this Agreement for cause
upon giving the City not less than seven (7) calendar days'written notice.
Upon termination, Consultant shall be compensated only for those services which
have been adequately rendered to City, and Consultant shall be entitled to no further
compensation. The City shall within fifteen (15) calendar days following termination pay the
Consultant for all services adequately rendered and all reimbursable costs incurred by
Consultant up to the date of termination, in accordance with the payment provisions of this
Agreement.
The following reasons shall constitute "cause" for which either party may terminate this
Agreement as provided herein:
• Substantial failure by the other party to perform in accordance with the terms of
this Agreement and through no fault of the terminating party;
• Assignment of this Agreement or transfer of the Project by either party to any
other entity without the prior written consent of the other party;
O Suspension of the Project or the Consultant's Services by the City for more than
ninety (90) calendar days, consecutive or in the aggregate, without good cause;
• Material changes in the conditions under which this Agreement was entered
into, the Scope of Services or the nature of the Project, and the failure of the
parties to reach agreement on the compensation and schedule adjustments
necessitated by such changes.
3.5.1.2 Effect of Termination. If this Agreement is terminated as
provided herein, City may require Consultant to provide all finished or unfinished Documents
and Data and other information of any kind prepared by Consultant in connection with the
performance of Services under this Agreement. Consultant shall be required to provide such
Documents and Data and other information within fifteen (15) days of the City's request.
3.5.1.3 Additional Services. In the event this Agreement is
terminated in whole or in part as provided herein, City may procure, upon such terms and in
such manner as it may determine appropriate, services similar to those terminated.
3.5.2 Deliverer of Notice. All notices permitted or required under this
Agreement shall be given to the respective parties at the following address, or at such other
address as the respective parties may provide in writing for this purpose:

Such notice shall be deemed made when personally delivered or when mailed, forty-
eight (48) hours after deposit in the U.S. Mail, first class postage prepaid and addressed to
the party at its applicable address. Actual notice shall be deemed adequate notice on the
date actual notice occurred, regardless of the method of service.
3.5.3.1 Documents & Data; Licensing of Intellectual Propegy. This
Agreement creates a non-exclusive and perpetual license for City to copy, use, modify,
reuse, or sublicense any and all copyrights, designs, and other intellectual property embodied
in plans, specifications, studies, drawings, estimates, and other documents or works of
authorship fixed in any tangible medium of expression, including but not limited to, physical
drawings or data magnetically or otherwise recorded on computer diskettes, which are
prepared or caused to be prepared by Consultant under this Agreement ("Documents &
Data"). Consultant shall require all subcontractors to agree in writing that City is granted a
non-exclusive and perpetual license for any Documents & Data the subcontractor prepares
under this Agreement. Consultant represents and warrants that Consultant has the legal
right to license any and all Documents & Data. Consultant makes no such representation
and warranty in regard to Documents & Data which were prepared by design professionals
other than Consultant or provided to Consultant by the City. City shall not be limited in any
way in its use of the Documents and Data at any time, provided that any such use not within
the purposes intended by this Agreement shall be at City's sole risk.
3.5.3.2 Confidentiality. All ideas, memoranda, specifications,
plans, procedures, drawings, descriptions, computer program data, input record data, written
information, and other Documents and Data either created by or provided to Consultant in
connection with the performance of this Agreement shall be held confidential by Consultant.
Such materials shall not, without the prior written consent of City, be used by Consultant for
any purposes other than the performance of the Services. Nor shall such materials be
disclosed to any person or entity not connected with the performance of the Services or the
Project. Nothing furnished to Consultant which is otherwise known to Consultant or is
generally known, or has become known, to the related industry shall be deemed confidential.
Consultant shall not use City's name or insignia, photographs of the Project, or any publicity
pertaining to the Services or the Project in any magazine, trade paper, newspaper, television
or radio production or other similar medium without the prior written consent of City.

3.5.4 Cooperation; Further Acts. The Parties shall fully cooperate with one
another, and shall take any additional acts or sign any additional documents as may be
necessary, appropriate or convenient to attain the purposes of this Agreement.
3.5.5 Attorney's Fees. In the event of any litigation, whether in a court of law,
administrative hearing, arbitration, or otherwise, arising from or related to this Agreement of
the services provided under this Agreement, the prevailing party shall be entitled to recover
from the non -prevailing party all reasonable costs incurred, including staff time, court costs,
attorneys' fees and all other related expenses in such litigation.
3.5.6 Indemnification.
3.5.6.1 General Indemnification. Except as provided in subdivision
3.5.6.2 below which is applicable to "design professionals" only, Consultant shall defend (with
counsel acceptable to City), indemnify and hold the City, its officials, officers, employees,
volunteers and agents free and harmless from any and all claims, demands, causes of action,
costs, expenses, liability, loss, damage or injury, in law or equity, to property or persons,
including wrongful death, in any manner arising out of or incident to any alleged negligent
acts, errors, omissions or willful misconduct of Consultant, its officials, officers, employees,
agents, consultants and contractors arising out of or in connection with the performance of
the Services, the Project or this Agreement, including without limitation the payment of all
consequential damages and attorneys' fees and other related costs and expenses.
Consultant shall defend, at Consultant's own cost, expense and risk, any and all such
aforesaid suits, actions or other legal proceedings of every kind that may be brought or
instituted against City, its directors, officials, officers, employees, agents or volunteers.
Consultant shall pay and satisfy any judgment, award or decree that may be rendered
against City or its directors, officials, officers, employees, agents or volunteers, in any such
suit, action or other legal proceeding. Consultant shall reimburse City and its directors,
officials, officers, employees, agents and/or volunteers, for any and all legal expenses and
costs incurred by each of them in connection therewith or in enforcing the indemnity herein
provided. Consultant's obligation to indemnify shall not be restricted to insurance proceeds, if
any, received by the City, its directors, officials officers, employees, and agents or volunteers.
Consultant shall not be obligated to defend, indemnify or hold the City harmless in any
manner whatsoever for any claims or liability arising solely out of the City's own negligent
acts, errors or omissions or willful misconduct.
3.5.6.2 Design Professionals. The provisions of this subdivision
3.5.6.2 shall apply only in the event that Consultant is a "design professional" within the
meaning of California Civil Code section 2782.8(c). If Consultant is a "design professional„
within the meaning of Section 2782.8(c), then, notwithstanding subdivision 3.5.6.1 above, to
the fullest extent permitted by law (including, without limitation, Civil Code sections 2782 and
2782.6), Consultant shall defend (with legal counsel reasonably acceptable to City),
indemnify and hold harmless City and City's officers, officials, employees, volunteers and
agents from and against any Claim that arises out of, pertains to, or relates to, directly or

indirectly, in whole or in part, the negligence, recklessness, or willful misconduct of
Consultant, any subconsultant, subcontractor or any other person directly or indirectly
employed by them, or any person that any of them control, arising out of Consultant's
performance of any task or service for or on behalf of City under this Agreement. Such
obligations to defend, hold harmless and indemnify City or any City officers, officials,
employees or volunteers shall not apply to the extent that such Claims are caused in part by
the sole active negligence or willful misconduct of City or such City officers, officials,
employees, volunteers and agents. Consultant's cost to defend City and/or City's officers,
officials, employees or volunteers against any such Claim shall not exceed Consultant's
proportionate percentage of fault with respect to that Claim; however, pursuant to Civil Code
section 2782.8(a), in the event that one or more defendants is unable to pay its share of
defense costs due to bankruptcy or dissolution of the business, Consultant shall meet and
confer with City (and, if applicable, other parties) regarding any unpaid defense costs. To the
extent Consultant has a duty to indemnify City or any City officers, officials, employees,
volunteers and/or agents under this subdivision 3.5.6.2, Consultant shall be responsible for
all incidental and consequential damages resulting directly or indirectly, in whole or in part,
from Consultant's negligence, recklessness or willful misconduct.
3.5.7 Entire Agreement. This Agreement contains the entire Agreement of the
parties with respect to the subject matter hereof, and supersedes all prior negotiations,
understandings or agreements.
3.5.8 Governina Law. This Agreement shall be governed by the laws of the
State of California. Venue shall be the courts in Los Angeles County.
3.5.9 Time of Essence. Time is of the essence for each and every provision of
this Agreement.
3.5.10 City's Right to Employ Other Consultants. City reserves right to employ
other consultants in connection with this Project.
3.5.11 Successors and Assi ns. This Agreement shall be binding on the
successors and assigns of the parties.
3.5.12 Assinment or Transfer. Neither party shall assign, hypothecate, or
transfer, either directly or by operation of law, this Agreement or any interest herein without
the prior written consent of the other party. Any attempt to do so shall be null and void, and
any assignees, hypothecates or transferees shall acquire no right or interest by reason of
such attempted assignment, hypothecation or transfer.
3.5.13 Construction; References; Captions. Since the Parties or their agents
have participated fully in the preparation of this Agreement, the language of this Agreement
shall be construed simply, according to its fair meaning, and not strictly for or against any
Party. Any term referencing time, days or period for performance shall be deemed calendar
days and not work days. All references to Consultant include all personnel, employees,

agents, and subcontractors of Consultant, except as otherwise specified in this Agreement.
All references to City include its elected officials, officers, employees, agents and volunteers
except as otherwise specified in this Agreement. The captions of the various articles and
paragraphs are for convenience and ease of reference only, and do not define, limit,
augment, or describe the scope, content, or intent of this Agreement.
3.5.14 Amendment: Modification,. No supplement, modification, or amendment
of this Agreement shall be binding unless executed in writing and signed by both Parties.
3.5.15 Waiver. No waiver of any default shall constitute a waiver of any other
default or breach, whether of the same or other covenant or condition. No waiver, benefit,
privilege, or service voluntarily given or performed by a Party shall give the other Party any
contractual rights by custom, estoppel, or otherwise.
3.5.16 No Third Party Beneficiaries. There are no intended third party
beneficiaries of any right or obligation assumed by the Parties.
3.5.17 Invaliditv; Severability. If any portion of this Agreement is declared
invalid, illegal, or otherwise unenforceable by a court of competent jurisdiction, the remaining
provisions shall continue in full force and effect.
3.5.18 Prohibited Interests. Consultant maintains and warrants that it has not
employed nor retained any company or person, other than a bona fide employee working
solely for Consultant, to solicit or secure this Agreement. Further, Consultant warrants that it
has not paid nor has it agreed to pay any company or person, other than a bona fide
employee working solely for Consultant, any fee, commission, percentage, brokerage fee, gift
or other consideration contingent upon or resulting from the award or making of this
Agreement. For breach or violation of this warranty, City shall have the right to rescind this
Agreement without liability. For the term of this Agreement, no member, officer or employee
of City, during the term of his or her service with City, shall have any direct interest in this
Agreement, or obtain any present or anticipated material benefit arising therefrom.
3.5.19 Equal O000rtunitV Emolovment. Consultant represents that it is an equal
opportunity employer and it shall not discriminate against any subcontractor, employee or
applicant for employment because of race, religion, color, national origin, handicap, ancestry,
sex or age. Such non-discrimination shall include, but not be limited to, all activities related to
initial employment, upgrading, demotion, transfer, recruitment or recruitment advertising,
layoff or termination. Consultant shall also comply with all relevant provisions of any City
Minority Business Enterprise program, Affirmative Action Plan or other related programs or
guidelines currently in effect or hereinafter enacted.
3.5.20 Labor Certification. By its signature hereunder, Consultant certifies that
it is aware of the provisions of Section 3700 of the California Labor Code which require every
employer to be insured against liability for Worker's Compensation or to undertake self -

insurance in accordance with the provisions of that Code, and agrees to comply with such
provisions before commencing the performance of the Services.
3.5.21 Authoritv to Enter Aqreement. Consultant has all requisite power and
authority to conduct its business and to execute, deliver, and perform the Agreement. Each
Party warrants that the individuals who have signed this Agreement have the legal power,
right, and authority to make this Agreement and bind each respective Party.
3.5.22 Counterparts. This Agreement may be executed in counterparts, each of
which shall constitute one and the same instrument.
3.5.23 Effect of Conflict.
In the event of any conflict, inconsistency, or incongruity between any provision of this
Agreement, any of its exhibits, attachments, purchase order, or notice to proceed, the
provisions of this Agreement will govern and control.

3.6.1 Prior Approval required. Consultant shall not subcontract any portion of
the work required by this Agreement, except as expressly stated herein, without prior written
approval of City. Consultant shall require and verify that all subcontractors maintain
insurance meeting all of the requirements set forth in this Agreement. Consultant shall ensure
that City is an additional insured as required in Section 3.2.10.4. Subcontracts, if any, shall
contain a provision making them subject to all provisions stipulated in this Agreement.

The City of Downey desires to improve the operational efficiency of the Imperial Highway/ Paramount Boulevard
The existing configuration of the intersection consists of] lanes in
each direction on Imperial Highway with dual lefts eastbound and a
single left inthe westbound direction. Paramount Boulevard consists
of lanes in each direction with dual lefts and a right tum lane
northbound and a single left and a right turn in the southbound
direction. Raised median islands exist unall 4legs ofthe intersection.
The north leg ofParamount consists ofconcrete pavement (figure l)
while the other 3legs ofthe intersection are paved with asphalt. Also,
asdepicted iofigure 1,there are median island hardsospe/landscape
improvements currently being constructed on the north leg of
Paramount Boulevard.

The objective of the project is to widen the intersection to
accommodate growth and increase operational efficiency today and into the future (2035 build out). At present, it
is anticipated that the improvements required to meet these objectives will consist of the following:
• Dual left turns westbound onImperial
• Widening the southwest corner to allow for northbound U-turns on Paramount
Akey task on the project will be the preparation of traffic operational analysis which will evaluate existing and
future projected traffic flows in order tuconfirm that the proposed improvements identified above meet the
intersection levels of service objectives for the future 2035 build out year. The report will also identify any other
alternative geometric improvements that also deliver the required intersection LOS goals. All viable alternatives will
be evaluated and |ayed out in conceptual form for the City's consideration and, ultimately, for the selection of
Preferred Alternative to carry forward through final design.
In addition to the roadway geometry required to meet intersection operation objectives,the project will also include
the following other enhancements:
w Reconstruction cƒall 4legs nfthe intersection with concrete pavement. The limits ofconcrete will be
approximately 3DOfeet/b,intersection approaches and 50}eet/ordepartures.
• Reconstruction of the entire intersection with concrete pavement
° Construction qfdecorative crosswalks
• Reconstruction of all access ramps, sidewalk and driveways to meet ADA standards
w Implementation ofcustom City bus shelters
• Modifications tothe existing traffic signal
° New signing and striping
• Utility adjustments and relocations, osrequired
The project improvements will require right of way acquisition. Based upon the improvements identified in the RFP,
4 properties will be impacted, summarized as follows:
1) AP #6245-019-057- Condominium Complex
2) AP # 6245-019-048 - Chevron Gas Station
3) AP # 6245-017-001- Gas N Go
4) AP # 6259-019-029 - Commercial Center
KCG will prepare legal descriptions and plats based upon the final roadway geometry. Overland Pacific and Cutler
(OPC) will complete property appraisals and conduct all right of way acquisition services. KCG/OPC have worked
extensively together on similar projects. Based on this experience, we know what it takes to achieve right of way
acquisition results.
In preparation of this proposal, KCG has collected existing record information and completed a thorough field review
of the project site. Based upon this review, we offer the following discussion regarding key technical and
management issues that will need to be addressed for successful completion of the project.
Geometrics
Every project comes with their own set of unique constraints. It is our job as designers/engineers to work with those
constraints and deliver the most cost effective, optimum alignment based upon the results of the traffic analysis. On
the surface it appears that the improvements put forth in the RFP will likely be the optimum set of improvements.
That said, KCG will put forth all viable improvements alternatives, along with corresponding cost estimates, for the
intersection based upon the traffic operations report results and corresponding recommendations put forth by our
traffic sunconsultant, Hartzog and Crabill.
❖ Utility Coordination
In general, utility coordination is an element that, if not properly addressed and managed, can significantly effect a
project schedule and budget. This work task is much more than gathering record drawings and plotting them on the
plans. The success of this task is proactively managing the relationship with all utility agencies involved. It certainly
requires the establishment of the existing locations of utilities as a first step but the real key is identifying the impacts
to these facilities early on in the design process and coordinating proactively with the affected agency staff/services
planners to mitigate those impacts and facilitate needed relocations. Overlooking or addressing utility impacts late
in the design process usually results in negative schedule impacts during construction. In general, utilities and their
relocations are "integral" to the design process and their representatives must be part of this process from the
beginning to the completion of the project design. If not, the City will more than likely pay the prices during
construction for unanticipated delays. KCG understands the importance of this project element and will insure that
all potential utility impacts are identified early on and proactively managed throughout the design process.
❖ ADA Compliance
ADA compliance has become a very important aspect on all of our public works design projects. In order to insure
that these requirements are met, KCG will provide custom details for all driveways and access ramps within the
project limits. We will not rely on standard plan callouts. Driveway and ramp details will depict all slopes and
clearances to insure ADA compliance is achieved.
Offsite Design
As important aspect related to final design and right of way acquisition will be the development of "detailed" design
for all offsite improvements. Engineers have a habit of dismissing this important design element by providing generic
plan notes such as "replace in kind", "grade to drain" and the like. This type of project requires more attention to
detail than that with respect to private properties, especially when right of way acquisition is involved. It is not only
important for the property owner to know the proposed end condition of their parcel but it is equally important for
OPC staff to have this information in order to have meaningful dialog with the affected property owners early on in
the acquisition process. KCG will prepare detailed site design plans at 1"=10' scale for all affected properties. These
plans will depict all improvements required to facilitate a smooth join from the widened roadway to private property.
These plans will also depict all sign, light pole and other relocations required as well as the limits of the Temporary
Construction Easement (TIE)needed tuconstruct theimprovements.

Staging and Traffic Control
A well thought out staging scheme and traffic control plans are vital to the success of every street project. Minimizing
the disruption to businesses and residents to the greatest extent possible will be important. While the scope of work
dues not include preparation of traffic control plans (contractor to provide) it will be critical to prepare tight
specifications which will not leave any major staging and/or traffic control decisions to the contractor's discretion.
This is especially critical due to the concrete pavement construction proposed for the project. Our Project Manager
comes from aconstruction background and understands the balance between efficient construction operations and
community impacts. As part of our design efforts' KCG will prepare staging and construction sequencing graphics
which will beutilized toguide the construction phasing for the project.
$° NPDES Expertise
Water quality requirements have become a critical component of public projects over the last 10 years. Successful
delivery ofa project requires a firm that understands this reality and can deliver the permits required. KCG's
stormwater specialist, Chris Becker, will achieve a balance of the City's plans for long-term pavement maintenance
and rehabilitation, while maintaining strict compliance with today's stringent water quality regulatory environment.
He is a seasoned stormwater compliance expert that specializes in the municipal sector. He is a California
Certified/Qualified 5VVPPP Pracdtioner(QSP) and Qualified SVVPPP Deve|oper(C0D). KCG can turn'keya|| storm
water compliance needs from site assessment, to report preparation, to site inspections and monitoring. We have
avxorking knowledge of the complex California General Stormwater Permit for New Construction and are currently
performing work for many agencies, including Caltrans and Los Angeles County.
f> Effective Project Management
There is no doubt that all proposing firms will tout their abilities to effectively "manage" a project. Unfortunately,
manyfirmsbe|ieveiftheystaysomewhatunschedu|eandsubmittheirinvoicesonUmetheyhavebeen^effecdve"
managers. We at KCG do not subscribe to this. Our cure business philosophy is centered around effective
management of all of our projects with the goal of making our clients job easier. The cornerstone goal of this
philosophy is to "get out and stay out in front of the issues" on each and every project. We feel very strongly that
our clients hire us for an assignment it is our obligation to bring it to a successful completion without having our
hands held or being reliant on City staff to do our job for us. We know that cities have this hand -holding experience
with consultants too frequently... KCG will not allow this to take place on this or any project. The way we achieve
this objective is by providing seasoned engineers that are also effective managers, not only because they understand
the project process but because they understand the technical background of the design itself. We can anticipate
issues faster than those managers who are reliant on younger design engineers to keep them informed. This
disconnect cannot and will not happen at KCG because our Project Managers have hands on day to day involvement
in the project design. Our project manager for the subject project will be Rick Kreuzer. Mr. Kreuzer is the President
of KCG and has 35 years of experience managing and designing public works projects. Over the last 15 years, he has
personally managed and/or designed over lO roadway and intersection improvement projects for Southern
California cities.
44 Quality Assurance
Last but certainly not least isthe delivery ofa quality product. We believe that quality assurance is rooted in the
philosophy by which you conduct your business. |tistrue that quality can be monitored and controlled to some
degree via checklists and independent reviews, but true "quality" product comes from afirm's commitment tu
excel for their clients. Do they care about their product? KCG does. Duthey have experienced staff overseeing or
doing the work every step ufthe way? KCG will. Dothey want the next job? KCG does. Are they staying out in
front of the issues and ^1eading"the project? KCG will. Quality isaculture within acompany.'you either have itor
you don't.
LSECTION 2.0 -METHODOLOGY
The following outlines our overall project approach to the project. We will complete individual tasks/subtasks to
successfully deliver the project. Each task or subtask below begins with a brief overview or understanding including
the general approach KCG will be taking to insure successful completion of that particular task. This narrative will
serve to point out key elements and challenges of the work involved with a particular task and how we propose to
address those challenges. Our understanding/approach is delineated in the blue shaded boxes under each task.
Immediately below these boxes is the detailed scope of work which provides clear definition of the work which will
be completed under that specific task or subtask.
Task 1.0 — Project Management
Overview
JApproach: The ultimate success of a project depends on basically two main elements. One, technical
execution of the design. For the most part, all of the proposing firms for this project can display their credentials
in this area or they would probably not be proposing. The second, and most important, element for success is
effective project management. There is no doubt that all proposing firms will also tout their abilities to effectively
"manage" a project. Unfortunately, many firms believe if they stay somewhat on schedule and submit their
invoices on time they have been "effective" managers. We at KCG do not subscribe to this. Our core business
philosophy is centered around effective management of all of our projects with the goal of making our clients job
easier. The cornerstone goal of this philosophy is to "get out and stay out in front of the issues" on each and every
project. We feel very strongly that our clients hire us for an assignment it is our obligation to bring it to a successful
completion without having our hands held or being reliant on City staff to do our job for us. KCG will not allow
this to take place on this or any project. The way we achieve this objective is by providing seasoned engineers
that are also effective managers, not only because they understand the project process but because they
understand the technical background of the design itself. We can anticipate issues faster than those managers
who are reliant on younger design engineers to keep them informed. This disconnect cannot and will not happen
at KCG because our Project Managers have hands on day to day involvement in the project design. Our Project
Manager for the Artesia Boulevard project will be Rick Kreuzer. Mr. Kreuzer is the President of KCG and has 35
years of experience managing and designing public works projects. Over the last decade, he has successfully
delivered many projects that are very similar to the project at hand.
Under this task, KCG will perform all management related duties required for successful completion of the project,
including the following subtasks:
Subtask 1.1 — Meetings: KCG will attend a project kickoff meeting and monthly progress meetings for the duration
of the project. KCG will prepare agendas and minutes for all project meetings. We do not put a limit on how many
meetings we will attend. If needed, we will be there.

Overview„t"Aparoach: Comprehensive and detailed field survey is critical on a project of this magnitude. We are
proposing a very comprehensive scope for this task to insure we have the detail needed to complete a first rate,
quality set of final plans.
The KCG survey crew will utilize a combination of Trimble R8-4 GPS and Trimble S6 Robotic Total Station equipment
will be used to collect 50' cross sections within the project right-of-way. The topographic survey will collect all site
features, surface utilities and identify areas along the existing curb/gutter and sidewalk with %" or greater
displacement. The survey will be tied horizontally to the California State Plan coordinate system NAD83 (2017.50
Epoch). Vertically, the survey will be tied to NAVD 88 (1995 Adjustment) based upon observed Los Angeles County
public works benchmarks. The topographic survey will be delivered in AutoCAD 2018 Civil3D format with contours
generated at 1 -foot intervals. Survey topography will extend a minimum of 100 feet beyond the project limits and
will also extend well on to private property to insure that the design of off-site match work is sufficiently covered.
Subtask 2.3•- Utility Research and Coordination
verylew ApgMach: Utility coordination is an element that, if not properly addressed and managed, can
significantly effect a project schedule and budget. This work task is much more than gathering record drawings
and plotting them on the plans. The success of this task is proactively managing the relationship with all utility
service providers but the real key is identifying the impacts to all facilities early on in the design process and
coordinating proactively with the affected agency
staff/service planners to mitigate those impacts and
facilitate needed relocations. Overlooking or addressing
utility impacts late in the design process usually results in
negative schedule impacts during construction.
Utilities and their relocations are "inte ral" to the design

process from the beginning to the completion of the project
design. If not, the City and the project will more than likely
pay the price during construction for unanticipated delays.
KCG understands the importance of this project element
and will insure that all potential utility impacts are identified

early on and proactively managed throughout the design
process. For example, Figure 2 at right depicts large AT&T and Figure q2— Utility Vaults
Edison vaults which will likely be in the widened area of the
intersection. Coordination for adjustment/relocation of these facilities will be discussed with AT&T and SCE early
on in the design phase.
Based on our initial review of the corridor and our initial research, the following companies have facilities within
the project limits:

Utility coordination will be ongoing throughout all phases the project. The utility research and coordination efforts
on the project will consist of the following efforts:
• Obtain record information for all utilities in the area
• Upon establishing the proposed improvements, determine where potential utility conflicts exist and where
utility relocation is warranted
• Coordinate with affected utility companies regarding conflicts, relocations and improvements. This
coordination effort will require providing updated plans to the utility agencies for the proposed
improvements and also meeting with the various utility service planners on the project site, as necessary, to
discuss conflict its and/or relocations. Two (2) full sets of plans will be submitted for comment to each utility
agency concurrent with all KCG submittals on the project. Ail correspondence to utility—companies'—wilt be
copied to the City of Downey.
• Conduct potholing, as warranted to, establish the vertical location of existing facilities at key locations
Overview ZApproach: The approach to this task involves the blending of all project data into a detailed and
accurate base map for the project. All record information gathered under subtask 2.1 will be added. All existing
utility information obtained under subtask 2.3 will be plotted and then cross checked, verified and/or updated
with the detailed field survey obtained under subtask 2.2. The final step will be to field verify the accuracy (and
update as necessary) by walking the job and insuring that all physical site features and conditions are reflected
accurately.
Utilizing information obtained under the previous subtasks, KCG will add all existing site features such as property
lines, street right of way lines, underground utilities and other surface features. Accurate project base mapping will
be insured via field verification by the Project Manager.
Subtask 2.5 Field Reviews
t7verview,( proach: We believe very strongly in completing comprehensive site reviews during the design
process. These reviews will serve to identify areas of needed curb and gutter and sidewalk replacement as well
as needed drainage system upgrades and median modifications required and identify and confirm utility impacts
and necessary relocations.
The KCG Team will conduct field reviews throughout the project design phase to insure base map accuracy and to
validate and confirm our project design.
Subtosk 2.5— Traffic Operations Analvsis
overview ro cfr: The traffic operational analysis for the Imperial/Paramount intersection will be done by
Hartzog and Crabill. This analysis will determine the design parameters for the project including, but not
necessarily limited to, lane configuration, signal phasing, pocket lengths and geometric requirements.
HCI will develop a traffic operational analysis to address the feasibility for improving the intersection to meet current
traffic demands and compare results with the proposed widened improvements.
In more specific terms, HCI will evaluate the traffic flows by gathering peak -hour turning movement vehicular traffic
counts. HCI will include the collection of new AM/PM peak hour intersection traffic counts for the 7-9am and 4-6pm
periods during one midweek day. The counts will be used to evaluate/determine storage lengths for applicable left -
turn and right -turn pockets for the approaches based on existing as well as future traffic volume needs.
Upon receipt of the intersection count data, as well as obtaining a copy of the existing traffic signal plan and signal
timing sheets from the City, HCI will conduct an operational traffic analysis for the intersection using the Synchro
software. The results of this traffic analysis will be used to predict intersection levels -of -service (LOS) and queuing
for existing and future 2035 traffic volume conditions. HCI will produce a design -level traffic study for the project to
consider the traffic conditions on the project roadways expected at project completion, as well as post construction
traffic conditions based on the City's projected growth rate to 2035 traffic volume conditions. HCI will include
recommendations on intersection lane configuration geometry (i.e., pocket lengths, width, openings, etc.), as well
as phasing.
This subtask will culminate with a Traffic Operations Report which will be documented with text, tabular and
graphical material, along with a summary of results and recommendations which will form the basis for the
development of the Project Concept Plans (subtask 2.8).
Subtask 2.7 — Geotechnical Report
Harrington Geotechnical will complete this subtask which will consist of the following work efforts:
• Mark the proposed core locations;
• Notify Dig Alert;
• Provide traffic control as necessary;
+ Remove small sections of the pavement at 2 random locations from each of the proposed new left turn
lanes on Paramount Boulevard and Imperial Highway and one from each of the widening areas;
• Measure the thicknesses of the existing pavement and base at each test location (if present);
• Sample the subgrade to determine in place moisture and density of the upper 1 foot and sample the soils
to a depth of four foot below the existing surface;
• Backfill the test holes with soil cuttings, and patch the pavement with 6" of cold -mix asphalt concrete;
• Perform 4 hydrometer and grain size analyses on the subgrade materials to determine sample(s) for R -
Value testing;
Conduct two Hveem stabilometer test (Caltrans Test Method 301) on selected samples to establish
the R -value of the material in the areas of new work (T.I. to be furnished by City);
Evaluate the information and prepare a report on the findings, conclusions and recommendations.
Overview I Avoroach. The objective of this subtask is to take all of the work compiled to date and, along with
the recommendation put forth in the Traffic Operations Study, and develop Concept Plans for all viable
intersection alignment alternatives. These plans will depict all project geometrics and pavement striping required.
Once completed, these plans will form the basis for discussions with City staff in order to obtain a consensus on
a Preferred Alternative to carry forward through final design and on through construction.
Conceptual plans will be developed in the form of a Precise Alignment Plan for all viable project geometric
alternatives. These plans will be developed at a scale of 1"=40' and will depict, at a minimum, the following:
• Intersection geometrics including curb lane and median layouts
• Pavement delineation
• Right of Way Acquisition required, both permanent and temporary (TCE's)
• Utility relocations required
• Drainage modifications needed
• Bus stop/shelter locations
• Custom crosswalk locations/details
Each concept plan Alternative developed will be accompanied by a construction cost estimate. Once developed, the
KCG team will meet with City staff to discuss the alternative layouts and reach a consensus on the Preferred
Alternative to carry forward through final design.
A sample Precise Alignment Plan for our recently completed Orangewood Avenue Widening in the City of
Anaheim is enclosed in the Appendix to this proposal. This plan depicts the overall content and format of the
Concept Plan Alternatives that will be delivered to the City under this subtask.

Task 3.0 — Environmental Analysis (IS/MND)
Overview LAp roach: The Paramount Boulevard and Imperial Highway Intersection Project calls for a re -design
of the intersection to accommodate anticipated growth in traffic through 2035. Dual left turn pockets will be
added in the southbound direction along Paramount Boulevard and in the westbound direction along Imperial
Highway. The southerly left (northbound direction) of the intersection will be widened to provide sufficient road
width for vehicular U-turn movements. The project includes reconstruction of the westerly and easterly leg of the
intersection approaches approximately 300 feet away from the intersection in concrete (300 -foot approaches and
50 -foot departures). The intersection will be reconstructed and decorative concrete crosswalks will be added
along with modified traffic signals and striping, signing and pavement markings. Based on these improvements,
the project will most likely require an Initial Study/Negative Declaration or Mitigated Legative Declaration that
would include technical studies, Since there are no Federal funds used on the project, we are proposing to do
environmental clearance under CEQA only, Hodge and Associates will be completing the IS/ND for this project.
KCG and Hodge have worked on numerous similar projects over, the last 5 years with great success.
To satisfy CEQA, an Initial Study/ Negative Declaration (IS/ND) will be prepared. This task will require the following
efforts:
• Preparation of AB 52 Native American consultation letters for City to send to tribal representatives on their
notification list.

Subtask 4.1— Leoals and Plots
KCG will prepare legal description and plats for the permanent right of way takes for the four (4) parcels identified
above. In addition, we will also prepare legals and plats for Temporary Construction Easements (TCE's) for all 4
properties to facilitate construction.
Subtask 4.2 — Property Amoraisols
Overland Pacific and Cutler (OPC) will conduct real estate appraisals to determine the fair market value and just
compensation for each of the impacted properties. This will require the following work efforts:
• Mail a notification letter and acquisition policies brochure to the property owner requesting permission to
conduct an on-site inspection of the property, advising them of their right to accompany the appraiser at
the time of the inspection, and requesting information regarding the property appraised which could
influence the appraised value.
• Review title information pertaining to respective ownerships and review drawings and other pertinent
information relative to the parcel.
• Inspect each property personally with the owner (if possible) and document the inspection with
photographs for use in the report.
• Inventory all improvements affected by the proposed taking including notes on their manner of disposition
(i.e., pay -for and remove vs. move back).
• Perform market research to support the selected appraisal methodologies and will document and confirm
comparable sales information.
• Prepare a narrative appraisal report that conforms to the Uniform Standards of Professional Appraisal
Practice (USPAP). The appraisal study and report are intended to serve as an acquisition appraisal and will
be prepared in a summary format consistent with the specifications for narrative appraisal reports.
Subtask 4.3 -- Riqht of Woy Acoulsition
Under this subtask, OPC will prepare offer letters to property owners, with legal descriptions and plats attached, and
negotiate acquisitions on the City's behalf. This will include the following work effort.
• Establish and maintain complete and current ownership files in a form acceptable to the client.
• Receive and analyze title information, approved appraisal reports, and legal descriptions in sufficient detail
to negotiate with property owners and other parties.
• Prepare all offer letters and summary statements in accordance with state or federal regulations and
approval of client.
• Present written purchase offers to owners or their representatives in person, when possible. Secure receipt
of delivery of offer as practical.
Following the City's approval of just compensation, OPC will present the City's written purchase offer to the owners
and/or owner's representative. Negotiations will involve an interactive, face-to-face discussion with each property
owner about subject property; explanation of the project and its impacts to the property; explanation of the
valuation process and how the value was concluded; and answer any questions or concerns the owner may have.
OPC's licensed California real estate agents are trained to utilize a non -coercive, integrative negotiation style to
overcome all hurdles in reaching a settlement in the most efficient manner possible. Our agents will negotiate in
good faith, with an open mind for creative solutions that would be mutually beneficial to all parties involved. In the
event a counter proposal is made, OPC will evaluate its merits and make recommendations if an administrative
adjustment or settlement is warranted based on the facts. OPC consults with the real estate appraiser to provide
supplemental research and analysis of property owner presented reports or theories. Supplemental negotiations
may also include addressing any objection or question concerning the project the owner has by conferring with the
City's Project Manager. Once an agreement is reached, OPC will submit the appropriate executed documents to the
City for approval; including letters of recommendation with supporting documentation if an administrative
settlement is being recommended.
For non-responsive property owner(s) the following activities will be required:
• Follow-up and negotiate with each property owner, as necessary; prepare and submit recommended
settlement justifications to client for review and approval; review any independent appraisal secured by
property owner and coordinate reimbursement of appraisal fees (up to $5,000) with client. Ongoing
negotiations and settlement discussions will continue for 8 weeks after the initial offer or if settlement or
impasse is reached sooner.
• Prepare and assemble acquisition contracts, deeds, and related acquisition documents required for the
acquisition of necessary property interests. Legal descriptions to accompany easements or to accompany
partial acquisition deeds are not included in this Scope of Work.
• Maintain a diary report of all contacts made with property owners or representatives and a summary of the
status of negotiations indicating attitude of owners, problem areas, and other pertinent information. Copies
of all applicable written correspondence will be maintained in files.
• Transmit executed acquisition documents to client. Each transmittal package shall include a fully executed
and properly notarized deed(s), fully executed acquisition contract with attachments, and a brief settlement
memorandum which summarizes pertinent data relative to the transaction.
If the City resorts to the eminent domain process in order to acquire the right of way from a non-cooperative
property owner, the Consultant shall work cooperatively with special legal counsel to be acquired by the City as
necessary, including the following:
• Prepare an impasse letter for any parcel where, after diligent attempts to settle by negotiation, it appears
eminent domain will be needed or prudent to acquire the needed interest.
• Provide advisory support services to city's special legal counsel.
• Prepare letter for client signature to special legal counsel, requesting proceeding to condemnation.
• Provide special legal counsel with available right of way maps and legal descriptions, preliminary title
reports and title review documents, and information on how to contact each owner or interest holder.
• Provide special legal counsel with a duplicate copy of the parcel file, together with a copy of the appraisal,
offer to purchase, correspondence, acquisition contract, and deed as presented.
• Convert preliminary title reports to litigation guarantees for special legal counsel's use.
Upon completion of the Right of Way acquisition process, OPC will transmit executed acquisition documents to
client. Each transmittal package shall include a fully executed and properly notarized deed(s), fully executed
acquisition contract with attachments, and a brief settlement memorandum which summarizes pertinent data
relative to the transaction.

Roadway plan and profile sheets will be prepared at a scale of 1" = 40' horizontal and 1"=4' vertical scale. These
plans will depict all proposed roadway improvements including removals required. Match workto private property
will be shown in detail on the offsite plans. Roadway profiles will depict existing and proposed centerline, median
top of curb and flowline, and parkway curb and gutter flowline and top of curb elevations.
An intersection grid will be provided depicting proposed elevations on a 10 foot grid pattern for the
Imperial/Paramount intersection. Proposed elevations along the edges will consist of TC, FL, EG, EP, BCR, ECR, and
%, %, and % curb return elevations.
Offsite plans at 1" = 10' scale will be prepared for all impacted private properties. Details will be depicted, as
required. These plans will depict, in detail, all site improvements required to properlyjoin the widened roadway to
each individual property, particularly at proposed driveway locations. All improvements required to meet ADA
requirements will also be depicted on the offsite plans. The relocation of all signs, lights and other impacted
facilities will be coordinated and/or designed by KCG, including the structural design needed for any sign and light
pole foundations.
Drainage improvements will be depicted in plan view on the street improvement plans. Separate drainage profiles
for new connector pipes, along with supporting details, will be provided on the construction detail sheets.
The signing and striping plan will be prepared at 1" = 40' scale and will show centerlines, right of way lines, proposed
street improvements, driveway locations, striping, pavement markings, curb markings, and parking restrictions.
Any work required to transition the proposed striping tojoin with existing stripes will also be provided. The plan will
conform to the California MUTCD and City Standards.
All signal work shown on the signal modification plan will be designed in conformance with Sections 86 and 87 of
the State of California (Caltrans) Specifications and Standard Plans, 2018 Edition, and will also be compliant
with the City of Downey's Design Standards, and applicable technical provisions. The traffic signal modification
plan will include: General and construction notes, phase diagram, conductor, detector and pole schedules, and
other details necessary for construction. The traffic signal modification plan will be prepared at 20 -scale.
A separate 40 -scale signal interconnect fiber optic (FO) plan sheet will be prepared showing the modification of
applicable conduit and cable leading from the modified, widened corner. This plan sheet will also include both
general and construction notes.
Also, a separate 20 -scale traffic signal equipment removal plan sheet will be prepared showing the existing traffic
signal equipment that is to be removed as part of the widening modification, including abandonment of existing
conduit and cable. This plan sheet is necessary in order to properly show the details of the removal work without
cluttering the details on the traffic signal modification plan sheet. This plan will also include both general and
construction notes, and be prepared on a 'D' size (24"x36") sheet, signed and sealed by a registered Civil Engineer
with standard City of Downey title block.
Project cross sections will be prepared at a scale of 1"=10' horizontal, 1"=1' vertical scale. These cross sections will
be provided at 50 foot intervals for the entire project reach and will depict existing and proposed elevations, cross
fall slopes, join elevations and cut/fill limits and quantities.

Task 14 — NPDES Permitting
Overview Aggroach: The City of Downey lies within the jurisdiction of the Los Angeles Regional Water Quality
Control Board. KCG is fully knowledgeable in the permit processing and field implementation of Storm Water
Prevention Plans and Water Quality mitigation in the LAWRQCB jurisdiction.
Under this task, we will incorporate storm water runoff control and pollution prevention Best Management Plan
measures into the specifications and plans for the Imperial/Paramount project to satisfy stormwater compliance
requirements including providing the NPDES Permit coverage for the project. As described below, this will require
the preparation of a WQMP and a SWPPP.
To implement the above requirements and secure stormwater compliance for the project, a Water Quality
Management Plan will be required to guide the design phase and a Stormwater Pollution Prevention Plan is
required to direct the contractor's field operations during the construction phase. KCG will prepare these two
documents in conformance with Downey's requirements. We envision these documents will be formatted as

Quality Assurance and Quality Control are rooted in the philosophy by which you conduct your business. It is true
that quality can be monitored and controlled to some degree via checklists and independent reviews, but a true
"quality" product comes from a firm's commitment to excel for their clients. Do they care about their product? KCG
does. Do they have experienced staff overseeing or doing the work every step of the way? KCG will. Do they want
the next job? KCG does. Are they staying out in front of the issues and "leading" the project. KCG will. Quality is a

Mr. Kreuzer is a "hands-on" project manager who gets involved in the actual day to day design activities on all of his
projects. This allows him to be a very effective single point of contact for all project issues. Most importantly, having
personally managed so many widening projects over the years, he knows what clients want from their consultants...
to take ownership of the project and proactively lead it and do not expect the City staff to babysit the consultant
team or drive the project process. It is Mr. Kreuzer's "no nonsense get it done approach" which has resulted in the
long list of repeat work from the Orange County cities over the last decade.
Assisting Mr. Kreuzer with the day to day design of the project will be Mr. David Jarvi. Mr. Jarvi has been Mr.
Kreuzer's right hand man for the last 20 years. He is proficient with the use of AutoCAD software and has a thorough
understanding of standards, design criteria and plan formatting requirements for this type of project.
Chris Becker is KCG's Stormwater Quality expert. Mr. Becker has 25 years of professional experience in the public
works industry. He is a Qualified SWPPP Developer and Practitioner (QSD/QSP), Certified Professional in Erosion and
Sediment Control and Certified Sediment and Stormwater Inspector. Mr. Becker has significant experience
preparing, processing and permitting of Water Quality Management Plans (WQMP), Storm Water Pollution
Prevention Plans (SWPPP), Caltrans Storm Water Data Reports (SDR) and Water Pollution Control Plans (WPCP).
Eric Metz is KCG's survey party chief. He has 18 years of professional surveying experienced. He is also an expert
Civil3D software user. This experience allows Mr. Metz to bridge the gap between gathering of field data and
understanding the needs of the civil/roadway designer. Using the latest state of the art GPS survey equipment, Mr.
Metz is able to provide survey data in a expeditious and cost effective manner.

Lakewood Boulevard Improvements Phase 3A, City of Downey, Downey, CA — Project Engineer for the
design of streetscape and roadway improvements on Lakewood Boulevard in the City of Downey. Tetra
Tech prepared preliminary and final plans for streetscape and engineering improvements for the 4,000
foot segment of Lakewood Boulevard from 5th Street to Florence Avenue in the City of Downey. The
project included additional through lanes, extensive median and parkway improvements, decorative
lighting, street furniture and both potable and recycled water improvements. Great care was taken to
minimize impacts to private development and to provide a seamless transition between old and new
areas. The project created an aesthetically pleasing corridor, while decreasing construction cost savings
of over $500,000 through the use of recycled pavement.
La Palma Avenue / Kraemer Boulevard Intersection, City of Anaheim, Anaheim, CA — Project Engineer
forthe $2.4 million widening of La Palma and Kraemer Intersection forthe City of Anaheim Orange County,
including right-of-way engineering and utility coordination. Tetra Tech prepared plans, specifications and

report and final PS&E for this one mile long widening project in the City of
Anaheim.This project involved the widening of Brookhurst Street from 4 to
6 lanes between Katella Avenue and Ball Road, a distance of 1 mile. This

KCG is completing preliminary and final design for improvements in the Old
Town Historic District in the City of Tustin. These improvements including the
narrowing of Main Street to implement a more "complete street" consisting
of a more balanced vehicular/pedestrian/bicycle facility on Main Street
including class IV buffered bike lanes and raised medians. The project also
includes the construction of a series of "parklets" along EI Camino Real to
provide additional open space and facilitate the expansion of outdoor dining

KCG completed the design ofroadway widening from 6 to 8 lanes and
streetscpeimprovements of KateUaAvenue from Lewis Street m400'east
ofState College Boulevard, adistance of3,00Ofeet including intersection
widening improvements at Kate||a/State College and Kace||a/ Lewis. This
project included extensive utility coordination and off-site improvements.
A total of 12 properties were impacted by the widening, all of which
required partial right of way acquisition. KCG completed all right of way
legal description and plats tosupport this acquisition effort. The project
roadway improvements included the construction of new raised median
with significant landscaping treatments. This project was completed ahead
nfschedule, under budget.

clearance, Project Report and Final PS&E for the widening of Brookhurst Street between 1-5 and SR -91. This project
also included the design of an off street joint use (ped/bike) pathway. This project required significant right of way
acquisition and the placement of 8' high sound walls along both sides of the street. A new mainline storm drain
(24" to 60" diameter) was also designed as part of this project. This project was cleared environmentally through
separate CEQA and NEPA processes.

improvements. KCGwas assisted by]2 Engineering (landscape/ hardscape), Wright Engineering (lighting and traffic
signals), K8akPro (public outreach), and RA[NK8 (geotechnical) on the project design. As depicted below, the KCG
Team received an excellent rating in 13 of 14 categories and an overall rating of 98% for our performance of this
project bythe City of Mesa. In addition, the KCG Team recently received an ACEC"Grand Award" for Engineering
Excellence for this project. Due to our performance on Phase l, KCG also completed the design of Phase Z from
Sycamore Street tothe Tempe Canal, a distance of approximately l mile.
