REGARDING THE PROPOSED TRAFFIC SIGNAL UPGRADE AT THE PARAMOUNT
BOULEVARD AND GARDENDALE STREET INTERSECTION,

That the City Council:
1. Approve Cooperative Agreement with the City of South Gate regarding the proposed traffic
signal upgrade at the Paramount Boulevard and Gardendale Street Intersection, Capital
Improvement Project No. 17-09;
2. Authorize Mayor to execute the agreement with the City of South Gate in a form approved
by the City Attorney; and
3. Authorize City Manager to execute any and all future amendments to said agreement in
form acceptable by the City Attorney.
The City of Downey is proposing a series of traffic safety enhancements along Paramount
Boulevard between Telegraph Road and Gardendale Street. In order to fund this effort, the City
applied for and received a grant in the amount of $1,926,300 in federal funds through the Highway
Safety Improvement Program (HSIP) Cycle 7.
Among the safety enhancements to be completed through this project is a proposed upgrade of the
existing traffic signal at the Paramount Boulevard and Gardendale Street intersection, including the
following specific features:
• Provision of protected -permissive left -turn phasing in the northbound and southbound
directions along Paramount Boulevard;
• Upgrading the electrical service;
• Converting the intersection safety lights from high-pressure sodium vapor to more energy-
efficient light -emitting diode (LED) lighting;
• Replacement of existing controller unit with a more advanced model to be consistent with
current standards and latest technology;
• Upgrading video detection cameras to the latest technology with enhanced vehicle and bike
detection capabilities and high-definition video resolution; and
• Changing out all eight -inch vehicle indications with more visible 12 -inch indications.

Since the South Gate city boundary coincides with the Gardendale Street centerline, the southerly
half of the intersection is located within the City of South Gate. Therefore, the execution of a
cooperative agreement with the City of South Gate will be necessary in order for the project to
move forward.
The location of the Paramount Boulevard at Gardendale Street intersection is shown in Attachment
A.
The design plans for the project are currently at the 95% level of completion. The construction
phase of the project is estimated to begin in fall 2019 with completion anticipated in spring 2020.
Staff recommends approval of the attached cooperative agreement (see Attachment "B") with the
City of South Gate. The South Gate City Council approved the agreement at its meeting on May
28, 2019.
Quality of Life, Infrastructure and Parks
The estimated cost of completing the proposed traffic signal upgrade at the Paramount Boulevard
at Gardendale Street intersection; including design, construction, City -furnished materials,
contingency, inspection and project management is $172,000. The proposed improvements will be
funded through the aforementioned federal HSIP grant. Approximately $157,000 has been
expended to date on the design phase of the project. The remaining $1,769,300 of the $1,926,300
HSIP grant will be programmed in the FY 19-20 Capital Improvement Program in account no. 26-
17830 to fund the construction phase of the project. No local match is required.

THIS AGREEMENT for Paramount Boulevard at Gardendale Street Traffic Signal
Modification ("Agreement") made this day of May 2019, by and between the City of
Downey, hereinafter "DOWNEY", and the City of South Gate, hereinafter "SOUTH GATE" for
the modification of the traffic signal at the intersection of Paramount Boulevard and Gardendale
Street, hereinafter referred to as the "PROJECT." DOWNEY and SOUTH GATE are sometimes
individually referred to as "Party" or collectively as "Parties." The effective date of this
Agreement is May 28, 2019.
WITNESSETH:
WHEREAS, DOWNEY was awarded a federal grant in the amount of $1,926,300 for
traffic signal upgrades and other safety enhancements along Paramount Boulevard within its City
limits between Telegraph Road and Gardendale Street, and partially within the City of South
Gate at the intersection of Paramount Boulevard and Gardendale Street; and
WHEREAS, the scope of the PROJECT includes the modification of the traffic signal at
the Paramount Boulevard at Gardendale Street intersection, consisting of the following elements -
1. Conversion to protected -permissive left -tum phasing in the northbound and
southbound directions along Paramount Boulevard,
2. Upgrading of the existing electrical service to'a type III service,
3. Replacement of high-pressure sodium (PS) safety lighting with light -emitting
diode (LED) safety lighting,
4. Upgrading of video detection cameras, and
5. Replacement of eight -inch vehicle indications with 12 -inch indications.
WHEREAS, the PROJECT will be completed as part of same traffic signal upgrades to
be implemented along Paramount Boulevard; and
WHEREAS, the City boundary between DO EY and SOUTH GATE coincides with
the Gardendale Street centerline; and
WHEREAS, the PROJECT will be of mutual benefit to both DO EY and SOUTH

WHEREAS, the total estimated cost of the traffic signal upgrades and other safety
enhancements to be completed along Paramount Boulevard is One Million Nine Hundred
Twenty -Six Thousand Three -Hundred Dollars ($1,926,300), which includes, but is not limited
to, the design and preparation of complete plans, specifications and estimate; advertisement,

improvements in accordance with the Public Contract Code; and
WHEREAS, the PROJECT will be funded in its entirety through the federal grant
received by DOWNEY; therefore, SOUTH GATE is not required to fund any portion of t e
PROJECT nor provide local match funds;
NOW, THEREFORE, in consideration of the mutual promises, covenants, and
conditions herein contained, the parties agree as follows:
A. DOWNEY shall be responsible for providing all design and construction
engineering necessary to complete the PROJECT. This shall include but not be limited to the
following: design and preparation of complete plans, specifications and estimate; advertisement,
bidding and award; construction, inspection and contract administration for the contemplated
improvements in accordance with the Public Contracts Code.
B. DOWNEY has appropriated sufficient funds in its Capital Improvement Program
budget for Fiscal Year 2018-19 for the modification of the traffic signal at the intersection of

said intersection, under the PROJECT. SOUTH GATE is not required to fund any portion of th*
PROJECT, nor provide any local match contributions.
C. DO EY and SOUTH GATE hereby approve the scope and estimated cost of
the PROJECT.
D. DOWNEY has prepared and delivere•to •H GATE for approval PROJECT
designs and specifications which are 95% complete. SOUTH GATE shall diligently review
those plans and specifications and provide its comments to DOWNEY as soon as reasonably
possible. Within ten (10) business days after said delivery, DOWNEY shall promptly
incorporate into those plans and specifications as many of those comments as are acceptable to
DOWNEY. If any such comments are not acceptable to DOWNEY, then within five (5)
business days after DOWNEY's receipt of those comments, DOWNEY and SOUTH GATE
shall mutually agree on any and all remaining modifications to the plans and specifications.
Upon such agreement the plans and specifications shall be revised to include those

publicizing any and all notifications relative to the PROJECT as and when required by applicable
state law and DOWNEY's city charter. The cost of the foregoing shall be paid by DOWNEY as

no event shall DOWNEY completely close the intersection of Paramount
Boulevard and r- •. Street at any time in connection with the PROJECT without first
providing SOUTH GATE with a minimum of three (3) business daysprior written notice of th
proposed closure and allowing SOUTH GATE to recommend alternatives to closure.
G. itWNEY and SOUTH GATE agree to be responsible for maintenance of the
improvements constructed and DOWNEY will continue to bill SOUTH GATE for 50% of the
maintenance cost per the traffic signal maintenance agreement between DOWNEY and its traff
signal maintenance contractor.
H. DOWNEY agrees to protect, defend and indemnify SOUTH GATE against any
claims, liabilities orjudgements arising from DOWNEY's actions or inactions in carrying out
responsibility under this Agreement. SOUTH GATE agrees to protect, defend and indemnify
DOWNEY against any claims, liabilities or judgments arising from SOUTH GATE's actions oi
inactions in carrying out its responsibility under this Agreement.
L DOWNEY shall require consultant and contractor selected to per orm t e
PROJECT to protect, indemnify and defend SOUTH GATE in the manner that DOWNEY is
indemnified in the contract documents. DOWNEY shall require consultant and contractor to
name both DOWNEY and SOUTH GATE as additional insureds on all required insurance und(
the contract documents.
J. DOWNEY shall furnish an inspector during the construction of the PROJECT.
SOUTH GATE may also furnish, at no cost to Downey, an inspector to inspect the construction
of the PROJECT. Said inspectors shall cooperate and consult with each other, but the orders of
the DOWNEY inspector to the contractor or any other person in charge of construction shall
prevail and be final.
K. SOUTH GATE agrees, upon approval of the construction plans•r e
PROJECT, to issue a no -fee permit to DOWNEY's contractor to construct those portions of the
PROJECT within SOUTH GATE's jurisdiction. At the request of either Party, the other Party
shall provide copies of as -built drawings, plans, records and files applicable to the PROJECT at
no cost to the requesting Party
L. The parties of this Agreement are the City of Downey, a municipal corporation
and charter city, having its principal office at I I I I I Brookshire Avenue, Downey, CA 90241
and the City of South Gate, a municipal corporation, having its principal office at 8650
California Avenue, South Gate, CA 90280.
M. The representatives of the respective parties who are primarily responsible for the
v.dministration of this Agreement, and to whom formal notices, demands and communications
shall be given, are as follows:

N. The term of this Agreement shall be from the effective date stated hereinabove
until June 3 0, 202 1, unless extended by written amendment by the parties hereto.
Notwithstanding this Section M, if the construction is in progress on June 3 0, 202 1, either Party
may extend in writing the Agreement until PROJECT completion and set forth a target date for
tracking purposes. A copy of any writing setting forth a revised completion date shall be
forwarded to the City Clerk for each Party. Further, the obligations and promises of the parties
set forth in Sections G, H and I of this Agreement shall survive the termination of this
Agreement.
0. Disputes regarding the interpretation or application of any provisions of this
Agreement shall, to the extent reasonably feasible, be resolved through good faith negotiations
between the parties. If any action at law or in equity is brought to enforce or interpret any
provisions of this Agreement, the prevailing party in such action shall be entitled to reasonable
attorneys' fees, costs and necessary disbursements, in addition to such other relief as may be
sought and awarded.
P. This Agreement supersedes all prior proposals, agreements and understandings
between the parties regarding the PROJECT and may not be modified or terminated orally, and
no modification, termination or attempted waiver of any of the provisions hereof shall be binding
unless in writing and signed by both parties.
Q. This Agreement is covered by the laws of the State of California. Any action
must be filed in the Los Angeles Superior Court, Southeast Judicial District, Norwalk,
California.
IN WITNESS THEREOF, the parties hereto have accepted, made, and executed this
Agreement upon the terms, conditions, and provisions above stated, the day and year first above
written.
