REJECT BIDS t AUTHORIZE RE-SOLICITATIONFOR
CONSTRUCTIONBIDS
That the City Council reject all bids received for the City Library Modernization Project,
Capital Improvement Project No. 19-20 and authorize re -solicitation of bids.
At its meeting of January 22, 2019, the City Council approved the plans and
specifications and authorized solicitation of bids for the subject project. On January 31,
2019, and February 7, 2019, the Notice Inviting Bids for this project was published in the
Downey Patriot.
On February 27, 2019, the City Clerk received and publicly opened eleven (11) bids as
shown on the attached bid summary (Attachment 1).
On March 4, 2019, the City received a bid protest from the representative of the second
lowest apparent bidder, Cal -City Construction, Inc. On March 12, 2019, AWI Builders,
Inc., the lowest bidder provided a response to the City with regards to Cal -City
Construction Inc. bid protest. Section 20 of the bid documents states that "The City
reserves the right to reject any or all proposals and to waive any or all information or
technical defects, as the interest of the City may require. Award of Contract or rejection
of Bid proposals will be made by the City within 45 calendar days following the Bid
opening." Upon reviewing the bid protest and the corresponding response, staff
recommends that the City Council reject all bids received as related to the Library
Modernization Project and authorize re -solicitation of bids. It is anticipated that results of
the new bid process would be brought before the City Council at its meeting of April 23,
2019.

An award of the contract to any bidder besides CAL -CITY Would Violate the
competitive bidding laws, standards and practices applicable to California public
works contracts, based upon the bid documents for the referenced project for the
following reasons:

The NOTICE CALLING FOR BIDS [page 7], provides that the City of Downey
[DOWNEY] shall make the award to the lowest responsible bidder or can waive
2ny informality or reject any and all bids at its discretion. AWI Builders, Inc.
[AWI] the apparent lowest monetary bidder is a non -responsible bidder for
reasons discussed below.
Bidder responsibility is defined in Public Contract Code § 1103. They require the
successful bidder to demonstrate both trustworthiness and the (a) quality, (b)
fitness, (c) capacity, and (d) experience to satisfactorily perform this contract.
Here, AWl does meet these requirements for the libliowing reasons.'
AWl has certified that its proposal was genuine and not a sham nor collusive' A
review of the AWl bid indicates that the non -collusion statement was in itself a

4. The submission of a sham bid renders the bidder non -responsible
because these actions by AWI demonstrate a lack of trustworthiness.
Crosby Plumbing is listed as a subcontractor to perform "Plumbing, Paving,
Signs and Roofing." Crosby Plumbing has a C-36 License which is a plumbing
water and the proper disposal of fluid waste from the premises. Crosby
Plumbing also has a C-34 License which allows for the fabrication and
installation of pipelines for the conveyance of fluids. Lastly, Crosby Plumbing
holds an "A" License which is for:
Crosby Plumbing is not licensed to perform "Paving, Signs and Roofing." These
trades require the following specialty licenses, respectively: C-12, C-45 and C-
39.
In D.H. Williams Construction, Inc. V. Clovis Unified School District, Id., a listed
subcontractor did not have a proper contractor's license, and the prime
contractor's bid was rejected as non-responsive. Appellate court held that the
issue was one of responsibility, not responsiveness, so the agency could not

reject the bid as non-responsive, but, instead, had to hold a due process hearing
to determine the bidder's responsibility. So as to Crosby Plumbing, AWI is a
non -responsible bidder.
2. CABD CONSTRUCTION, INC.9
CABID Construction, Inc. [CABID] is listed for "Book Shelves & Furniture Mill
Work, Steel Shelves Library Specialties Casework. [sic]." CABD holds a "B"
License and a C-51. The C-51 license covers structural steel. So CABD is
probably relying on its "B" License.
Library Shelving is covered by Specification section 11 5123. Part 2 specifies the
approved product manufacturer, or equal: Estey a Division of Tennsco Corp.
represented by Yamada Enterprises in Southern California. CABD is not an
authorized installer for Yamada Enterprises.10 For this reason, AWI/CABD were
required by the specifications to request a substitution not less than 10 days prior
to bid date. [General Conditions, Article 8 -Materials, 18.3.B.3 Trade Names, "Or
Equals," Substitutions.] No such request was made. [See Public Contract Code
§3400(a).]
AWI did not list a subcontractor for this scope of work. Public Contract Code
§4106 mandates that if a subcontractor then the prime contractor agrees that is
fully qualified to perform the work. Yet, Yamada does not recognize AWI can
perform the work specified.

agency must also determine whether the bid is responsive to the
call for bids, that is, whether the bid "promises to do what the

In Menefee v. County of Fresno (1985) 163 CA3d 1175, 1180-81, the Court held
that:
[The] waiver [of an irregularity] should not be allowed if the
irregularity would give the bidder an unfair advantage by allowing
him to withdraw his bid without forfeiting the bid bond. Thus, we
should ask — what would have happened if [the bidder] had refused
tb enter into a contract and sought to recover its bid bond? If [the
bidd0d could use the [discrepancy in the bid] to avoid a contract,
then [the bidder] had an unfair advantage — the opportunity to back
out — not given to other bidders [whose bids did not have that
discrepancy].
The issue of responsiveness can be determined from the face of the bid witho
outside investigation or determination. [See Taylor Bus Service, Inc. v S
Diego Bd. of Education (1987) 195 Cal.App.3rd 1331, 1342; Valley Cre
Landscape, Inc. v. City Council (1996) 41 Cal. App. 4th 1432, 1438.]
AW1 has flagrantly violated Public Contract I Code §4105. AWI listed CCC
perform "Flooring, Drywall, Storefront, Traspa, Automated System, Steel, Met
Studs, Curtain Walls, Tile, Door and Hardware." CCC has a " 13," "C-23," and
"C-51" license. CCC lacks the proper license to perform the scope of work

A licensed contractor with a C-17 license: "selects, cuts, assembles and or
installs all makes and kinds of glass. . . . and/or installs these items in any
structure.

The listing law was enacted to prevent "bid shopping and bid peddling
4101]. By fang to list a subcontractor, AWI has created an opportunity for it
bid shop and bid peddle the aluminum store front, curtain wall and glazi
subcontractor bids after the prime contract bid opening without concern fl
substitution requirements under Public Contract Code section 4107. That is
direct violation of the listing law. It also gives AWI an unfair competit!
advantage that none of the other bidders had.
Since AWI listed subcontractors who it knew would not or could not perform t
work for which they were listed, AWI could circumvent the listing law, by b
shopping or bid peddling after bid day, followed by requests to substitute for t
listed sham subcontractors, then, to that extent, the bid is a sham and dire
violates the quoted requirement of the proposal. The listing of unqualifi
subcontractors such as CCC, CABID and Crosby Plumbing raises the sha
issue. Listing these subcontractors for trades for which they are not qualifi
gives AWI an unfair competitive advantage. Since AWI did not bid this work b
included the work under that of listed subcontractors, there is also is a flagra
violation of the listing law; doing exactly what the listing law is specifical
designed to prevent, namely allowing post -bid bid shopping and peddling, whi
raises the responsibility issue as well. I
The competitive bidding process is deliberately made to be prophylactic. No
proof of actual corruption or adverse effect upon the bidding process is required.

Only a potential for abuse needs to appear. As Domar Electric, Inc. v. City of Los

As the result of a quick internet search, CABD Construction appears to be a metal fabrication/structural
steel contractor with a Class B, C-51 license with between 1-5 employees and $150,000,00 - $500,000.00
in annual sales. Based solely on this, it does not appear that they have ever been nor are they currently
engaged in performing the scope of work for which they were listed by AWI (cantilevered library book
shelving and RFID book detection system and SelfCheck units) on the Downey Library project.
Library shelving, library furniture and items such as the RFID book detection system specified for the
Downey Library project are sold through an authorized dealer network. Yamada Enterprises has been in
business for 44 years and in that time, we have never come across CABD Construction as a bidder for this
scope of work.
Yamada Enterprises is the exclusive dealer in Southern California for Estey Cantilever Library Shelving by
Tennsco, which is the shelving manufacturer specified for this project. Therefore, we can only assume
CABD Construction's price is for an alternate manufacturer.
The bid specifications are very clear about the requirements for the scope of work included in Section 11
5123 -Library Stack Systems. The specifications state that a manufacturer's designated Southern California
Area Representative is required. The library furniture and shelving industry is very small and companies
engaged in this work are well known to each other. How would this requirement be met if CABD
Construction is not an authorized dealer of library shelving manufactured by an acceptable alternate to
Estey shelving by Tennsco?

recent letter enclosing Cal -City's bid protest and inviting AWI Builders' response.
As with all bid protests, the public owner must first take note of the primary ru e governin
its conduct in competitive bidding, that the job "shall be contracted for and let to the lowe
responsible bidder." Public Contract Code 20162. As stated in the Notice Calling for Bids, 'IT
award of the Contract, if it is awarded, will be to the lowest responsible Bidder whose bid compli
with all the requirements prescribed." (Specification, page 7). fill
Cal -City's protest has no merit. The protest relies on speculative and unsupportes
innuendo outside of the bid documents. The protest tries to mask its weakness by citing a slew
legal authorities that simply do not support the alleged grounds for the protest. And the prote!

merit on this grounds too.
As with the other issues presented in the protest, this is an alleged "responsibility' issu-
(albeit a weak one). The City should ignore this protest issue as such, but if it does not, A
Builders demands due process hearing.
If ♦ ♦ any additional information from AWI Builders, please let us know. In
conclusion, AWI Builders was the lowest responsive and responsible bidder under the
specification and the law and award to any contractor other than AWI Builders will be fully
contested.
