That the City Council approve a Self -Move Agreement for the relocation costs of the American
Legion Hollydale Post #723 from 11269 Garfield Avenue Downey, CA; authorize the Mayor to
execute the agreement, and authorize the City Manager to execute any and all amendments to
the agreement.

Over the past year and a half, the City of Downey (City), Office of Supervisor Hahn, the County
of Los Angeles Community Development Commission (CDC), and American Legion Hollydale
Post #723 (American Legion) have been in communication regarding the potential
redevelopment of the current American Legion site at 11269 Garfield Avenue Downey, CA. The
site is owned by the County of Los Angeles and leased by the American Legion. The County of
Los Angeles subsequently did not renew the lease for the site to the American Legion.
The goal is to explore the creation of affordable housing for veterans at this site. The CDC is
currently soliciting development proposals for the site. Throughout this process, the City
remained committed to providing site relocation services and financial compensation for
relocation related activities to the American Legion. City staff procured the services of a
business and site relocation specialist, Property Specialist, Inc. (DBA: CPSI). CPSI conducted
numerous visits, interviews, and assessments with the American Legion.
The result of that comprehensive relocation assessment yielded a total relocation benefit of
$226,827 to the American Legion. An amount of $17,527 has already been paid by the City for
relocation services immediately required due to prior site demolition, leaving $209,300 to be
paid upon approval of the Self -Move Agreement by City Council to the American Legion. This
payment is for the relocation of all personal property, furniture, fixtures and equipment from the
former American Legion site, moving and storage expenses, and assistance to relocate to a
new site, including all anticipated County, State and City permit fees. An inventory of the
personal property, furniture, fixtures and equipment is listed within Exhibit "A" — Self Move
Agreement.

It is hereby understood and agreed by American Legion Hall, Hollydale Post 723 (Claimant), and
the City of Downey (City) through the Relocation Assistance Program initiated due to the nonrenewal
of the lease by the property owner, County of Los Angeles, and the subsequent demolition of 11269
Garfield Ave., Downey CA 90242 (Subject Property) for a proposed low-income housing project, that
the total amount of $209.300 (Relocation Payment) will be paid to Claimant for the relocation of all
personal property located from the Subject Property (Self Move Agreement). The $209,300 value is
the remainder benefit after City has paid direct invoices as stated below and in paragraph 8 of this
agreement. Said personal property, detailed in attached inventory list, will be moved from the
Subject Property and relocated to a replacement to be determined. The Relocation Payment is

1. This Self Move Agreement is subject to the approval of the City Council of the City of
Downey and shall not be relied upon until such approval has been received by Claimant.
2. The personal property shall not contain any property classified as realty or property on
consignment.
3. The payment for the purchase of the "Fixtures & Equipment", "Self Move Amount", "Site
Search" and "Re -Establishment" for a total of $209,300, shall be made by the City after:
A. The City Council approves and authorizes this Self Move Agreement.
4. Claimant shall hold City, and its officers, employees, agents and consultants harmless for
the activities giving rise to this Self -Move Agreement. Neither the City, nor any of its officers,
employees, agents or consultants shall be responsible for any claims, damage cost,
expenses or liability arising from any acts or omissions by Claimant under or in connection
with this Self Move Agreement. It is also understood and agreed that Claimant shall fully
indemnify, defend and hold the City and its officers, employees agents and consultants
harmless for any claims, lawsuits, damages, cost expenses or liability for injury or property
damage caused by or arising under this Agreement and/or the activities giving rise to this
Self Move Agreement or for any acts or omissions by Claimant in connection with this Self
Move Agreement.
5. Claimant shall be allowed to utilize the advisory services of the City's relocation consultant,
Site search maximum by Relocation Assistance Law cannot exceed $2,500 and Re -
Establishment cannot exceed $25,000. Both the Claimant and City agree that these
maximums will be met when the Claimant secures and occupies a replacement property,
therefore the total amounts have been included in this Self Move Agreement.
7. Claimant's signors of this Self Move Agreement represent that they represent all member�
and have full authority to bind the American Legion Hall, Hollydale Post 723 and enter into
this agreement.
8. The Relocation Payment of $226,827 is based on professional bids provided by experts in
their industry. The Claimant has requested the Self Move Agreement and understands that
any additional costs incurred in the searching for a replacement site, re-establishing and
improving a replacement site, and the relocation of their personal property will be at their
sole cost and they have no further claim for relocation assistance under the terms of this Self
Move Agreement. Claimant acknowledges that the City paid ($11,277) Bekins Moving Co.
and ($6,250) O'Neil Ventures for a total of $17,527 directly to assist Claimant move personal
belongings into storage, pay for storage from mid-November 2018 through February 2019,
and to prepare the kitchen and bar inventory and develop a substitute equipment list and
bids for the replacement site. This Agreement contains the entire Agreement of the parties
with respect to the subject matter hereof, and supersedes all prior negotiations,
understandings or agreements.
9. Upon full execution of this Self Move Agreement, the City will process a full payment in the
amount of $209,300, to be paid to the Claimant within thirty (30) days from City acceptance
and execution of this agreement.
