That the City Council,
1 Approve agreement with Joe's Sweeping, Inc., dba Nationwide Environmental
Services in the amount of $158,216 for catch basin cleaning services for a period
of three years with an option to renew for an additional two years;
2. Authorize the Mayor to execute the agreement in a form acceptable by the
City Attorney; and
3. Authorize the City Manager to execute any and all amendments to the
agreement as deemed necessary up to 15% of the program budget in a form
acceptable by the City Attorney.
The Lower Los Angeles River watershed, to which the City of Downey (City) is tributary, has a
no -trash Total Maximum Daily Load (TMDL) requirement that the City must comply with as part
of its Municipal Separate Storm Sewer System (MS4) Permit to help prevent debris/trash from
entering the Los Angeles River. With the help of a federal stimulus grant, the City previously
installed automatic retractable screens (ARS) and/or connector pipe screens (CPS) in catch
basins tributary to the Lower Los Angeles River watershed. Since the devices were installed to
help the City comply with MS4 permit requirements, the City has an agreement with the Los
Angeles County Flood Control District (LACFCD) that it must maintain these ARS and CPS
devices which are located within LACFCD catch basins.
Nationwide Environmental Services (NES) has been providing quarterly catch basin cleaning
services to the City since 2012 when the City's street sweeping contract was amended to
include this service. The term of this agreement expired in June of 2018. Since different funds
are used to pay for street sweeping and catch basin cleaning services, and in an effort to allow
other catch basin cleaning contractors to be considered, the City found it most prudent to have
separate contracts for both street sweeping and catch basin cleaning services.

On August 24, 2018, a Request for Proposals (RFP) was issued soliciting proposals from
qualified contractors for cleaning of catch basins in the City equipped with trash excluders such
as ARS and/or CPS units. In an effort to create a level playing field for all proposing
contractors, the RFP specified the following services:
• Quarterly inspection and cleaning of 402 catch basins equipped with ARS and/or CPS
units
• Scaling up of services to include additional catch basins to be equipped with ARS and/or
CPS units in the future
• Disposal of catch basin debris and trash removed
• Minor maintenance to ARS and CPS units-
• Photos documenting before and after conditions of all debris clearing and where
minor maintenance is required
• Use of vactor-type equipment clearly marked with company name and logo
• Use of experienced and trained field personnel dressed in company uniform with
name and logo
• Working hour and after hour as -needed emergency service response
Catch basin cleaning and maintenance reporting
On August 31, 2018, four proposals were received from KVAC Environmental Services, Inc.,
Joe's Sweeping, Inc., dba NES, Ron's Maintenance Inc., and United Storm Water, Inc. All four
contractors provided proposals and fees based on the above services specified in the RFP.
The proposals were reviewed and evaluated based on the following criteria:

NES was ranked number one. NES was found to have the necessary experience and state-of-
the-art equipment along with a proven track record of providing thorough work and quick
response times for the City. Most importantly, they submitted the most cost-effective proposal.
They have provided, or are currently providing, similar catch basin cleaning services to the
Cities of Huntington Park, Montebello, Norwalk, and Pico Rivera. As part of their services for
the City of Downey, NES will inspect and clean 402 catch basins on a quarterly basis, dispose
of all catch basin debris and trash removed, provide minor maintenance to ARS and CPS units,
provide photos documenting before and after cleaning and maintenance conditions, use vactor
type equipment and experienced and trained staff displaying company name and logo, provide
as -needed working and after hours emergency service response, and give progress reports.
Staff recommends the approval of an agreement with Joe's Sweeping, Inc., dba NES for three
years beginning November 28, 2018 and ending June 30, 2021 with the option of extending the
term for up to an additional two one-year terms.

Quality of Life, Infrastructure &Parks
The total cost to the City for catch basin cleaning services to be provided by NES for three years
is $158,216 of which $46,514 is for year one, $52,632 for year 2, and $59,070 for year 3. The
agreement and aforementioned costs were structured to accommodate cleaning of existing as
well as additional ARS and CPS units to be installed in catch basins located in other areas of
the City. The City's approved Fiscal Year 2018-19 Stormwater operating budget includes
adequate funds under account number 72-4-3150-0700 to cover the NES contract for FY 2018-
19. Future Stormwater operating budgets will be adjusted via the City's annual budget approval
process to correspond with subsequent years' expenses associated with this agreement.

CATCH BASIN CLEANING SERVICES AGREEMENT WITH JOE'S SWEEPING, INC. DB
NATIONWIDE ENVIRONMENTAL SERVICES I
This Agreement is made and entered into t is 28 th day of November, 2018 by and
between the City of Downey; a California municipal corporation and charter city with its
principal place of business at 11111 Brookshire Avenue, Downey California 90241
and Joe's Sweeping, Inc., dba Nationwide Environmental Services, a California
corporation, with its principal place of business at 11914 Front Street, Norwalk, CA 90650
("Contractor"). City and Contractor are sometimes individually referred to as "Party" and
collectively as "Parties." I
Contractor dperform and assume responsi•i y or t e provision of certain
catch basin cleaning services required by City on the terms and conditions set forth in this
Agreement. Contractor represents that it has demonstrated competence and experience in
providing catch basin cleaning services to public clients, is licensed in the State of California,
and is familiar with the plans of City.
City desires to engage Contractor to render such Services for catch basin cleaning
services in connection with the City's stormwater compliance program ("Project") as set forth
in this Agreement.
3. TERMS.
3.11 Scope of Services and Term,
3-111 Contractor promises and agrees to furnish
to City all labor, materials, tools, equipment, services, and incidental and customary Work
necessary to fully and adequately supply the catch basin cleaning services necessary for the
Project ("Services"). The Services are more particularly described in Exhibit "A" and at the
locations set forth in Exhibit "B" both attached hereto and incorporated herein by reference,
All Services shall be subject to, and performed in accordance with, this Agreement, the
exhibits attached hereto and incorporated herein by reference, and all applicable local, state
and federal laws, rules and regulations.
3.1.2 Term.. The term of this Agreement shall be from Novem• 1 o
June 30, 2021, unless earlier terminated as provided herein. Contractor shall complete the
Services within the term of this Agreement, and shall meet any other established schedules
and deadlines. The City, at its sole option, may renew the Agreement for two subsequent
one-year terms by written amendment to this Agreement signed by the City Manager and the
Contractor, upon terms and conditions agreed to by the City and Contractor.

12.1 Control and Payment of�$qt+!dinateependent Contractor. The
Services shall be performed by Contractor or under its supervision. Contractor Will determin
the means, methods and details of performing the Services subject to the requirements of
this Agreement. City retains Contractor on an independent contractor basis and not as an
employee. Contractor retains the right to perform similar or different services for oth-

during the term of this Agreement, Any additional personnel performing the Services under
this Agreement on behalf of Contractor shall also not be employees of City and shall at all
times be under Contractor's exclusive direction and control. Contractor shall pay all wages�
salaries, and other amounts due such personnel in connection with their performance of
Services under this Agreement and as required by law. Contractor shall be responsible for
reports and obligations respecting such additional personnel, including, but not limited to:
social security taxes, income tax withholding, unemployment insurance, disability insurance,
and workers' compensation insurance.
In the event that Contractor or any employee, agent, or subcontractor of Contractor
providing services under this Agreement claims or is determined by a court of competent
jurisdiction or the California Public Employees Retirement System (CalPERS) to be eligible
for enrollment in CalPERS as an employee of City, Contractor shall indemnify, defend, and
hold harmless CITY for the payment of any employee and/or employer contributions for
CalPERS benefits on behalf of Contractor or its employees, agents, or subcontractors, as
well as for the payment of any penalties and interest on such contributions, which would
otherwise be the responsibility of City.
3.22 Schedule of Services. Contractor shall perform the Sery ces
expeditiously, within the term of this Agreement, and in accordance with the Schedule of
Services set forth in Exhibit "A" and at the locations as set forth in Exhibit "B" both attached
hereto and incorporated herein by reference. Contractor represents that it has the
professional and technical personnel required to perform the Services in conformance with
such conditions. In order to facilitate Contractor's conformance with the Schedule, City shall
respond to Contractor's submittals in a timely manner. Upon request of City, Contractor shall
provide a more detailed schedule of anticipated performance to meet the Schedule of
Services. The parties acknowledge that the Schedule of Services may be amended by
mutual agreement due to changes in circumstances, including changes in the performance

timing of Contractor's performance of the Services.

certain key personnel will perform and coordinate the Services under this Agreement. Shoul
One or more of such personnel become unavailable, Contractor may substitute other
personnel of at least equal competence upon written approval of City. In the event that City
and Contractor cannot agree as to the substitution of key personnel, City shall be entitled to
terminate this Agreement for cause. As discussed below, any personnel who fail or refuse t
perform the Services in a manner acceptable to the City, or who are determined by the City t
be uncooperative, incompetent, a threat to the adequate or timely completion of the Project
a threat to the safety of persons or property, shall be promptly removed from the Project by
the Contractor at the request of the City. I
12,5 City's Representative� The City hereby designates its City Manager, or
his or her desiqnee, to act as its representative for the performance of this Agreement ("City's
Representative"). City's Representative shall have the power to act on behalf of the City for
all purposes under this Contract. Contractor shall not accept direction or orders from any
person other than the City's Representative or his or her designee.

Samuelian, or his or her designee, to act as its representative for the performance of this
Agreement ("Contractor's Representative"). Contractor's Representative shall have full
authority to represent and act on behalf of the Contractor for all purposes under this
Agreement. The Contractor's Representative shall supervise and direct the Services, using
his best skill and attention, and shall be responsible for all means, methods, techniques,

under this Agreement.
3.21 Coordination of Services. Contractor agrees to work closely With City
staff in the performance of Services and shall be available to City's staff, contractors and
other staff at all reaso-t.-Wle ti -ties.
12.8 . Contractor shall perform
all Services under this Agreement in a skillful and competent manner, consistent with the
standards generally recognized as bei,ng employed by professionals in the same discipline in
the State of California. Contractor represents and maintains that it is skilled in the
professional calling necessary to perform the Services. Contractor warrants that all
employees and subcontractors shall have sufficient skill and experience to perform the
Services assigned to them. Finally, Contractor represents that it, its employees and
subcontractors have all licenses, permits, qualifications and approvals of whatever nature
that are legally required to perform the Services, including a City Business License, and that
such licenses and approvals shall be maintained throughout the term of this Agreement ' As
provided for in the indemnification provisions of this Agreement, Contractor shall perform, at
its own cost and expense and without reimbursement from the City, any services necessary
to correct errors or omissions which are caused by the Contractor's failure to comply with the
standard of care provided for herein. Any employee of the Contractor or its sub -contractors
who is determined by the City to be uncooperative, incompetent, a threat to the adequate or
timely completion of the Project, a threat to the safety of persons or property, or any
employee who fails or refuses to perform the Services in a manner consistent with the
standard of care set forth herein, shall be promptly removed from the Project by the
Contractor and shall not be re-employed to perform any of the Services or to work on the
Project.
302�9 Lawsan��8�ations. Contractor shall keep itself fully informed of and
in compliance with all applicable local, state and federal laws, rules and regulations in force at
the time the Services are performed by Contractor and in any manner affecting the
performance of the Project or the Services, including all applicable Cal/OSHA requirements
and State and Federal water quality requirements, and shall give all notices required by law.
Contractor shall be liable for all violations of such laws and regulations in connection with
Services. If the Contractor performs any work knowing it to be contrary to such laws, rules
and regulations and without giving written notice to the City, Contractor shall be solely
responsible for all costs arising therefrom, Contractor shall defend, indemnify and hold City,
its officials, directors, officers, employees and agents free and harmless, pursuant to the
applicable indemnification provisions of this Agreement, from any claim or liability arising out
of any failure or alleged failure to comply with such laws , rules or regulations. Contractor's
violation of such laws, rules and regulations shall also constitute a material breac o t is
Agreement.
3.2.10 Insurance.
3.2.10il Time for Cqnjg�, Contractor shall not commence the
Services or the Project under this Agreement until it has provided evidence satisfactory to the
City that it has secured all insurance required under this section. In addition, Contractor shall
not allow any subcontractor to commence work on any subcontract until it has provided
evidence satisfactory to the City that the subcontractor has secured all insurance required
under this section. The City reserves the right to modify these requirements, including limits,
based on the nature of the risk, prior experience with insurer, coverage or other special
circumstances.
3.2.10.2 Minimum�k6guirements. Contractor shall, at its expens
procure and maintain for the duration of the Agreement insurance against claims forinjurie
to persons or damages to property which may arise from or in connection with the
performance of the Agreement, the Services or the Project by the Contractor, its agents,
representatives, employees or subcontractors. Contractor shall also require all of its
subcontractors to procure and maintain the same insurance for the duration of the
Agreement. Such insurance shall meet at least the following minimum levels of coverage:]

(L)Scope (1) Commercial General
Liability (CGL)! Insurance Services Office Form CG 00 01 covering CGL on an "occurrence"
basis including products and completed operations, property damage, bodily injury and
personal and advertising injury; (2) Automobile Liability: Insurance Services Office Form
Number CA 0001 covering Code 1 (any auto) or if Contractor owns no autos, Code 8 (hired)
and 9 (non -owned); and (3) Workers' Compensation: Workers' Compensation insurance as
required by the State of California with Statutory Limits; and (4) Employer's Liability
Insurance.
(B) Whimum Urnits of Insurance. Contractor shall maintain
limits no less tham (1) Commercial General Liability (CGL): No less than $2,000,000 per
occurrence for products and completed operations, bodily injury, property damage and
personal and advertising injury. If Commercial General Liability Insurance or other form with
general aggregate limit applies, either the general aggregate limit shall apply separately to
this Agreement/location (ISO CG 25 03 or 25 04) or the general aggregate limit shall be
twice the required occurrence limit; (2) Automobile Liability.- No le000,000 per
accident for bodily injury and property damage; and (3) Workers' Compensation: Workers'
Compensation limits as required by the Labor Code of the State of California with Statutory
Limits; (4) Employer's Liability: Employer's Liability limits of no less than $2,000,000 per
accident for bodily injury or disease, Employer's Liability coverage may be waived by the City
if City receives written verification that Contractor has no employees.
If the Contractor maintains broader coverage and/or higher limits than the minimum shown in
this subdivision 3.2.10.2, the City requires and shall be entitled to the broader coverage
and/or the higher limits maintained by the Contractor. Any available insurance proceeds in
excess of the specified minimum limits of insurance and coverage shall be available to the
City.
3.2.10.4 Insurance Endorsements. The insurance policies shall
contain the following provisions, or Contractor shall provide endorsements on forms
approved by the City to add the following provisions to the insurance policies:
(A) Additional Insured Status. The Commercial General
Liability policy shall be endorsed to state that: (1) the City, its directors, officials, officers,
employees, agents and volunteers shall be covered as additional insureds with respect to
liability arising from the work, Services, Project or operations performed by or on behalf of th
Contractor, including materials, parts or equipment furnished in connection with such work,
Services. Project or operations; and (2) the insurance coverage shall be primary insurance a
respects the City, its directors, officials, officers, employees, agents and volunteers, or if
excess, shall stand in an unbroken chain of coverage excess of the Contractor's scheduled
underlying coverage. Commercial General Liability insurance coverage may be provided in
the form of an endorsement to the Contractor's insurance (at lease as broad as ISO Form C
20 10 11 85 or both CG 20 107 CG 20 26, CG 20 33 or CG 20 38; and CG 20 37 forms if lat
revisions are used),

3.2.10.5 PrimaU Coveragg. For any claims related to this
Agreement, the Contractor's insurance coverage shall be primary insurance and primary
coverage at least as broad as ISO CG 20 01 04 13 with respect to the City, its directors,
officials, officers, employees, agents and volunteers. Any insurance or self-insurance
maintained by the City, its directors, officials, officers, employees, agents and volunteers shall
be excess of the Contractor's insurance and shall not be called upon to contribute with it in
any way.

including endorsements, at any time.
3.2.10.10 Claims -Made E�9�lf any of the policies provide
coverage on a claims -made basis:
(A) The retroactive date must be shown and must be before the date of this
Agreement or the date work commences under this Agreement, whichever is earliest;
(B) Insurance must be maintained and evidence of insurance must be
provided for at least five (5) years after completion of the Services provided under this
Agreement;
(C) If coverage is canceled, non -renewed, and not replaced with another
claims -made policy form with a retroactive date prior to the effective date of this Agreement
or the date work commences under this Agreement, whichever is earliest, the Contractor
must purchase extended reporting coverage for a minimum of five (5) years after completion
of the Services under this Agreement.

by a corporate surety in the sum of the co�tract bid amount for one year of service
("Performance Bond"). Such Performance Bond shall permit the City to draw upon it in the
event the Contractor fails to perform its obligations hereunder, The Performance Bond shall
serve to secure the performance of the catch basin cleaning services, and the amount thereof
shall in no way limit the damages which may be payable hereunder upon any breach hereof
by the Contractor.
3.2.12.8afety. Contractor shall execute and maintain its work so as to avoid
injury or damage to any person or property. In carrying out its Services, the Contractor shall
at all times be in compliance with all applicable local, state and federal laws, rules and
regulations, and shall exercise all necessary precautions for the safety of employees
appropriate to the nature of the work and the conditions under which the Work is to be
performed. Safety precautions as applicable shall include, but shall not be limited to: (A)
adequate life protection and life-saving equipment and procedures; (B) instructions in
accident prevention for all employees and subcontractors, such as safe walkways, scaffolds,
fall protection ladders, bridges, gang planks, confined space procedures, trenching and
shoring, equipment and other safety devices, equipment and wearing appare as are
necessary or lawfully required to prevent accidents or injuries-, and (C) adequate facilities for
the proper inspection and maintenance of all safety measures.

2uthorized reimbursements, for all Services rendered under this Agreement at the uni pric
rates set forth in Exhibit "C" attached hereto and incorporated herein by reference. he tot -il

City. If the parties extend this Agreement • to Section 3,1.2, the parties shall amend
Exhibit "C" accordingly. Extra Work may be authorized, as described below, and if
authorized, said Extra Work will be compensated at the rates and manner set forth in this
Agreement.
3.12 Pgyment of Compensatilb"InContractor shall submit to City a monthly
itemized statement which indicates work completed and hours of Services rendered by
Contractor. The statement shall describe the amount of Services and supplies provided
since the initial commencement date, or since the start of the subsequent billing periods, as
appropriate, through the date • the statement. City shall, within thirty (30) days of receiving
such statement, review the statement

Contractor shall contact City to meet and confer for the limited purpose of amending the
compensation set forth in Agreement. Any modifications to the Agreement shall not be
effective until or unless the amendments are set forth in writing signed by both parties.
Nothing in this Section shall require or obligate the City to amend the Agreement. If the
parties are unable to reach an agreement regarding an amendment to the compensation in
this Agreement, either party may terminate this Agreement pursuant to Section 3,5 1.1
without further liability. I
14A Maintenance and- Inspectiom Contractor shall maintain compete an
accurate records with respect to all costs and expenses incurred under this Agreement. All
such records shall be clearly identifiable, Contractor shall allow a representative of City
during normal business hours to examine, audit, and make transcripts or copies of such
records and any other documents created pursuant to this Agreement. Contractor shall allow
inspection of all work, data, documents, proceedings, and activities related to the Agreement
for a period of three (3) years from the date of final payment under this Agreement.

'Termination of Agre
Grounds for Termination. City may, by written notice to
Contractor, terminate the whole or any part of this Agreement at any t me e t er or cause or
for the City's convenience and without cause by giving written notice to Contractor of such
termination, and specifying the effective date thereof, at least ninety (90) days before the
effective date of such termination. Contractor may only terminate this Agreement for cause
upon giving the City not less than ninety (90) calendar days'written notice.
Upon termination, Contractor shall be compensated only for those services Which have
been adequately rendered to City, and Contractor shall be entitled to no further
compensation. The City shall within fifteen (15) calend.ar days following termination pay the
Contractor for all services adequately rendered and all reimbursable costs incurred by
Contractor up to the date of termination, in accordance with the payment provisions of this
Agreement.
The following reasons shall constitute "cause" for which either party may terminate this
Agreement as provided herein:
0 Substantial failure by the other party to perform in accordance with the terms
this Agreement and through no fault of the terminating party-,
Assignment of this Agreement or transfer of the Project by either party to a
other entity without the prior written consent of the other party; I

Suspension of the Project or the Contractor's Services by the City for more than
ninety (90) calendar days, consecutive or in the aggregate, without good cause;
Material changes in the conditions under which this Agreement was entered
into, the Scope of Services or the nature of the Project, and the failure of the
parties to reach agreement on the compensation and schedule adjustments
necessitated by such changes.
3.5.12 Effect of Termination, If this Agreement is terminated as

and Data and other information of any kind prepared by Contractor in connection with the
performance of Services under this Agreement. Contractor shall be required to provi•-

meaning of California Civil Code section 2782.8(c), If Contractor is a "design professional"

the fullest extent permitted by law (including, without limitation, Civil Code sections 2782 and

3.5.17 Invalidity; Severability. If any portion of this Agreement is declared

3.5.18 Prohibited Interests. Contractor maintains and warrants that it has not
employed nor retained any company or person, other than a bona fide employee working
solely for Contractor, to solicit or secure this Agreement. Further, Contractor warrants that it
has not paid nor has it agreed to pay any company or person, other than a bona fide
employee working solely for Contractor, any fee, commission, percentage, brokerage fee, gift
or other consideration contingent upon or resulting from the award or making of this
Agreement. For breach or violation of this warranty, City shall have the right to rescind this
Agreement without liability. For the term of this Agreement, no member, officer or employee
of City, during the term of his or her service with City, shall have any direct interest in this
Agreement, or obtain any present or anticipated material benefit arising therefrom.
3.5.19E ual ODDortunitv Emo`lo meat. Contractor represents that itis an equal
opportunity employer and it shall not discriminate against any subcontractor, employee or
applicant for employment because of race, religion, color, national origin, handicap, ancestry,
sex or age. Such non-discrimination shall include, but not be limited to, all activities related to
initial employment, upgrading, demotion, transfer, recruitment or recruitment advertising,
layoff or termination. Contractor shall also comply with all relevant provisions of any City
Minority Business Enterprise program, Affirmative Action Plan or other related programs or
guidelines currently in effect or hereinafter enacted.
3.5.20 Labor Certification. By its signature hereunder, Contractor certifies that it
is aware of the provisions of Section 3700 of the California Labor Code which require every
employer to be insured against liability for Worker's Compensation or to undertake self-
insurance in accordance with the provisions of that Code, and agrees to comply with such
provisions before commencing the performance of the Services.

authority to conduct its business and to execute, deliver, and perform the Agreement. Each
Party warrants that the individuals who have signed this Agreement have the legal power,
right, and authority to make this Agreement and bind each respective Party,

1.1 Catch Basin CleaniD_q Hours: Catch basin cleaning services shall be performed
during regular work hours of &30 a.m. and 4:00 p.m., Monday through Friday. The
frequency of cleaning shall be quarterly for the months of July, October, January and
April.
1.2 Holidays and Inclement Weather: No catch basin cleaning s all be performe • on
the following City -recognized holidays: Christmas Day, Independence Day, Labor Day,
Martin Luther King Jr. Day, Memorial Day, New Year's Day, Thanksgiving Day, and
the Day after Thanksgiving. Catch basin cleaning shall not be performed when, in the
sole opinion and discretion of the Director of Public Works or his or her designated
representative, inclement weather prevents effective cleaning. Areas not cleaned on
holidays or due to inclement weather shall be cleaned on the next regularly scheduled
work day. When catch basins are not cleaned due to inclement weather, Contractor
shall perform all delayed catch basin cleaning work without additional charge to the
City.
1.3 Catch Basin Cleaning Schedule- Locations of catch basin cleaning shall be in
accordance with Exhibit "B" — ("Locations of Catch Basin Trash Excluders (ARS and
CPS) Installed Within the City of Downeyand as established by the Director of
Public Works or his or her designated representative. The catch basin cleaning
schedule may be modified by the Director of Public Works or designated
representative should the City deem it necessary in providing the most efficient and
effective catch basin cleaning service. Such modification to the catch basin cleaning
schedule shall not be made without prior consultation with the Contractor after
providing five (5) working days advanced notice to the Contractor. The catch basin
cleaning schedule established by the City shall take into consideration the peace and
convenience of persons residing or working in Downey.
1.4 Adherence to Catch Basin Schedule-, If scheduled catch basin cleaning is not
performed for any reason other than inclement weather or holidays (for example, due
to an equipment breakdown), the Contractor must bring in an additional catch basin
cleaner to adhere to the catch basin cleaning schedule.
1.5 Emergency Services During Workinq Hours, During regular work hours, Monday to
Friday from 6:30 a.m. to 4:00 p.m. i the City may call upon the Contractor to respond to
an emergency situation that requires immediate catch basin cleaning services. These
situations may include but not limited to: spill of non -hazardous waste and debris,
debris from accidents involving automobiles, storms, floods, and others. The

Contractor is required to respond to these emergency service requests within one (1)
hour of notification time. The total compensation for any catch basin emergency
cleaning services during Work hours shall be as set forth in Exhibit C. Failure to
respond within the designated time will result in a penalty of $500 per occurrence to be
deducted from the subsequent quarterly invoice.

hours (Monday to Friday, 4:00 p.m. to 6:30 a.m.), the City may call upon the
Contractor to respond to an emergency situation that requires immediate catch basin
cleaning services. These situations may include, but not be limited to, spill of non-
hazardous waste and debris, debris from accidents involving automobiles, storms,
floods, and others, The Contractor is required to respond to these emergency service
requests within one and one half (1.5) hours of notification time. The total
compensation of any emergency catch basin cleaning services after work hours shall
be as set forth in Exhibit C. Failure to respond within the designated time will result in
a penalty of $500 per occurrence to be deducted from the subsequent quarterly
invoice.
OF'. 1 Catch Basin, Cleaning Services- Contractor shall inspect, clear all debris, anz�
perform any required minor maintenance to catch basins with connector pipe screens
(CPS) and/or automatic retractable screens (ARS) and unmodified catch basins
identified in Exhibit B, or later added to the scope of work by the Director of Public
Works or his or her designee, on a quarterly basis during the months of July, October,
January, and April in accordance with this Agreement.
Quarterly cleanings shall include but are hot limited to: completely removing all trash
and debris at the entrance to and within the catch basins, cleaning any catch basin
sumps found to have blocked screen inlets or outlets, removing all trash and debris in
the connector pipe for a distance of six feet from the opening at all catch basins
without connector pipe screens, minor maintenance to any catch basin trash screen or
trash collection device that is damaged, removing all vegetation growing across and/or
blocking the catch basin openings, and stenciling or other means of documenting
month and year of cleanings on each catch basin. Contractor shall report evidence of
rodents and/or vectors breeding/living in the storm drain system to the City within
twenty-four (24) hours of discovery. The Director of Public Works or his or her
designee may request more frequent cleanings and/or shift the time of the cleaning
depending on the results of the quarterly cleaning schedule. Compensation for all
catch basin cleaning shall be at the unit prices listed in Exhibit C.
All debris and trash required to be removed from the catch basins shall be remov
via vactor-type equipment in a manner to be determined by the Contractor. T
Contractor shall not allow any trash, debris, or water/other materials to enter into t
connector pipe or mainline storm drain as a result of the cleanout operations.

or maintenancefor catch basin cleaning shall mean adjustments to the AIRS unit
and/or CPS screen to allow for proper operation and maintenance during the cleaning
of the catch basin. Minor maintenance does not include the replacement of bent or
damaged parts caused by vandalism or accident. If the work required to restore the
AIRS or CPS to proper operation exceeds minor maintenance, the Contractor shall
schedule a meeting with the City Utilities Division staff to confirm the extent of the
damages. The Contractor shall not participate in the replacement of damaged AIRS or
CPS units when the work exceeds the definition of minor maintenance contained
above. If, during cleanings, Contractor discovers damage to any catch basin other
than damage to catch basin inserts, Contractor shall report such damage to City within
twenty-four (24) hours.
Contractor shall take photos documenting the before and after conditions of all debris
clearing and/or where minor maintenance is required, from the same vantage points.
All photos shall be at least 4 megapixel (MP) in quality, in jpeg format� and submitted
with the invoice to the City.
The Contractor shall submit quarterly reports to the Director of Public Works or
designated representative for the total Volume and tonnage of the catch basin waste
disposed of in the preceding quarter, times and dates of work, operators, and
equipment/vehicles used together with the quarterly invoice.
2.2 AddftijOhAI.C,��Ih,'Basiii 0644hi•vldes. The Contractor shall perform addition
catch basin cleaning services in addition to those specified when directed to do so b
the City. These additional services will include, but not be limited to.. catch basi
maintenance at locations not included in Exhibit B. However, Contractor shall hot bl-
requiredd to perform any additional services without additional compensation. Th
additional compensation shall be based on the unit cost for additional servicez
includein ExWmit C. .1
3.1 Workmanlike Manner of Performance* All Work performed by or required of
Contractor shall be done in a workmanlike, safe, stormwater permit -compliant, and
thorough manner. . Contractor agrees to deliver quality service that meets or exceeds
generally accepted industry standards (or best practices) and those, which have been
expressly stated herein as requirements. Services which fail to meet these standards,

will not be accepted. The Contractor will be wholly responsible for correcting any
deficiency at no additional cost to City.
3.2 Disposal of Catch Basin Waste: The Contractor shall be solely responsible for the
transport and disposal of all catch basin waste in accordance with all City, County,
State, and Federal requirements. The City shall not provide any storage for temporary
holding of catch basin debris for the Contractor. The City shall be notified which
disposal site(s) are used for catch basin waste.
3.3 Egu!pment/Velhicles: Cleaning of catch basins shall be performed by means of using
vactor-type equipment. Equipment/vehicles must clearly display company name and
logo.
3.4 Vehicle Fuel: The type of fuel utilized by Contractor equipment/vehicles for the
cleaning of catch basins shall be determined by the Contractor. Compensation for
such fuel and other operating costs including, but not limited to electricity shall be
included in the unit price for cleaning of catch basins and no additional compensation
will be allowed.
3.5 Water: The Contractor shall provide sufficient water for use in catch basin cleaning
operations. Water for these uses will be made available by the City at no cost to the
Contractor from fire hydrants. The Contractor shall comply with all rules and
regulations of the City of Downey, relating to the use of water and disposal of
wastewater. Failure to comply may result in the City's refusal to furnish water to the
Contractor for up to the duration of the Agreement.
3.6 Project Manager: At a minimum, the Contractor's Project Manager shall contact the
Department of Public Works daily as to the schedule of work, citizen complaints, and
adequacy of performance. The Contractor's Project Manager shall submit such
reports as the City may require to ensure compliance with scheduled work including,
but not limited to daily reports regarding citizen complaints and the volume and
tonnage of debris collected by catch basin cleaning equipment/vehicles.
3.7 Field Personnel: All field personnel assigned to perform the Services pursuant to this
Agreement shall be experienced and trained at cleaning catch basins and shall wear
all necessary personal protective equipment and company uniform with name and
logo.
3.8 Confined Space; Contractor shall comply with all local, state, and federal confined
space requirements as may be applicable from time to time during the course of the
work.

A. The unit prices set forth in this Exhibit C — ("Fee Schedule for Catch Basi

B. Total cost of the work shall be computed by multiplying the appropriate unit
prices by the total number of applicable units. Payment for unit price work shall be made for
the actual quantities of Agreement items completed in accordance with the Agreement
documents herein.
CThe unit prices to be paid for catch basin cleaning services described in Exhibit
"A" shall include full compensation for furnishing all labor, materials, tools, equipment, and
incidentals necessary to complete the work and for performing all work contemplated and
embraced under the Agreement, in accordance with the total bidproject requirements listed
herein, and associated exhibits. This shall include, but is not limited to the Contractor's costs
involved with any necessary: Bonding; Insurance; Worker's Compensation; Sales tax, freight,
overhead; Financing; Obtaining required permits and permit fees;
Mobilization/Demobilization; Traffic control-, • convenience and offsite safety; OSHA
requirements and onsite safety; Protective barricading; Storage of equipment and materials;
Security against theft and vandalism; Project site maintenance; Runoff control; Clean-up and
site restoration; Recycling and disposal of trash and waste collected; Compliance with local,
state,
• federal requirements-, Documentation and reporting; and all other items incidental
• the work.
