That the City Council:
1. Approve a professional services agreement with Dudek in the amount of $101,655
for preparation of the Urban Forest Management Plan (UFMP);
2. Approve a professional services agreement with Blais and Associates in the amount
of $10,900 for the CALFIRE Grant administration services;
3. Authorize the Mayor to execute professional services agreement with Dudek in a
form approved by the City Attorney;
4. Authorize the Mayor to execute professional services agreement with Blais and
Associates in a form approved by the City Attorney; and
5.- Authorize the City Manager to execute any and all amendments to both agreements
as deemed necessary for the preparation of the UFMP.

The City of Downey manages and maintains over 16,000 urban trees. These include trees
located on street parkways, parks, medians and various City -owned facilities. The City has a
varied tree canopy of several species that range in age from a couple of years to well over 60
years. Each tree requires a different level of maintenance depending on size, maturity and
species. Currently, the City does not have a tree management plan to address tree selection
guidelines for urban areas and standard urban tree care. Such a plan would benefit the City by
helping reduce long-term maintenance costs and providing a standard community tree palette.
In November 2016, Public Works staff retained the services of Blais and Associates to prepare the
CALFIRE grant proposal and application. In December 2016, staff submitted a CALFIRE grant
proposal for the development of UFMP and planting of 540 trees throughout the City.
In March 2017, staff was notified by CALFIRE that Downey was selected to submit a grant
application. Subsequently, on April 11, 2017, the City Council authorized staff to submit a grant
application to CALFIRE for the preparation of the UFMP.

In May 2017, staff was notified that the City's grant application was selected for funding. Highlights
of the areas that the UFMP will address are:
• Review and update inventory of existing trees species
• Review City's tree ordinance and/or policies and revise as needed
• Review City's tree maintenance standards and reviseasneeded
• Review City's tree planting standards and revise as needed
• Identify tree care and maintenance best management practices, establish regular pruning
cycles and pest control, yearly tree mitigation plantings, and community involvement
opportunities
• Recommend tree removal and replacement cycle
• Review City's tree species inventory and recommend appropriate urban tree palette for
residential zones, commercial zones, manufacturing zones, open space areas, and
streetscape areas
• Build consensus and vision from community stakeholders regarding a desirable,
achievable, and sustainable future urban forest
In August 2018, staff sent out a Request for Proposals (RFP) for preparation of the UFMP. On
September 6, 2018, staff received proposals from five firms, namely; Davey Resource Group,
Dudek, Placeworks, South Environmental, and West Coast Arborists, Inc. The proposals were
reviewed and evaluated based on the following criteria:
• Relevant experience and expertise of firm 15%
• Qualifications and experience of project team 15%
• Understanding of project, nature, purpose and requirements 15%
• Approach in providing required services 15%
• Ability of project team to provide requested services 15%
• References 15%

Staff has completed the review and evaluation of the proposals and the results were as follows:

The top two firms based on the evaluations of proposals were Davey Resource Group and
Dudek. Both firms were interviewed on October 11, 2018. The interview panel consisted of
representatives from the Community Development and Public Works Departments. The results
of the interviews were as follows:

Dudek was ranked number one. Dudek has completed similar projects for the Cities of
Encinitas, Irvine, Los Angeles, National City and Pasadena in California, and Seattle in
Washington. They have the experience, expertise and staffing necessary to successfully meet
the City's goals to complete the UFMP. Staff recommends that the City Council approve a
professional services agreement in the amount of $101,655 with Dudek for the preparation of
the UFMP.
To assist staff with the CALFIRE grant administration and compliance requirements, staff is
recommending that the City Council approve a professional services agreement with Blais and
Associates in the amount of $10,900. Blais &Associates has the expertise and staffing
necessary to provide services to the City. They have previously successfully provided similar
grant administration services to Downey. Finally, they are very familiar with Downey's CALFIRE
grant and CALFIRE grant requirements. Staff is estimating that the development and
preparation of the UFMP, including public outreach process, will take about 12 months to
complete.
The development and implementation of the UFMP is the first step for the City to apply and
become a Tree City USA. The other standards or requirements for Tree City Recognition
include:
Standard 1 - Tree Board or Department` legally responsible for the care of all trees on
City -owned property. In accordance with the Downey Municipal Code, the Public Works
Department is responsible for maintenance of street trees as deemed necessary by the
Director of Public Works.
• Standard 2 -Tree Care Ordinance. The Downey Municipal Code includes a tree
ordinance that provides guidance for planting, maintaining and removing trees from
streets, parks, and other public spaces as well as activities that are required or
prohibited. As part of the UFMP, the consultant will review the tree ordinance and revise
as necessary.
Standard 3 — A Community Forestry Program with an annual budget of at least $2 per
capita. The Public Works Department's annual budget for tree maintenance is
$550,000, which is well over the standard of approximately $220,000 for a city the size
of Downey.
Standard 4 — An Arbor Day Observance and Proclamation. Although the City has not
observed Arbor Day in recent years, the City Council may consider proclaiming and
observing Arbor Day in the future. Arbor Day celebrations may include tree planting
events, tree care activities, award ceremonies honoring leading tree planters in the city,
etc.

PROFESSIONAL SERVICES AGREEMENT
WITH DUDEK
This Agreement is made and entered into this 13th day of November, 2018 by and
between the City of Downey, a California municipal corporation and charter city with its
principal place of business at 11111 Brookshire Avenue, Downey California 90241, ("Cityll)
and Dudek, a California corporation, with its 000cipal place of business at 605 3rd 8treed
Encinitas, CA 92024 ("Consultant"). City and Consultant are sometimes individually referred
to as "Party" and collectively as "Parties."

2.2 ProJect.
3.1.1 Consultant promises and agrees to furnis
to City all labor, materials, toolsquipment, services, and incidental and customary work
necessary to fully and adequately supply the professional urban forest management planni
services necessary for the Project ("Services"). The Services are more particularly describ
in Exhibit "A" attached hereto and incorporated herein by reference, All Services shall be
subject to, and performed in accordance with, this Agreement, the exhibits attached hereto
and incorporated herein by reference, and all applicable local, state and federal laws, rules
and regulations. I

December 31 i 2019, unless earlier terminated as provided herein. Consultant shall complete
the Services within the term of this Agreement, and shall meet any other established
schedules and deadlines. The term of this Agreement may be extended by written
amendment to this Agreement signed by the City Manager and the Consultant.

who is determined by the City to be uncooperative, incompetent, a threat to the adequate or
timely completion of the Project, a threat to the safety of persons or property, or any
employee who falls or refuses to perform the Services in a manner consistent with the
standard of care set forth herein, shall be promptly removed from the Project by the
Consultant and shall not be re-employed to perform any of the Services or to work on the
Project.
3.2.10.1 Time for Corftgliaihdi�. Consultant shall not commence the
Services or the Project under this Agreement until it has provided evidence satisfactory to th

City that it has secured all insurance required under this section. In addition, Consultant shal
not allow any subcontractor to commence work on any subcontract until it has provided
evidence satisfactory to the City that the subcontractor has secured all insurance required
under this section. The City reserves the right to modify these requirements, including limits
based on the nature of the risk, prior experience with insurer, coverage or other special
circumstances.

Agreement shall be endorsed to state that: (A) coverage shall not be suspended� voided�
reduced or canceled except with written notice by certified mail, return receipt requested to
the City; and (B) any failure to comply with reporting or other provisions of the policies,
including breaches of warranties, shall not affect coverage provided to the City, its dlrectors�
officials, officers, employees, agents and volunteers,

Agreement, the Consultant's insurance coverage shall be primary insurance and primary
coverage at least as broad as ISO CG 20 0104 13 with respect to the City, its directors,
officials, officers, employees, agents and volunteers. Any insurance or self-insurance
maintained by the City, its directors, officials, officers, employees, agents and volunteers sh
be excess of the Consultant's insurance and shall not be called upon to contribute with it in
any way. I

consequential damages and aftorneys'fees and other related costs and expenses.
Consultant shall defend, at Consultant's own cost, expense and risk, any and all such
aforesaid suits, actions or other legal proceedings of every kind that may be brought or
instituted against City, its directors, officials, officers, employees, agents or volunteers.
Consultant shall pay and satisfy any judgment, award or decree that may be rendered
against City or its directors, officials, officers, employees, agents or volunteers, in any such
suit, action or other legal proceeding. Consultant shall reimburse City and is
officials, officers, employees, agents and/or volunteers, for any and all legal expenses and
costs incurred by each of them in connection therewith or in enforcing the indemnity herein
provided. Consultant's obligation to indemnify shall not be restricted to insurance proceeds, if
any, received by the City, its directors, officials officers, employees, and agents or volunteers,

manner whatsoever for any claims or liability arising solely out of the City's own negligent
