That the Council approve the Transit Services Side Letter with MV Transportation, Inc. for the
use of buses for the Operation of the DowneyLink and authorize the Mayor to execute the Side
Letter.
The DowneyLink provides approximately 260,000 passenger trips per year. DowneyLink
operates daily from 6:30 a.m. to 6:30 p.m., within the boundary of the City of Downey, with four
(4) circulating routes (Northeast, Southeast, Southwest, and Northwest) and service on
weekdays with the exception of designated holidays. During the highest volume of service,
otherwise known as "peak times", six (6) buses are operated with two "tripper" buses adding
additional support to the two busiest routes. During off peak times (9:00 a.m. to 2:00 p.m),
South and North routes combine for a total of two (2) buses.

The City entered into an agreement with MV Transportation, Inc. in2002 to operate the City's fixed
route transit service, the DowneyLink. On August 28, 2018, the City approved a new agreement
with MV Transportation, Inc. for DowneyLink and Dial -A -Ride starting on October 1, 2018 and
ending on September 30, 2025. MV Transportation Inc. has proven to be a valued vendor who has
provided quality services to the City.
The new DowneyLink buses should be ready for service in Spring 2019. In interim, MV
Transportation, Inc. will provide buses starting October 1, 2018, which are the buses that are
currently being used in servicing the DowneyLink operations. The City will compensate MV
Transportation, Inc. monthly for the buses. The Side Letter will be terminated once the new buses
are put into service. The seven (7) propane fueled vehicles meet the California Air Resource
Board's more stringent exhaust emission standards and align with the California heavy-duty engine
exhaust emission standards.

FISCAL IMPACT
No general funds would be used. Fund 55 Proposition A and C fund the Transit program.
Compensation for using MV Transportation, Inc. buses for DowneyLink is $17,500 •

As you are aware, MV Transportation, Inc. ("W") and the City of Downey (the "City'
are parties to that certain Transit Services Agreement for Operation of the DowneyLink
Dial -A -Ride Services, dated effective as •i" 1 2018, pursuant towhich MV provid
transportation services for the City (the "Agreement"). In that Agreement, the Parties agre
that the MV would operate the DowneyLink Services using seven (7) city -owned buses as list
in Exhibit D of the Agreement. The City has advised MV that the seven (7) transit buses are
special order and not expected to be delivered to the City until the Spring, 2019. In the interi
the City will require MV to use its transit buses to provide the DowneyLink services under t
Agreement. This letter will confirm our recent discussions regarding the additional buses It
City has requested that MV provide in connection with the DowneyLink services provided bi
k4V under the Agreement.
As we discussed, _ MV will provide seven (7) El Dorado, 31 passenger buses (V[Ns:
IN9HDABP38CO84154; 1N9HDABP78C084156; 1N9HDABP98C084157; 1N9HDABP08C084158;
IN9HDABP78CO84190; IN9HDABP98CO84191; IN9TDABG85CO84159) as requested by the City. MV
will charge the City at a rate of $2500.00 per bus per month (prorated for partial months), and
will include those charges on MV's normal monthly invoices. In addition, MV will charge the
City a one-time fee of $0.00 for delivery of the buses. MV will operate, insure and maintain the
vehicles in accordance with the terms of the Agreement, and the City will pay for fuel. The
foregoing agreement related to the provision of additional buses shall continue on a month-to-
month basis until terminated by the City upon 30 days' notice to MV.
