A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF DOWNEY APPROVING
THE ISSUANCE OF NOT TO EXCEED $102,000,000 AGGREGATE PRINCIPAL
AMOUNT OF CITY OF WHITTIER HEALTH FACILITY REVENUE BONDS
(PIH HEALTH), SERIES 2014 AND CITY OF WHITTIER HEALTH FACILITY
REVENUE NOTES (PIH HEALTH), SERIES 2014 BY THE CITY OF WHITTIER FOR
THE PURPOSE OF REFINANCING CERTAIN INDEBTEDNESS INCURRED IN
CONNECTION WITH ACQUIRING THE HOSPITAL FACILITIES OF DOWNEY
REGIONAL MEDICAL CENTER-HOSPITAL, INC. AND FINANCING CERTAIN COSTS
OF RENOVATING AND EQUIPPING SUCH HOSPITAL FACILITIES FOR PURPOSES
OF SECTION 147(f) OF THE INTERNAL REVENUE CODE
WHEREAS, InterHealth Corp. ("lnterHealth") and its affiliated corporations, Presbyterian
Intercommunity Hospital, Inc. ("PIH-W"), Downey Regional Medical Center-Hospital, Inc. ("PIH-
D") and IHC Management Corp. ("IHC," and, together with InterHealth, PIH-W and PIH-D
hereinafter collectively referred to as '’PIH Health"), each of which is a nonprofit public benefit
corporation duty organized and existing under the laws of the State of California and an
organization described in Section 501 (c)(3) of the Internal Revenue Code of 1986 (the "Code"),
have requested that the City of Whittier (the "Conduit Issuer") issue City of Whittier Health
Facility Revenue Bonds (PIH Health), Series 2014 (the "Bonds") and (ii) City of Whittier Health
Facility Revenue Notes (PIH Health), Series 2014 (the "Notes," and, together with the Bonds,
the "PIH Obligations") in an aggregate principal amount not to exceed $102,000,000; and,
WHEREAS, the proceeds of the PIH Obligations will be applied (i) to refinance certain
indebtedness incurred by PIH-W in connection with acquiring the hospital facilities owned and
operated by PIH-D, which are located at 11500 Brookshire Avenue within the City of Downey,
California (the "City") and (ii) to finance or reimburse the prior payment of the costs of
renovating and equipping such hospital facilities; and,
WHEREAS, pursuant to Section 147(D of the Code, a public hearing is required to be
held and approval is required to be given by a governmental unit having jurisdiction over the
hospital facilities to be refinanced and financed (the "Hospital Facilities"), which Hospital
Facilities are located entirely within the territorial limits of the City; and,
WHEREAS, the City Council of the City of Downey (the "City Council") is the elected
legislative body of the City and constitutes an "applicable elected representative" of a
governmental unit having jurisdiction over the area in which the Hospital Facilities are located;
and
WHEREAS, Downey Regional Medical Center-Hospital, Inc. is located in the City of
Downey and PIH Health has requested that the City Council hold the public hearing and
approve the issuance of the PIH Obligations in order to satisfy the public approval requirement
of Section 147(D of the Code; and,
WHEREAS, pursuant to Section 147(D of the Code, a notice of public hearing was
published on April 3, 2014 in The Downey Patriot, a newspaper of general circulation within the
City, regarding the proposed issuance of the PIH Obligations to refinance and finance the
Hospital Facilities and the public hearing to be held by the City Council on the date hereof; and,
WHEREAS, pursuant to Section 147(D of the Code, the City Council has held the public
hearing regarding the issuance of the PIH Obligations and now desires to approve the issuance
of the PIH Obligations by the Conduit Issuer

THE CITY COUNCIL OF THE CITY OF DOWNEY DOES HEREBY RESOLVE AS
FOLLOWS :
SECTION I. The recitals above set forth are true and correct
SECTION 2. The City Council hereby approves the issuance of the PIH Obligations by
the Conduit Issuer. It is the purpose and intent of the City Council that this resolution constitute
approval of the issuance of the PIH Obligations by the Conduit Issuer for the purposes of
Section 147(D of the Code by the applicable elected representative of the governmental unit
having jurisdiction over the area in which the Hospital Facilities to be refinanced and financed
are or will be located, in accordance with said Section 147(D of the Code.
SECTION 3.This Resolution shall take effect immediately upon its adoption.
SECTION 4.The City Clerk shall certify to the adoption of this Resolution.
