HomeMy WebLinkAboutMinutes-04-03-79-Adjourned Regular Meeting63t'3 MINUTES OF THE CITY COUNCIL OF THE CITY OF DOWNEY ADJOURNED REGULAR MEETING APRIL 3, 1979 JOINT MEETING WITH RECREATION AND COMMUNITY SERVICES COMMISSION The City Council of the City of Downey held a joint meeting with the Recreation and Community Services Commission at 7:30 p.m., April 3, 1979, in the Green Room of the Downey Community Theatre, Mayor William L. Greene presiding. PRESENT: Council Members: -- Theodore H. Jackman Kenneth J. Miller Mayor Pro Tem Milton R. Mackaig Lyell W. Swearingen William L. Greene Mayor Recreation and Community Services Commission: J. Art Johnson Chairman Mike Huggins Vice -Chairman D. Douglas Morrow Priscilla Winslow Paul J. Riccobon ALSO PRESENT: Charles W. Thompson, City Manager John T. Neavill, Director of Parks & Recreation James Jarrett, Recreation Superintendent Jim Child, Park Superintendent Hollis Stewart, Manager Park Administrative Services Ronald Leege, Director of Finance Robert L. Shand, City Clerk -Treasurer Dorothy Mieding, Executive Secretary, Parks & Recreation Mary Palmquist, Theatre Worker IV, Parks & Recreation The Invocation was delivered by Councilman Jackman. The Flag Salute was led by Councilman Mackaig. RESOLUTION NO. 3657 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF DOWNEY REQUESTING AN ESTIMATE OF THE ASSESSED VALUATION OF PROPERTY WITHIN THE CITY OF DOWNEY FOR THE SUCCEEDING YEAR The Resolution was read by title only. It was moved by Councilman Jackman and seconded by Councilman Mackaig to waive further reading. It was moved by Councilman Jackman, seconded by Councilman Mackaig, and passed by unanimous vote to adopt Resolution No. 3657. Proposed License Agreement - Downey Theatre Foundation Mr. Neavill reported that representatives of the Downey Association for the Fine Arts, Civic Ballet of Southern California, Councilman Mackaig (appointed by City Council), and Paul J. Riccobon (appointed by Recreation & Community Services Commission), met on Friday, March 30, 1979, to discuss the License Agreement, now changed to Lease Agreement. The revised document, Lease Agreement, with the Articles of Incorporation and By-Laws,have been distributed to the Council and Commission for study. Councilman Mackaig reported that after discussion with the City Attorney, it was felt the Council representative should sit on the Board of Directors of the Downey Theatre Foundation as an ex-officio member. Discussion followed. Council Minutes 4/3/79 (adjourned) -1- 63C 4 It was moved by Councilman Mackaig, seconded by Councilman Swearingen, and passed by the following vote that the By -Laws for the Downey Theatre Foundation be amended to read that seven voting members, instead of nine, and two ex-officio non -voting members consisting of one Council Member and Jack Neavill, Director of Parks & Recreation, form the Board of Directors for the Downey Theatre Foundation and suggested documents (the Council shall approve any amendments to the By -Laws). AYES: 4 Council Members: Jackman, Miller, Mackaig, Swearingen NOES: 1 Council Member: Greene It was moved by Councilman Jackman, seconded by Councilman Swearingen, and passed by the following vote to officially appoint Councilman Mackaig to serve temporarily as ex-officio non -voting representative of the City Council on the Board of Directors of the Downey Theatre Foundation. AYES: 4 Council Members: Jackman, Miller, Swearingen, Greene ABSTAIN: 1 Council Member: Mackaig it was moved by Commissioner Johnson, seconded by Commissioner Morrow, and passed by unanimous vote to appoint Commissioner Riccobon to serve temporarily on the Board of Directors of the Downey Theatre Foundation. It was moved by Councilman Jackman, seconded by Councilman Swearingen, and passed by the following vote to approve the Downey Theatre Foundation Board of Directors, on a temporary basis, consisting of the following voting members: Dale Hardeman and Jean Albrecht of the Downey Association of Fine Arts; Hal Bales and Phyllis Cyr of the Civic Ballet of Southern California; and Paul J. Riccobon of the Recreation and Community Services Commission. Councilman Mackaig and Parks & Recreation Director Jack Neavill will serve as ex-officio non -voting members. AYES: 4 Council Members: Jackman, Miller, Swearingen, Greene ABSTAIN: 1 Council Member: Mackaig It was moved by Councilman Jackman, seconded by Councilman Swearingen, and passed by unanimous vote to approve the Articles of Incorporation, subject to review by the City Attorney. Councilman Miller wants to review the meaning of the word "substantial" contained on Page 2 of the Articles of Incorporation. He questioned use of the word. It was noted the By -Laws will be subject to approval by the City Attorney. Mr. Neavill reported a Statement of Intent has been prepared, and it is suggested each organization in the Downey Association for the Fine Arts have their president or designee sign as a condition of good faith by each of these organizations to participate and become members of the Fine Arts Association. Councilman Mackaig requested Mr. Neavill to call a meeting of the appointed Board of Directors of the Downey Theatre Foundation for the purpose of holding an election of officers so that the Articles of incorporation can be filed with the State of California for the purpose of forming a non-profit organization. The Council commended the representatives of the Downey Association for the Fine Arts and Civic Ballet of Southern California for their efforts in putting together the Foundation to manage the Downey Community Theatre.
