ADJOURNED REGULAR MEETING
NOVEMBER 28, 1977
The City Council of the City of Downey held an adjourned regular meeting at
5:00 p.m., November 28, 1977, in the Council Chamber of the Downey City Hall, Mayor
Richard M. Jennings presiding.
PRESENT: Council Members:

ALSO PRESENT: Charles W. Thompson, City Manager
Royal M. Sorensen, City Attorney
Ervin Spindel, Director of Community Development
Martin F. Wynne, Director of Finance
Robert Coates, Superintendent, Water Division
Robert L. Shand, City Clerk -Treasurer
Mayor Jennings announced the purpose of the meeting is to discuss the Water
Facility Acquisition.
Mr. Thompson explained the two documents to be considered at this study session
are the agreement with Southern California Water Company for acquisition of its
facilities and introduction of an Ordinance approving a Lease and Sublease Between
the City and the City of Downey Water Facilities Corporation. These documents con-
stitute a separate sale apart and aside from the Park Water Company assets
acquisition. The Lease and Sublease are also the same as established by the former
agreement.
It was moved by Councilman Greene, seconded by Councilman Jackman, and passed
by the following vote to approve the Water System Acquisition Agreement with
Southern California Water Company in form and substance as submitted, subject to
final approval of the City Attorney.
Councilman Miller questioned the contents of the bond indenture payments
assisted by figures entered on the chalk board.
Mir. Coates explained the detail breakdown of the reserve and indenture costs
Discussion followed. Questions were raised regarding the sale of bonds.

ORDINANCE NO.
AN ORDINANCE OF THE CITY COUNCIL OF THE CITY OF DOWNEY
APPROVING THAT CERTAIN LEASE AND SUBLEASE BETWEEN SAID
CITY AND THE CITY OF DOWNEY WATER FACILITIES CORPORATION
The Ordinance was read by title only. It was moved by Councilman Jackman,
seconded by Councilwoman Scotto, and so ordered to waive further reading.
It was moved by Councilman Jackman, seconded by Councilwoman Scotto, and passed
by unanimous vote to introduce the Ordinance.
Mr. Thompson cited a case involving Communicationoperators in the City of
- Torrance, who requested they be put under the Public Safety Retirement Plan instead
of the Miscellaneous Plan. The case is known as the Dautrich Class Action suit and
involves every City in the State. He explained the notice of the class action suit
was received only today.
Discussion followed regarding possible cost: and length of the court fight.
The Council deferred action on this pending further information.
At 6:30 p.m., the meeting was adjourned to 6:00 p.m., December 5, 1977, in. the
Council Chamber of the Downey City Hall.
