HomeMy WebLinkAboutResolution No. 6781 RESOLUTION NO. 6781 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF DOWNEY APPROVING A REAL PROPERTY PURCHASE AND SALE AGREEMENT BETWEEN THE CITY OF DOWNEY AND DOWNEY LANDING, LLC. WHEREAS, The City of Downey ( "City ") is engaged in activities necessary to reuse the approximately 160 -acre National Aeronautics and Space Administration ( "NASA ") Industrial Plant site (the "NASA Site) which is located in the City of Downey, California and generally bounded by Lakewood Boulevard, Stewart and Gray Road, Bellflower Boulevard, Imperial Highway and Clark Avenue; and WHEREAS, City has negotiated with the United States of America, acting by and through the General Services Administration ( "GSA ") and NASA, to acquire an approximately 160 -acre portion of the NASA Site, of which an approximately 19.3 acre portion is a part (the "Property "); and WHEREAS, a diagram of the Property is attached to this Resolution as Exhibit "A "; and WHEREAS, Downey Landing, LLC, a limited liability company, (the "Developer ") is proposing to develop an approximately 33.5 -acre northern portion of the NASA Site, which is to be composed of the Property and an approximately 14.2 -acre portion of the NASA Site that Developer proposes to lease from the City by separate ground lease, all for use as a retail shopping center consistent with the "Downey Landing Specific Plan ", as may be amended from time to time (the "Project "); and WHEREAS, City and the Agency have negotiated the terms of that certain Real Property Purchase and Sale Agreement (the "Agreement ") whereby, upon City's acquisition of the Property from the GSA and satisfaction of other conditions set forth in the Agreement, the City will sell to Developer and Developer will purchase from the City the Property for the purposes described above and for the total consideration as set forth in the Agreement. A copy of the Agreement is on file with the City Clerk; and WHEREAS, on June 22, 2004, the City Council held a duly noticed public meeting to consider the proposed Agreement; and WHEREAS, the City has determined that the "Downey Landing Specific Plan Environmental Impact Report" ( "EIR ") prepared and certified for the NASA Site (State Clearinghouse #20011031096) adequately included and considered the impacts of development of the Project and imposed adequate mitigation measures. As such, the City has determined that no supplemental EIR, negative declaration, mitigated negative declaration, EIR addendum or other subsequent report is required to be prepared and filed in connection with the approval of the Agreement; and WHEREAS, City staff recommends the adoption of the Notice of Determination (to be drafted and filed by City Staff) that no further environmental report is required in conjunction with the City Council's consideration of this Agreement. RESOLUTION NO. 6781 PAGE TWO NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF DOWNEY DOES HEREBY RESOLVE AS FOLLOWS: SECTION 1. Approval. The City Council approves the Agreement in the form on file with the City Clerk, together with non - substantive changes and amendments as may be approved by both the City Manager and City Attorney. SECTION 2. Execution. The Mayor is hereby authorized and directed to execute the Agreement and take any actions and execute any and all necessary documents to implement the Agreement and any attachments to the Agreement. SECTION 3. CEQA Compliance. City Staff is directed to file a CEQA Notice of Determination with the Los Angeles County Clerk within three (3) working days following the approval of this Resolution.
