A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF DOWNEY
APPROVING THE SALE OF REAL PROPERTY IN THE
DOWNEY REDEVELOPMENT PROJECT AREA TO
ICI - ZELLER AND AUTHORIZING THE EXECUTION OF A
FIRST AMENDMENT TO DISPOSITION AND DEVELOPMENT AGREEMENT
WHEREAS, the Community Development Commission of the City of Downey
(hereinafter referred to as the "CDC "), under the provision of the California
Community Redevelopment Law, is engaged in activities necessary for the
execution of the Redevelopment Plan for the Downey Redevelopment Project Area
(hereinafter referred to as the "Project Area "); and
WHEREAS, the CDC, the City of Downey (the "City ") and Raymond Zeller and
Glenda Zeller, doing business as R &S Development ( "R &S ") entered into a
certain Disposition and Development Agreement, dated as of August 23, 1984
(the "DDA "), a copy of which is on file with the CDC, which pertained to the
disposition and development of certain real property (the "Site "), and
WHEREAS, R &S desires to confirm the assignment of its position as
Redeveloper pursuant to the DDA to ICI - Zeller, a California partnership ("ICI -
Zeller"), and to modify certain provisions of the DDA; and
WHEREAS, the proposed Modifications to the DDA are set forth in that
certain "First Amendment to Disposition and Development Agreement by and Among
the Community Development Commission of the City of Downey, R &S Development,
and ICI - Zeller (the "First Amendment "), which is attached hereto and
incorporated herein by reference; and
WHEREAS, the CDC has held a public hearing on the proposed sale and the
First Amendment upon duly published notice; and
WHEREAS, the CDC has duly considered all terms and conditions of the
proposed sale and believes that the development of the Site pursuant to the
subject Agreement is in the best interests of the City and health, safety,
morals and welfare of its residents, and in accord with the public purposes
and provisions of applicable State and local law requirements; and
WHEREAS, the City Council has received and considered the report of said
CDC staff on the proposed development to be carried out pursuant to said First
Amendment and the Negative Declaration on such proposed development, and as
result of its said consideration and evidence presented at the hearing on the
same matter, this CDC has determined that said project will not have any
significant effect on the environment other than as identified in the
Environmental Assessment (Initial Study) prepared for the subject project;
NOW, THEREFORE, the City Council of the City of Downey does hereby find,
determine, order and resolve as follows:
Section 1. The Environmental Determination (Negative Declaration)
prepared for this project indicates that the proposed development will not
have a significant effect on the environment, and such is hereby certified.
Section 2. ICI - Zeller is approved as Redeveloper pursuant to the DDA and
the First Amendment.
Section 3. The sale of the real property by the CDC to ICI- Zeller
pursuant to the First Amendment is hereby approved.
Section 4. Subject to, and conditioned upon, approval of a variance to
allow conduct on the Site of a machine shop use employing machines with not
more than 10 horsepower each (and a total of not to exceed 77 horsepower on
the Site), the Chairman shall be deemed authorized to execute the First
Amendment and to take all steps and sign all documents and instruments
including, but not limited to, the grant deed to carry out the First Amendment
on behalf of the CDC.
