HomeMy WebLinkAboutResolution No. 3960 RESOLUTION NO. 3960 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF DOWNEY APPROVING THE FORMATION AND DIRECTORS OF CITY OF DOWNEY CIVIC CENTER CORPORATION AND AUTHORIZING PAYMENT OF EXPENSES WHEREAS, City of Downey Civic Center Corporation, a California nonprofit corporation (herein called the "Corporation "), is being incorporated by a group of public- spirited citizens of the City of Downey for the specific and primary purpose of providing financial assistance to the City of Downey by financing the construction of public buildingsand facilities; and WHEREAS, it will be necessary for the Corporation to employ architects, attorneys and consultants and to incur costs and expenses in preparing the proceedings for the issuance of bonds to finance said public buildings and facilities; NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Downey, as follows: 1. All of the recitals herein contained are true and correct and this Council so finds. 2. The Corporation and its formation are hereby approved and the directors of the Corporation, namely, RICHARD H. MARKUSON, GARY McCAUGHAN, MERLE F. MORRIS, R. DON SMITH, and WILLIAM R. WANAMAKER, are hereby approved. 3. The City of Downey, having retained Hugh Gibbs and Donald Gibbs, Architects, FAIA, as architects, Dean Witter Reynolds, Inc. as financing consultants and Orrick, Herrington & Stucliffe, A Professional Corporation, as special bond counsel in connection with the preparation of proceedings for the financing of the public buildings and facilities, hereby approves retention by the Corporation of Hugh Gibbs and Donald Gibbs, Architects, FAIA, to serve as architects, Dean Witter Reynolds, Inc. to serve as financing consultants, and Orrick, Herrington & Sutcliffe, A Professional Corporation, to serve as special bond counsel to the Corporation, in addition to providing similar services to the City of Downey. 4. The Council hereby authorizes the payment by the City of Downey of expenses incurred by the Corporation in connection with the preparation of proceedings by bond counsel for the financing of the public buildings and facilities in the event that the Corporation is unable for any reason to issue bonds and to pay such costs and expenses directly. Such costs and expenses shall include fees and expenses of said bond counsel, filing fees and charges, the cost of printing the legal documents and the bonds, and other costs and expenses necessarily incurred by the Corporation.
