RESOLUTION NO.,
A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF DOWNEY OF ACCEPTANCE OF GRANT OF EASEMENT
AND APPROVAL OF AGREEMENT BY AND BETWEEN
CHRYSLER MOTORS CORPORATION AND THE CITY OF
DOWNEY
THE CITY COUNCIL OF THE CITY OF DOWNEY DOES RESOLVE AS
FOLLOWS:
SECTION 1. That that certain grant of easement and
agreement for road purposes, a copy of which document is
attached hereto and by this reference made a part hereof,
hereby is approved and accepted on behalf of the City.
SECTION 2. That the City Clerk shall certify to the
adoption of this resolution.

GRANT OF EASEMENT AND AGREEMENT
FOR A VALUABLE CONSIDERATION, receipt of which
is hereby acknowledged,
CHRYSLER MOTORS CORPORATION, a Delaware corpo
ration
hereinafter called "Grantor
hereby grants to
CITY OF 10WNEY, a municipal corporation
(hereinafter called "Grantee "),
to have and to hold, the easement appurtenant to Grantee's
real property described on "Exhibit A" attached hereto and
made a part hereof by reference (which is hereinafter
called * Grantee's said real property "), said easement to
be upon Grantor's real property described on "Exhibit B"
attached hereto and made a part hereof by reference (which
is hereinafter called said easement property ") for the
: -.. sole purposes of (1) a roadway tor ingress and egress only.
from Telegraph Road (as Telegraph Road is presently lo
sated) to Grantee's said real property, and ( the in-

stailation and maintenance of utility lines to and from
Grantee's said real property,
, Said easement shall be nonexclusive, and shall
be appurtenant only to Grantee ' s said real property,
Grantor shall have the right to make any use of said
easement property which does not unreasonably interfere
with the use of said easement property by Grantee in
accomplishing the atoredeearibed purposes
The construction and maintenance of any and
all improvements (including, without limitation, said
Broadway and utility lines) upon said easement property
to accomplish the of oredeacribed purposes of this grant
of easement shall be the responsibility solely of = Grantee,
and sal be at Grantee's sole cost and expense.
Granter (for itself, its successors and assigns
by its acceptance bf' this grant recognizes, and takes
this grant subject to, the fact tt ti said easement pro -I,
perty is presently subject to a prior easement granted
to the City of Los Angeles, a municipal corporation, by
deed recorded Ault 3, 1937, as instrument No. 229, in
book .1 55, page 35 official records of the Los Angeles
County Recorder,, and further recognizes and takes this
grant subject to the fact that certain improvements of
said City of Los Angeles presently exist upon and over
said easement property. Grantor makes no representations
whatsoever to, and assumes no obligation to,, . Grantee, its
successors and assigns,, respecting the present or future
consent of said City of Los Angeles (if any such consent
is or becomes necessary or desirable) to any use by
Orentee, its successors and assigns of said easement pro-
perty ;pursuant to this instrument*
Grantee (for itself, its successors and assigns)
by its aceeptanee of this grant agrees and covenants to ,
accept fee title to said easement property from Grantor,
without charge to Grantee, if Grantor shall elect at any

of easement in this instrument is expressly conditioned
upon such agreement so to accept such fee title when and
if conveyed. Grantor reserves the right to exercise
such right to convey, without further act of Grantee, by

of said county, described as follows:
Beginning at the intersection of the easterly line of the land des -
cribed in the deed to the state of California, recorded on March 21,
1951, as instrument No. 3324 in book 35856 page 436 of Official .
Records, of said county with a line that is parallel with the north -
westerly line of Tract No. 16032 as per map recorded in book 354 page
19 of Maps, records of said county and distant 20 feet northerly
therefrom, measured at right angles; thence north 69 ° 25'37" East
along said parallel line 347.97 feet; thence north 20°34'23" West
at right angles to said parallel line, 294.27 feet to the southeasterly
