SUBJECT:Extension of Professional ServicesAgreement Granicus, Inc.,
for Internet Streaming of Meetings
RECOMMENDATION
That the City Council authorize the Mayor to sign an extension to the Professional
Services Agreement with Granicus, Inc. for internet broadcasts and replay of the City
Council, Community Development Commission, and Planning Commission meetings
through June 30, 2012.
BACKGROUND
On October 23, 2007, the City Council entered into an Agreement with Granicus, Inc. for
the installation of hardware to provide for internet streaming of meetings. The initial
Agreement also set the amount of on-going support and maintenance of the system at
$1,525 per month. The cost of this on-going support and maintenance will remain the
same under this extension.
The services are used for City Council and Community Development Commission
meetings, Planning Commission Meetings, and special events held in the Council
Chambers. Since the first recording in August 2008, the system has been used to
successfully record and broadcast meetings.
Because it had been several years since the original installation and contract, staff
solicited proposals from other firms offering similar services. The proposals from these
alternative systems would require purchasing new hardware, changing software and
training on a new system. Each required purchasing additional servers, which would
increase costs for system maintenance and cooling.
Based upon the cost, ease of use, technical support, and system capabilities, staff
recommends continuing to use the Granicus service.
FINANCIAL IMPACT
The annual cost of $18,300 is included in the proposed Fiscal Year 2011-2012 budget.

AGREEMENT BY AND BETWEEN
THE CITY OF DOWNEY
AND
GRANICUS, INCORPORATED
THIS AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT
is made

and entered into as of this ____ day of _________ 2011, by and between the
DOWNEY,GRANICUS,
a municipal corporation (hereinafter referred to as “City”), and
INCORPORATED
(hereinafter referred to as “Contractor”). In consideration of their
mutual covenants and conditions herein, the parties agree as follows:
1. The parties hereto agree that this Amendment to Professional Services
Agreement (hereinafter referred to as “Amendment”) is made for the
purpose of and respect to the following facts, which each party
acknowledges as being true and accurate:
a. On November 1, 2007, the parties hereto entered into that certain
Agreement entitled “Professional Services Agreement for Internet
Broadcasting and Hosting” whereby Contractor promised and agreed
to install and maintain such services for the internet broadcasting of
City Council / Community Development Commission Meetings.
b. The parties hereto, through this Amendment to Professional Services
Agreement, now wish to modify 3.1.2 Term.
2. Section 3.1.2 of the Agreement is hereby amended to read as follows:
Section 3.1.2 Term
The term of this Agreement shall be from November 1, 2007 to June
30, 2012 unless earlier terminated as provided herein. Contractor
shall complete the Services within the term of this Agreement.
3. Except as provided herein, all other terms and conditions of the
Professional Services Agreement dated November 1, 2007 shall remain in
full force and effect.
