SUBJECT: AMENDED AGREEMENT FOR CROSSING GUARD SERVICES
RECOMMENDATION
That the City Council approve the attached Amendment No. 1 to the Agreement
between the City of Downey and All City Management Services, Inc. for Crossing Guard
Services.
DISCUSSION
During the 2010-2011 school year the City contracted with All City Management
Services, Inc. for crossing guard services. The City and the School District are in
agreement that our current service level meets our crossing guard requirements. The
proposed contract will provide staffing for 15 designated locations within the City.
The current Amended Agreement between the City of Downey and All City
Management Services, Inc. for crossing guard services sets forth a term ending June
30, 2011. The original Agreement states that the Agreement may be extended “for such
term thereafter as the parties agree upon.”
It is recommended that the City Council approve the attached Amendment No. 1 to the
Agreement, extending through June 30, 2012.
FINANCIAL IMPACT
The All City Management Services contract will remain at its current rate of $150,000.
The cost for retaining this service has been included in the 2011-2012 Budget.

AMENDMENT NO. 1 TO AGREEMENT BETWEEN
THE CITY OF DOWNEY AND ALL CITY MANAGEMENT SERVICES, INC.
FOR CROSSING GUARD SERVICES
THIS AMENDMENT NO. 1 (“Amendment”) to Agreement between the City of Downey and
all City Management Services, Inc. for crossing guard services (“Agreement”) is made and entered
into this 1st day of July, 2011 by and between the CITY OF DOWNEY, a municipal corporation
and charter city, hereinafter referred to as the "City," and ALL CITY MANAGEMENT
SERVICES, INC., a California Corporation, hereinafter referred to as the "Contractor" and
collectively referred to as the “Parties”.
WHEREAS, on November 28, 1989, the City and Contractor entered into the Agreement for
crossing guard services;
WHEREAS, the Agreement is set to expire on June 30, 2011;
WHEREAS, the total amount to be paid by the City for the crossing guard services will
remain unchanged at $150,000 for the 2011-2012 school year; and
WHEREAS, the Parties wish to amend the Agreement by extending the expiration date of the
Agreement to June 30, 2012 and to reflect the amount the City will continue to pay Contractor for
crossing guard services.
NOW, THEREFORE, the Parties hereto do agree as follows:
Section 1. Paragraph 1 of the Agreement is amended to read as follows:
“The agreement is for the period of time which commences December 18,
1989 and ends June 30, 2012, and for such term thereafter as the parties may
agree upon.”
Section 2. Paragraph 17 of the Agreement is amended to read as follows:
“The City shall pay Contractor the sum of $150,000 for the 2011-2012
school year. Said payment shall be made upon written invoice to the City by
the Contractor and approval of the Chief of Police.”
Section 3. Unless expressly modified in this Amendment, the terms and
conditions of the Agreement dated November 28, 1989 shall remain in full
force and effect.
