SUBJECT: PROFESSIONAL ON-CALL CONSTRUCTION INSPECTION SERVICES
AGREEMENT
RECOMMENDATION:
That the City Council authorize the Mayor to execute an extension to the Agreement
with Willdan Engineering for On-Call Construction Inspection Services.
DISCUSSION:
The City has used on-call construction inspection services on major capital
improvement projects to augment City inspection staff and to ensure timely completion
of the projects. On August 26, 2008 the City Council authorized the extension of the
On-Call Construction Inspection Services agreement with Willdan Engineering for
another two years through August 26, 2010. Due to the pending expiration of this
agreement, staff is preparing an On-Call Construction Inspection Services Request for
Proposals (RFP) for distribution to several firms and anticipates going before the City
Council to award contracts to at least two firms for these services at the meeting on
September 28, 2010.
Before the contracts with the new firms are in place, the City will have a continued need
for on-call construction inspection services to complete existing ongoing capital
improvement projects, including the Imperial Highway Traffic Throughput & Safety
Enhancements Project – Phase 2 (currently scheduled for completion by the end of
September 2010), as well as for the inspection of miscellaneous improvements
completed within the public right of way by property owners, other agencies or private
companies via the permitting process.
The execution of the attached amendment to the August 26, 2008 agreement will
extend the agreement with Willdan Engineering for on-call construction inspection
services through October 31, 2010.
FINANCIAL IMPACT:
The cost for public works inspection services provided by Willdan Engineering are
currently billed at $95.00 to $120.00 per hour, depending on the classification of the
particular inspector being utilized. On-call construction inspection for City capital
improvement projects is charged directly to the specific project. Other costs are
recovered through inspection fees charged for permit jobs within the public right of way.

AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT
ON-CALL INSPECTION SERVICES
THIS AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT (the

“Amendment”) is entered into this 24 day of August, 2010, by the CITY OF DOWNEY, a
municipal corporation (hereinafter “City”), and Willdan Engineering (hereinafter “Consultant”).
RECITALS
1. In 2008, City and Consultant entered into Professional Services Agreement
(“Agreement”) for the providing of certain On-Call Inspection Services.
2. City and Consultant desire to extend the Agreement until October 31, 2010.
NOW, THEREFORE
, in view of the above-recitals and mutual promises and covenants
contained herein, the parties agree as follows:
Section 1. Validity of Agreement.
Expect as expressly amended in this Amendment, the
Agreement shall remain in full force and effect. Other than the specific matters set forth in this
Amendment, this Amendment is not intended to modify the responsibilities of the parties.
Section 2. Amendment of Term of Agreement.
City and consultant hereby amend
paragraph 1.2 on page 2 of the Agreement to state as follows:
“1.2 This agreement shall be effective until October 31, 2010, unless
otherwise terminated consistent with the terms of this Agreement.”
