SUBJECT: AMENDMENT TO THE MEMORANDUM OF UNDERSTANDING
BETWEEN THE CITY OF DOWNEY AND THE DOWNEY POLICE
MANAGEMENT ASSOCIATION
RECOMMENDATION:
Staff requests the City Council adopt the attached resolution:
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF DOWNEY AMENDING
THE MEMORANDUM OF UNDERSTANDING BETWEEN THE CITY OF DOWNEY
AND THE DOWNEY POLICE MANAGEMENT ASSOCIATION (June 30, 2008 – June
30, 2011) BY ADOPTING THE SIDE LETTER OF AGREEMENT.
DISCUSSION:
Staff has reached agreement with the Downey Police Management Association (DPMA)
that represents Police Captains and Police Lieutenants. The Side Letter of Agreement
represents positive discussions between the City and the DPMA on the subject of
deferring scheduled pay increases in the current Memorandum of Understanding (MOU)
from June 28, 2010 to June 27, 2011.
The City is appreciative of Police Management’s leadership and willingness to assist the
City during a fiscally trying time. The Side Letter of Agreement modifies provisions in
the MOU to defer the implementation of a 4.25% salary increase and a .5% increase to
Education Incentive Pay to the Fiscal Year 2011-12 budget.
The Side Letter of Agreement is also a product of a labor negotiation process involving
the Downey Police Management Association and representatives of City management.
This process was completed in accordance with State law and the City’s Personnel
Rules and Regulations.
FISCAL IMPACT:
$103,322 will be deferred into 2011-2012.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF DOWNEY
AMENDING THE MEMORANDUM OF UNDERSTANDING BETWEEN THE
CITY OF DOWNEY AND THE DOWNEY POLICE MANAGEMENT
ASSOCIATION (June 30, 2008 – June 30, 2011) BY ADOPTING THE SIDE
LETTER OF AGREEMENT.
WHEREAS
, on October 14, 2008, the City Council of the City of Downey
adopted Resolution No. 08-7081 for the purpose of adopting the Memorandum of
Understanding (MOU) between the City and the Downey Police Management
Association (DPMA); and
Subsequent to the adoption of the MOU, the City of Downey and the DPMA
agreed to changes to the MOU that are reflected in a Side Letter of Agreement between

the City and the DPMA (“Side Letter Agreement”) attached hereto as and
incorporated herein by this reference.
NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF DOWNEY DOES
HEREBY RESOLVE AS FOLLOWS

SECTION 1.Exhibit A
The Side Letter of Agreement attached hereto as is
approved and adopted.
SECTION 2.
The Side Letter of Agreement amends the MOU between the City
of Downey and the DPMA.
SECTION 3.
The City Clerk shall certify to the adoption of this resolution.

EXHIBIT A
City of Downey
SIDE LETTER AGREEMENT
Representatives of the Downey Police Management Association (“DPMA”) and the City
of Downey (“City”) hereby agree to modify provisions in the Memorandum of
Understanding between the City of Downey and the Downey Police Management
Association for contract term June 30, 2008 to June 30, 2011 with respect to the
following:
Article III Basic Compensation Plan, Section 1. Salary Increases/Adjustments/
Retroactive Pay is hereby modified such that the four and one-quarter percent (4.25%)
salary increase effective June 28, 2010 is deferred to June 27, 2011.
Section 5. Education Incentive Pay is hereby modified such that the .5% increase
effective June 28, 2010 for an Associate’s in Arts degree and/or Intermediate Police
Officers Standards and Training (POST) Certificate for a total of 6.5% and a Bachelor’s
degree or Advanced POST certificate for a total of 10% is deferred to June 27, 2011.
Side-Letter Implementation
The provisions contained in this Side Letter are effective July 13, 2010 following
approval by the City of Downey City Council and will remain in full force and effect
unless otherwise specifically modified, either by subsequent side letter or a successor
Memorandum of Understanding.
IN WITNESS WHEREOF, the parties have caused this SIDE LETTER AGREEMENT be
executed by and through their authorized officers on July 7, 2010.
