SUBJECT: AGREEMENTS WITH EDINGTON, PEEL & ASSOCIATES, INC.,
AND CARPI CLAY & SMITH FOR WASHINGTON D.C. CONSULTANT
SERVICES
RECOMMENDATION
That the City Council approve an extension of agreements with Edington, Peel &
Associates, Inc., and with Carpi Clay & Smith through June 30, 2011.
DISCUSSION
The City of Downey has for many years retained two firms to represent its interests on a
day by day basis before Federal Legislators and Agencies in Washington, D.C. The two
firms, Edington, Peel & Associates, Inc. and Carpi Clay & Smith, have been
instrumental in assisting the City in procuring Federal funding for a wide range of
projects and programs covering all aspects of the City’s operations.
Edington, Peel & Associates, Inc., has represented the interests of the City of Downey
in Washington, D.C. since 1997, and has provided valuable counsel to the City in its
successful efforts to acquire and develop the NASA site. Mr. James H. Dykstra, a
Principal, facilitates meetings with members of Congress as well as various Federal
agencies such as NASA and the Smithsonian, and has been instrumental in helping the
City obtain grants for the Columbia Memorial Space Science Learning Center. Mr.
Dykstra was instrumental in facilitating contact with both elected and administration
officials related to the Center’s dedication. Along with work related to the Columbia
Memorial Space Science Learning Center, Mr. Dykstra continues to monitor and provide
strategic advice regarding the status of Congressional and executive matters that affect
Downey’s interests. Most recently, Mr. Dykstra has provided input with regards to the
stimulus funds currently being allocated in Washington.
Carpi Clay & Smith has represented Downey’s interests in Washington, D.C. since the
early 1990’s. Mr. Del Smith’s understanding of federal government operations and
procedures has helped Downey secure several large grants. Mr. Smith’s knowledge of
the EDA organizational structure and administrative requirements has been very helpful

in procuring EDA grand funding. In addition, Mr. Smith is our key advisor in dealing with
the various Federal Agencies with oversight of water projects. Currently Mr. Smith’s
company is assisting the City in procuring a third multi-million dollar EDA grant to help
fund the Lakewood Boulevard Improvement Project and with special legislation that will
assist with financing the City’s Water Reclamation plant.
FISCAL IMPACT
The cost for the Edington, Peel & Associates, Inc., is $3,850.00 per month and the cost
for Carpi Clay & Smith is $2,750.00 per month.
AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT
WITH EDINGTON PEEL & ASSOCIATES, INC.
FOR GENERAL ADVOCACY SERVICES
THIS AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT (the
City
“Amendment”) is entered into this day of June, 2010 by and between the
of Downey
, a California municipal corporation and charter city with its principal place of
business at 11111 Brookshire Avenue, Downey California 90241 ("City") and Edington
Peel & Associates, Inc. ("Consultant"), a government relations firm.
RECITALS
WHEREAS,
the City and Consultant entered into Professional Services Agreement
(“Agreement”) for providing general advocacy services.
WHEREAS,
the City and Consultant desire to amend the Agreement.
NOW, THEREFORE,
in view of the above-recitals and mutual promises and
covenants contained herein, the parties agree as follows:
AGREEMENT
Section 1. Validity of Agreement.
Except as expressly amended in this
Amendment, the Agreement shall remain in full force and effect. Other than the specific
matters set forth in this Amendment, this Amendment is not intended to modify the
responsibilities of the parties.
Section 2. Amendment of Term of Agreement.
City and Consultant hereby
amend Section 1 on page 1 of the Agreement to state as follows:
“Subject to the provisions of Section 16, ‘Termination of Agreement’ of this
Agreement, the term of this Agreement shall be for a twelve month period
beginning July 1, 2010 to June 30, 2011. Such term may be extended upon
written agreement of both parties to the Agreement.”
Section 3. Fees and Payment.
City and Consultant agree that there shall be no
change in compensation.
Executed at Downey, California, on the day and year first written above.
