SUBJECT: AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT WITH
STUDIO ONE ELEVEN AT PERKOWITZ + RUTH ARCHITECTS FOR
ARCHITECTURAL SERVICES IN THE AMOUNT OF $7,500.00
RECOMMENDATION
Staff members recommend that the Community Development Commission (CDC)
approve an amendment to the current contract with Studio 111 Architects (Studio 111)
to increase the amount by $7,500.00.
BACKGROUND/DISCUSSION
In early 2008, following a competitive process, the CDC entered into a $25,000 contract
with Studio 111 Architects to assist the CDC with design services for redevelopment
projects. Staff has used Studio 111 on numerous projects and found that the firm’s
input has been both valuable and timely in supporting the CDC’s commitment to
facilitating high-quality development in Downey. Further, in 2009 the City of Downey
(City) disbanded the design review board and instead uses the Downey Planning
Commission, and by extension, the Planning Department staff to carry out design
review of projects. As a result of this change, City staff members have increasingly
turned to outside architects to provide technical assistance when a project is
strategically important or is particularly large or complex.
Staff members are requesting that the Studio 111 Architects contract be amended to
increase the amount of the current contract to $32,500. This increase is necessary to
assure that specific projects currently in the pipeline are completed and can benefit from
Studio 111’s review and technical assistance.
To plan for future needs, CDC staff members are currently carrying out a Request for
Qualifications (RFQ) process to select at least three architecture and urban planning
firms to provide design review and planning services on a case-by-case and on-call
basis. The CDC will have an opportunity to review and approve the selected firms at a
future CDC meeting.
FISCAL IMPACT
Approval of this item will decrease the CDC’s 2009-2010 Budget/Architectural Services
by $7,500.

AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT
WITH STUDIO ONE ELEVEN AT PERKOWITZ + RUTH ARCHITECTS
FOR ACHITECTURAL SERVICES
This Amendment to Agreement for Professional Services (“Amendment”) is entered into
this ___ day of ______________, 2009, by and between the DOWNEY COMMUNITY
DEVELOPMENT COMMISSION, with its principal place of business at 11111
Brookshire Avenue, Downey, CA, 90241 (hereinafter referred to as “Commission”) and
STUDIO ONE ELEVEN AT PERKOWITZ+RUTH ARCHITECTS, with its principal place

of business at 111 West Ocean Blvd., 21 Floor, Long Beach, CA, 90802
("Consultant"). The parties do agree as follows:
SECTION 1RECITALS.

This Amendment is made and entered into with respect to the following facts:
(a) City and Consultant have entered into that certain Agreement for Professional
Services, dated August 26, 2008 (the “Agreement”) to provide architecture and urban
design consulting services for the City of Downey Community Development
Commission (“Project”).
(b) The parties hereto desire to amend the Agreement to modify a provision of the
Agreement regarding the term of said Agreement.
SECTION 2. MODIFICATION.
SECTION 3.3.1 of the Agreement is hereby modified to extend the total compensation
of the Agreement by $7,500.00. The scope of work shall continue to be consistent with
the original scope of work as outlined in Exhibit A of the Agreement.
SECTION 3. NO PRESUMPTION RE: DRAFTER.
The parties hereto acknowledge and agree that the terms and provisions of this
Amendment have been negotiated and discussed between the parties, and this
Amendment reflects their mutual agreement regarding the same. Because of the nature
of such negotiations and discussions, it would be inappropriate to deem any party to be
the drafter of this Amendment, and therefore, no presumption for or against validity or
as to any interpretation hereof, based upon the identity of the drafter shall be applicable
in interpreting or enforcing this Amendment.
SECTION 4. SEVERABILITY.
This Amendment is severable, and if any provision or part hereof is judicially
declared invalid, the remaining provisions shall be and remain in force and effect.
SECTION 5. MODIFICATION.
This Amendment shall not be modified except by written agreement of the
parties.

SECTION 6. FORCE AND EFFECT.
Unless expressly amended by this Amendment, the terms and provisions of the
Agreement shall remain in full force and effect.
IN WITNESS WHEREOF, this Amendment to Agreement for Professional Services
has been duly authorized and executed by the parties hereto on the day and year
first herein above written.
